                     Sale of UK Hardware Services Division                     

The Board of NSB Retail Systems PLC announces that the Group has entered into
an agreement for the sale of its UK hardware services division (the Business)
to PC-PoS (Europe) Limited. Completion of the sale is conditional inter alia
upon obtaining certain contractual consents from customers.

The core business of the NSB Group is the provision of software solutions,
services and support to selected sectors of the retail market. The UK hardware
services division was acquired as a result of the purchase of RTC in February
2000 and since it is not core to the Group the Board has decided that it should
now be sold. This sale does not affect the software services or software
support agreements which clients have with NSB.

Total consideration for the Business is �2,350,000, but is subject to
adjustment based on the value of the net assets at completion. The
consideration is payable as to �1,675,000 in cash on completion, �175,000 at
the end of two years following completion, and a further �250,000 in each of
the two years following completion dependent on the achievement of certain
revenue targets during this period.

The unaudited net assets of the business as at 31 December 2002 were �0.6
million (2001: �0.4 million). The unaudited profit attributable to the business
for the year ended 31 December 2002 was �0.3m (2001: �0.15 million).

The sale will provide increased focus to the Group in the pursuit of its core
objectives. The proceeds of the sale will be utilised for the general working
capital requirements of the Group.

NSB Group will announce its preliminary results on Wednesday 5 March 2003 for
the year ended 31 December 2002.
