Employee note re Purchase

I am pleased to announce that International Absorbents has signed an agreement in principle to sell all of our company’s shares to a third party.  While this transaction will not affect the day-to-day operations of the company, we believe that this transaction will vastly increase our ability to grow market share, revenues and profits.

Upon completion of the transaction, our shares will no longer be publicly traded.  This transition from a publicly-traded to a privately-owned company will be accomplished through the joint efforts of management and Kinderhook Industries.  Kinderhook is a private equity firm with $600mm in committed capital to support growing companies like ours across North America.  Upon completion of the proposed transaction, Absorption Corp will be operated jointly by Kinderhook and management. Partnering with Kinderhook will help facilitate the growth of the company in at least two ways.  First, by converting to private ownership, we will no longer be required to spend significant time and capital to address regulatory compliance issues, but rather can focus our efforts and money on growing our core business.  Second, we will have the opportunity to work with other Kinderhook portfolio companies to expand sales.  For example, Blitz USA, the largest manufacturer of oil and gas receptacles in North America, may be able to add our company’s industrial absorbents into its product lines.  The Environmental Quality Company, also owned by Kinderhook, may well be able to use our company's environmental clean-up products as part of their business.  Finally, EAM Corporation has offices and manufacturing facilities near our plant in Jesup, which offers us the opportunity to optimize local logistics.

Given that this transaction will require shareholder approval, satisfaction of our closing conditions and the clearance of various legal hurdles, our anticipation is that closing of this transaction will not occur until the end of the first quarter of 2010.  That said, we fully expect that this transaction will close, and look forward to the opportunities that will result.

Overall, we view this transaction as offering a great deal of opportunities for our company, its shareholders and employees, and as a step forward that will enable us to better focus on growing our company and servicing our customers.
