Item 3.01  Notice of Delisting or Failure to Satisfy a Continued Listing Rule or standard; Transfer of Listing.

On December 8, 2009, the Registrant notified the NYSE Amex of its intention to delist its common stock from NYSE Amex and to list it on The Nasdaq Global Market ("NASDAQ"). The common stock will continue to trade under the symbol "HPJ". The Registrant expects its common stock to continue to trade on NYSE Amex until the market closes on December 18, 2009 and to begin trading on NASDAQ on December 21, 2009 when the market opens.
