                           COMPLETION OF ACQUISITION


The Board of Scottish & Newcastle plc ("S&N") announces that the reduction of
capital comprised within the Scheme (the "Reduction") has been confirmed by the
Court of Session, Edinburgh, Scotland (the "Court"), that the Court Order
confirming the Reduction and a certified copy of the minute of the Reduction
have been registered by the Registrar of Companies and that the Scheme became
effective on registration of the Court Order.

The listing of the ordinary shares of S&N on the Official List is expected to be
cancelled with effect from 8.00 am on 29 April 2008.

Cash consideration due under the offer will be despatched by cheques/issue of
Loan Notes or settled through CREST, as appropriate, by 12 May 2008.

meanings as set out in the Scheme Document dated 22 February 2008 (the "Scheme
Document").
