Result of First Extraordinary General Meeting and General Meeting of
Warrantholders


At the First Extraordinary General Meeting of the Company held today, 22nd
April, 2002, the special resolutions sanctioning the Scheme of reconstruction of
the Company and altering the rights of the Ordinary Shares were duly approved by
Shareholders. At the General Meeting of Warrantholders also held today, the
extraordinary resolution sanctioning the Proposals and any alteration of rights
attaching to the Warrants resulting from the Proposals was duly passed by
Warrantholders.


Accordingly (as set out in the circular dated 26th March 2002), the Second
Extraordinary General Meeting of the Company has been called for 10.30 a.m. on
30th April 2002 at which a special resolution and an extraordinary resolution
will be proposed to approve the winding-up of the Company, to appoint the
Liquidators and to confer appropriate powers on them.




The expected timetable remains as follows:

Dealings commence in Reclassified Shares and Register                      8.00 am on Thursday 25th April
opens in respect of Reclassified Shares

Dealings suspended in Reclassified Shares                                    7.30 am on Friday 26th April

Register closes in respect of Reclassified Shares                  close of business on Friday 26th April
