Exercise of Options

The Company has received notice that, on 21 November 2017:

- an employee has exercised options over a total of 8,103 ordinary shares of 1p each in the Company ("Ordinary Shares") in accordance with the rules, and due to the maturation, of the Company's Enterprise Management Incentive ("EMI") scheme

- an employee has exercised options over a total of 1,087 Ordinary Shares in accordance with the rules, and due to the maturation, of the Company Share Option Plan ("CSOP")

- certain employees exercised options over a total of 4,606 Ordinary Shares under the Company's existing Long Term Incentive Scheme Award ("LTIS Award"). No new Ordinary Shares have been issued to satisfy the LTIS Awards. Following the exercise of options, the Brooks Macdonald Group Employee Benefit Trust (the "EBT") has transferred 4,606 Ordinary Shares to satisfy the awards. Following this transfer the EBT now holds 192,324 Ordinary Shares, representing 1.39% of the Company's current voting rights

Pursuant to the exercise of these options, the Company has made an application today to the London Stock Exchange for 9,190 new Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective on 28 November 2017.

Following this notification, the Company has 13,828,346 Ordinary Shares in issue.
