Item 5.02    Departure of Directors or Certain Officers, Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On March 28, 2023, the Compensation Committee (the “Committee”) of the Board of Directors of Core Scientific, Inc. (the “Company”) approved cash bonus awards to certain key employees, including certain of the Company’s named executive officers. The approved cash bonus awards are subject to forfeit and repayment to the Company of the net (after tax) amount of such award if the executive voluntarily terminates employment within twelve (12) months of the bonus award.
