Over-reaction to earnings miss today. As they said on the conference call, a lot of the miss is timing issues related to the infrastructure business. They still have a huge backlog, and are generating better margins than in the past.

So I bought some more here under $2.00.

I think I'll be pretty happy with those down the road.

New board follower here.... bought some on recommendation of Chris DeMuth, (Sifting the World, on Seeking Alpha) who says this is way undervalued.
He made me a nice chunk of change last year on a misunderstood litigation play.
He likes that it is a conglomerate when conglomerates are out of favor, and that it has regular income production from DBM Global (also an infrastructure play), plus some wild card businesses in health science that could be big winners.

He says it could be worth $15-20/ share, that could be unlocked in 2023.

He recommended at around this price on Jan 4.... it's been about below that price until today.

Primus Telecommunications Group Successfully Emerges From Chapter 11

MCLEAN, VA--(Marketwire - July 1, 2009) - Primus Telecommunications Group, Incorporated ("Group"), together with three affiliated non-operating holding companies, Primus Telecommunications Holding, Inc. ("Holding"), Primus Telecommunications International, Inc. and Primus Telecommunications IHC, Inc. ("IHC" and together, the "Holding Companies"), today completed the necessary steps to implement their consensual Plan of Reorganization and have successfully emerged from Chapter 11 bankruptcy protection. The Plan of Reorganization was confirmed on June 12, 2009.

Chairman and Chief Executive Officer K. Paul Singh said, "This is an exciting day for PRIMUS which marks the official completion of our financial restructuring. We emerge with significantly reduced debt and a strengthened capital structure." Under the terms of the Plan of Reorganization PRIMUS has reduced its debt by $316 million, or 55%, and will emerge from bankruptcy with approximately $255 million of debt. Additionally, PRIMUS reduced interest payments by approximately 50% and extended certain debt maturities.

On July 1, 2009 (the "Effective Date"), Group's common stock was cancelled and Group issued 4,800,000 shares of common stock, par value of $0.001 per share (the "New Common Stock") to holders of IHC's 14 1/4% Senior Secured Notes due 2011 and 4,800,000 shares of New Common Stock to holders of the 5% Exchangeable Senior Notes due 2010 and 8% Senior Notes due 2014 issued by Holding (collectively, the "Holding Notes"). The 9,600,000 aggregate shares of New Common Stock represent 100% of the issued and outstanding common stock of reorganized Group as of the Effective Date. The Company expects the New Common Stock to be traded on the OTC Bulletin Board within a few days of the Effective Date.

On the Effective Date, the Holding Notes and the 3 3/4% Senior Notes due 2010, the 12 3/4% Senior Notes due 2009 and the Step Up Convertible Subordinated Debentures due 2009 issued by Group (collectively, the "Group Notes") were cancelled. Also, on the Effective Date, $173 million of outstanding 14 1/4% Senior Secured Notes due 2011 were cancelled and replaced with $123 million of 14 1/4% Senior Subordinated Secured Notes of IHC with an extended maturity until 2013, and $96 million in an outstanding variable rate Term Loan due 2011 issued by Holding was reinstated and amended.

Also on the Effective Date, Group issued Class A warrants to purchase up to an aggregate of 3,000,000 shares of New Common Stock to holders of the Holding Notes and Class B warrants to purchase up to an aggregate of 1,500,000 shares of New Common Stock to holders of the Group Notes. The warrants have a five-year term. The Class A warrants consist of three classes of 1,000,000 each entitling the holders to purchase up to 1,000,000 shares of New Common Stock at initial exercise prices of $12.22 per share, $16.53 per share and $20.50 per share, respectively. The Class B warrants have a five-year term and entitle the holders to purchase up to 1,500,000 shares of New Common Stock at an initial exercise price of $26.01 per share. Group also issued to holders of the Old Common Stock a pro rata share of contingent value rights representing the right to receive up to 2,665,000 shares of New Common Stock after the equity value reaches a certain threshold.

On the Effective Date, Group's new Management Compensation Plan became effective and grants to acquire shares of New Common Stock were reserved for certain senior officers and employees of Group and its operating subsidiaries as follows: 400,000 restricted stock units were reserved for certain senior officers; service-based stock options to purchase 400,000 shares of New Common Stock were granted to certain executive officers and employees; and performance-based stock options to purchase 100,000 shares of New Common Stock were granted to certain senior officers.

As planned, none of PRIMUS's operating companies in the United States, Australia, Canada, India, Europe or Brazil were included in the restructuring. The operating units have and will continue to manage and to operate their businesses normally.

"Our ability to achieve an efficient and effective financial restructuring is due, in large part, to the dedication of our employees, the loyalty of our customers, and the support and cooperation of our vendors and major creditor groups," said Mr. Singh. "We now ask them to join us as our new journey begins."

Primus, needs to come out with new technology tech spending will be hard this year and Primus is a small company that needs to expand there revenue for future growth....
nWo nWo 15 years ago
No Offense that does not impress me at all you should not have even brought that article you mentioned one of the worst known companies, that Primus is doing something with...Nortel, or as the nickname goes "Norhell", your kidding me right? do you honestly think Nortel can do anything for primus, I mean they cant even watch there own backs never mind work with another company, Nortell is also headed for the crapper, a stock that was once 800 on todays money with a 10-1 split is now the stock is trading at .50 cents .50 cents!!! Not to mention Nortel lost 3.2billion dollars as they keep losing revenue and you think what Nortell and Primus are doing is going to do anything for either of them the two companies cant even make 1....O the clock will soon be ticking on Nortell 8 trading days and they will be receiving the NYSE letter of there share price under a dollar, just another problem for them, nboth companies are headed out, telecoms have been hrting since the tecxh bubble burst and with primus being small coupled with the recession and the huge bearish trend there heading right out, and Norhell aint far behind and u know it, dont worry they will do another 10-1 split I see your a big poster of them over in that chat room, some of you think theres hope for that stock they have only been saying this for the last 6 years "well Nortell cant get much cheaper" but it always does, and no one will buy them out either, it to would have already happened, the only thing thats worth anything for Nortell is the methro ethernet Business and they cant even find a seller for that, I hope you people really start looking the mirror dont talk to me about Nortell, or Primus though If i had to pick one its Primus, because another thing working against Nortell is there hated amoung big time investors and mutual funds only thing left in that stock is pymping and dumping and thats the bottom line

Nortel's Optical, Ethernet Chief Morin talks 40G

Dec 3, 2008 2:13 PM, By Ed Gubbins

Nortel Networks today announced its 36th and 37th customer wins for the 40-gigabit-per-second optical gear it released in April: US cable TV provider Mediacom Communications and Canadian carrier Telus. The news comes just weeks after analysis firm Ovum declared that the 40G market is finally beginning to enter a “generalized deployment phase,” with 40G revenue growing 48% annually from a base of $178 million last year. Philippe Morin, president of Nortel’s Metro Ethernet Networks group (which includes optical gear) spoke with Telephony’s Ed Gubbins today about the market.

On 40G applications: The biggest part of our 40G business right now is not router-to-router connectivity; it’s 4 by 10. What you’ve seen from Ovum is that in the past -- until Nortel came out with a solution – 40G deployments were predominantly routers to routers. Because our solution is more cost-effective than 4 by 10, we’re now replacing – it’s a bit what we did with 2.5G and 10G in ‘99 and 2000 – we’re now going after the 4 by 10 market. That’s why we’ve got so many wins in such a short time frame. We’ve gone from April to sitting here in December with 37 wins -- that’s a pretty steep ramp. And in a third of these wins, we were not the incumbent. [Note: Nortel was the incumbent at Telus, however, and at another recent 40G win, Alaska Communications Systems.]

On 40G drivers: It’s all about bandwidth growth around the world, driven by our appetite for video. Cable TV providers, for example, are looking at video on demand and high-definition VOD. Every minute, 10 hours of video are uploaded onto YouTube. The long-haul 40G solution we provided Telus with is to help them manage bandwidth growth, predominantly driven by data-center connectivity -- especially in Canada, being a pretty big geography, helping them reach those data centers [is important].

On 40G and carrier spending: [Carriers] need to go to 40G because it’s more cost-effective than continuing with 10G. In a recession, they’re still going to be looking for ways to cost-reduce their solutions, and that’s why they’re jumping up to the 40G. When you can show them there’s a very simple path to 100G by just replacing a circuit pack, in our case, it makes it more compelling to upgrade the network.

On 100G: We’re targeting the end of next year for productizing [100G]. From a market demand point of view, the real trigger initially on 100G will be driven by router-to-router connectivity, once they have that 100G interface.

On the proposed sale of the Metro Ethernet Networks group: The exploration of the divestiture is absolutely continuing. We’re continuing the same level of investment [in the group] in terms of product and sales support.

This Stock is headed for the crapper, seriously bad earnings cash dwinldling, and there an area thats really suffering Vonage to has become stale and if companies like ATT have to make job cuts, and other telcoms like Alcatel-Lucent, and Nortel are struggling you expect this small company to make it, and there wont be no buyout would have already happened the stock has long been cheap enough for that, this company has no new products or anything and its quite frankly stale, the only place this company is going is in the Crapper shoot.

It seems unbelievable to me that there is not a whole lot of interest in this company at this point. I have read through their newest filing, and the numbers are very incredible. In just one year they've increased their net income by 4X. I don't currently own this stock because I just found it today, but I am going to do some more serious DD and find out. This stock maybe should be trading at 3 times the price it is now.

News out

MCLEAN, VA, Jul 31, 2008 (MARKET WIRE via COMTEX) -- PRIMUS Telecommunications Group, Incorporated (OTCBB: PRTL), a global, facilities-based integrated communications services provider, today announced its results for the quarter and six months ended June 30, 2008.

Second Quarter 2008 Highlights:

-- $236 Million Net Revenue, Up $10 Million or 5% From Prior Quarter

-- $15 Million Income from Operations, Up $5 Million From Prior Quarter

-- $24 Million Adjusted EBITDA, Up $9 Million From Prior Quarter

-- $64 Million of Debt Principal Reduction

-- Net Revenue and Adjusted EBITDA Guidance Adjusted Upward

PRIMUS reported second quarter 2008 net revenue of $236 million, up $10 million from $226 million in both the prior and year-ago quarters. The Company reported $44 million of net income for the quarter, compared to a net loss of $3 million in the prior quarter and net income of $12 million in the second quarter 2007. As a result, the Company reported basic and diluted net income per common share of $0.31 and $0.24, respectively, in the second quarter 2008, as compared to basic and diluted net loss per common share of ($0.02) in the prior quarter and basic and diluted net income per common share of $0.10 and $0.07, respectively, in the year-ago quarter.

"We are encouraged by our second consecutive quarter of net revenue growth. Based on this performance we are revising upward our 2008 revenue guidance. We are now targeting positive year-over-year revenue growth versus our earlier guidance of a 2% to 5% decline in 2008," said K. Paul Singh, Chairman and Chief Executive Officer of PRIMUS. "We are also pleased that continued increases in our growth products have again eclipsed the decline in legacy services."

"Growth in net revenue, together with continued cost management, has generated $24 million in Adjusted EBITDA, up sharply from $15 million in the first quarter. Even after excluding the $6 million regulatory award involving excessive pricing by Telstra, Adjusted EBITDA results represent a sequential increase of 17%."

Also during the quarter, as previously announced, PRIMUS reduced outstanding debt principal by $63 million through private exchange transactions. The Company successfully issued $67 million principal amount of new debt plus $4.7 million in cash in exchange for $130 million principal amount of outstanding debt. This transaction reduced overall debt principal levels by 10%, reduced debt maturing in the latter half of 2009 from $28.1 million to $22.8 million, and reduced debt maturing in the latter half of 2010 from $133.6 million to $57.6 million.

Subsequent to the end of the second quarter, a Canadian affiliate, of which the Company currently owns slightly less than 50% of the equity, sold certain primarily rural WIMAX spectrum assets (representing approximately 10% of its spectrum population coverage) for cash consideration of $5 million. "While we continue to pursue other potential sales of select assets to improve liquidity and to narrow geographical focus to our major franchises, prevailing uncertainty in the capital markets combined with a weak overall economic outlook is likely to extend our time horizon to meet the goal of generating $50 million in cash proceeds from assets sales, particularly if valuation parameters are not at acceptable levels," Mr. Singh said.

"In light of our revised revenue guidance and operating performance, and assuming currency exchange rates remain at current levels, we are adjusting upward our full year 2008 Adjusted EBITDA target to the vicinity of $75 million, versus a previous range of $65 million to $80 million. As in past quarters, that outcome will be influenced by the success we achieve in our expanded sales and marketing efforts. We continue to expect capital expenditures for the year to be in the $25 million to $30 million range, approximately $5 million lower than our initial guidance," Mr. Singh concluded.

I didn't know Primus was a publc company until I went to their website today to check on rates. I have used their service (mainly for calls to Russia), and have been very happy with it for more than 7 years now.

I can't say the stock has a healthy chart though... what's basically wrong with this company?

London, Ontario Businesses Benefit From New Primus Internet Data Centre

Information Technology Infrastructure Assures 100% Uptime Allowing Businesses to Concentrate on Core Competencies

LONDON, ON, Feb 27, 2008 (MARKET WIRE via COMTEX) -- Primus Telecommunications Canada Inc. (Primus Canada) today announced the opening of a new state-of-the-art Internet Data Centre (IDC) in London, Ontario. The new facility houses and manages mission critical computer server hardware and software assets and addresses a demand from local small- and medium-sized businesses (SMBs) for better IT support.

Small businesses with fewer than 100 employees and medium-sized firms that have between 100 and 500 employees make up 97.7 per cent of businesses in Canada. To address common challenges faced by SMBs, such as lack of resources to dedicate to IT staff and infrastructure, Primus' London IDC provides a cost-effective, secure, safe and reliable location to house IT infrastructure.

"Primus customers across the country have told us they want locally based solutions to their IT needs," said A.J. Byers, Senior Vice President, Primus Business Services. "This new IDC in London allows small- and medium-sized businesses across southwestern Ontario to become more productive and focus on their specialized business operations so they can in turn innovate more aggressively."

According to the London Economic Development Corporation (LEDC), Primus's new facility offers local and regional businesses options for a local IDC that serves London's growing technology and business sectors. By easing the significant up-front cost for technology investment and providing critical IT solutions, the alternative offered by Primus allows SMBs to focus on their core business functions.

"This new facility demonstrates Primus's commitment to the London market and is a very positive indication of the growth of the small- and medium-sized business sector in London," said Peter White, President and CEO, LEDC. "We look forward to working with Primus in its support of London businesses."

The first phase of the new 22,000 square foot Class-A data centre includes 3,500 square feet of raised floor area. Located in an unmarked location with a single secure entrance, the IDC offers protection for servers allowing for maximized up time during a power failure using redundant Uninterruptible Power Supply (UPS), and a backup diesel generator.

"Our global multimedia company offers a high degree of engineering in the multimedia products we offer," said Geoff Wagget, Vice President, Operations, for EK3, a global multimedia company based in London, Ontario. "Without proper network fail-safe infrastructure like what Primus is offering, we cannot deliver our solutions. Primus's superior value-added services such as higher security, redundant transmission links, environmental controls and power failure backup systems put us in a class above our competition to provide reliability in our solutions."

The facility offers industry leading managed services, fire suppression, enhanced power management and disaster recovery systems. A state-of-the-art cooling system with full redundancy ensures guaranteed climate control for high density servers available today and in the future.
