Item 8.01.    Other Events.

The Bank of New York Mellon Trust Company, N.A. resigned as trustee under that certain Indenture dated as of February 20, 2001 as supplemented from time to time (the “Indenture”), among Southern Company Gas Capital Corporation, as issuer (the “Issuer”), Southern Company Gas, as guarantor (the “Guarantor”), and The Bank of New York Mellon Trust Company, N.A. (formerly known as The Bank of New York Trust Company, N.A., as successor in interest to The Bank of New York), as trustee, pursuant to which all of the Issuer’s senior notes, which are guaranteed by the Guarantor, are issued. Wells Fargo Bank, National Association has accepted the appointment as successor trustee under the Indenture. The resignation and appointment were effective on February 4, 2020.
