Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Covia Holdings Corporation (“we,” “us,” “our” or “registrant”) appointed Rory F. O’Donnell, Jr. to serve as our Senior Vice President, Controller and as our principal accounting officer, effective April 1, 2019.  Mr. O’Donnell, 41, has served as our Senior Vice President, Accounting and Tax since February 2019.  Prior to joining us, Mr. O’Donnell served as Senior Vice President and Controller of Signet Jewelers, Ltd. from October 2014 to February 2019, Assistant Controller of Cleveland-Cliffs Inc. from June 2012 to October 2014, and Assistant Controller of Ferro Corporation from June 2011 to June 2012.  Mr. O’Donnell also provided audit and advisory services while employed by KPMG from September 1999 to June 2011.  Mr. O’Donnell earned a Bachelor of Science degree in accounting from the University of Dayton, and is a certified public accountant licensed in the State of Ohio.
