On April 14, 2022, the Board of Directors (the “Board”) of Biohaven Pharmaceutical Holding Company Ltd. (the “Company”) appointed Irina Antonijevic, M.D., Ph.D., as a director, effective May 1, 2022. Dr. Antonijevic will serve in the class of directors whose term will expire at the Company’s 2023 Annual Meeting of Shareholders. There is no arrangement or understanding between Dr. Antonijevic and any other person pursuant to which she was selected as a director of the Company, and there is no family relationship between Dr. Antonijevic and any of the Company’s other directors or executive officers. Since the beginning of the Company’s last fiscal year, there are no transactions in which the Company was or is to be a participant and in which Dr. Antonijevic or any member of her immediate family had or will have any interest that are required to be reported under Item 404(a) of Regulation S-K.
In accordance with the Company’s compensation policy for non-employee directors, on May 1, 2022, Dr. Antonijevic will be granted an option to purchase the Company’s common shares with an aggregate grant date fair value of $713,875. The shares underlying this option will vest ratably in three annual installments on each anniversary of the grant date, subject to Dr. Antonijevic’s continuous service through each vesting date. Additionally, Dr. Antonijevic will be entitled to receive a $50,000 annual retainer for her service as a director.
