Item 2.02. Results of Operations and Financial Condition.
On July 30, 2020, Exponent, Inc. issued a press release announcing its financial results for the second quarter ended July 3, 2020. The press release is attached hereto as Exhibit 99.1 and incorporated by reference.
Item 7.01. Regulation FD Disclosure.
On July 30, 2020, Exponent, Inc. announced that its Board of Directors has declared a quarterly cash dividend of $0.19 per share to be paid on September 25, 2020 to all common stockholders of record as of September 11, 2020. As disclosed in our 8-K filed on May 29, 2020, our Board of Directors authorized an additional $45 million for share repurchases adding to our existing $30 million available under the current authorization for repurchase. In total, we now have $75 million available to repurchase shares. The authorization permits us to purchase our common stock in the open market or privately negotiated transactions in compliance with the Securities and Exchange Commission's Rule 10b-18. A copy of the press release announcing the dividend and additional share repurchase authorization is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
