As
previously disclosed, on April 20, 2020, Boxlight Corporation, a Delaware corporation (the “Company”), received a
letter from Nasdaq notifying the Company that its common stock had failed to maintain a minimum bid price of $1.00 (the “Minimum
Bid Price Requirement”) over the previous consecutive 30 days as required for continued listing on the Nasdaq Capital Market
(“Nasdaq”) pursuant to Nasdaq Listing Rule 5550(a)(2).
On
July 24, 2020, we received notification from Nasdaq that the Company had regained compliance with the Minimum Bid Price Requirement
as the Company had maintained a closing bid price of $1.00 or greater for a period of ten consecutive business days. In conjunction
with receipt of this notice, we issued a press release, which is attached hereto as Exhibit 99.1 and is furnished herewith.
