SOUNDTRACS PLC ("THE COMPANY")
DISPOSAL OF SPENDOR AUDIO SYSTEMS LIMITED ("SPENDOR")
The Company is pleased to announce that it has exchanged
contracts for the sale of the business and assets of Spendor
for a cash consideration of #160,000. The company has
received this payment in cash subject to a pound-for-pound
adjustment dependant upon the completion accounts which are
expected to be finalised by 31 January 2001.
Spendor is a designer and manufacturer of high quality
loudspeakers for professional and consumer use. In the
financial year ended 31 October 1999, Spendor made a loss
before taxation of #1,000 on turnover of #686,000. At that
date it had net assets of #866,000, including cash of
approximately #313,000 and an inter-company loan of
approximately #300,000. On completion, Soundtracs will
receive other cash distributions from Spendor, which the
Board currently expects to be of the order of #600,000.
Over the last few years the transition from analogue to
digital electronics has led to a radical change in
Soundtracs core business. The Board of Soundtracs concluded
that new ownership would serve Spendor best for the future
of that business and enable Soundtracs to utilize the
proceeds of the sale to deploy in its digital audio
business.
The Spendor business will continue to trade as Spendor Audio
Systems Limited from its current Hailsham facility with the
existing complement of staff.
