               Aegis Restructures Media Operations For Growth



Aegis Group plc ("Aegis") - the media communications and market research group -
announced today the formation of Aegis Media as a platform for all of its media
operations.  Aegis Media will support all of Aegis' client facing media brands
including Carat, Posterscope and its portfolio of specialist communications
services agencies. It will also support Aegis' new independent media network,
Vizeum, which will be launched on 16 June.

Carat and Vizeum will operate as separate media networks.



The new structure is being created to provide more cohesion within Aegis' media
businesses, to increase the range of services used by clients and to optimise
the buying clout of the combined group.



Doug Flynn, CEO, Aegis Group plc will take direct responsibility for Aegis Media
on a worldwide basis.  Initially launched in Europe only, Aegis Media activities
will be run by the current management team with Bruno Kemoun and Eryck Rebbouh
becoming joint CEOs of Aegis Media Europe.  They will have responsibility for
the establishment of Aegis Media throughout Europe.



It is anticipated that Aegis Media will be rolled-out globally in the latter
part of 2003 under the regional leadership of David Verklin in the Americas and
David Liu in Asia-Pacific.



The costs associated with creating Aegis Media are modest.  Aegis Media Central
Services will provide a range of shared back office services and internal
resources so that the efficiency of the group is optimised.



Commenting on the new structure, Doug Flynn, CEO of Aegis plc, said:

efficiency benefits that exist within the Aegis Group, and provide us with an
improved platform from which to grow the business. The structure means that both
Carat and Vizeum will enjoy the Group's buying clout and centralising the back
office services will allow us to manage our costs more efficiently."



Bruno Kemoun and Eryck Rebbouh, joint CEOs Aegis Media Europe said:
