Directorate changes

On 16 January 2012, Unternehmensgruppe Theo Muller S.e.c.s ("Muller") and Wiseman announced that they had reached agreement on the terms of a recommended cash offer to be made by Muller Dairy (U.K.) Limited ("Muller Dairy (UK)") for the entire issued and to be issued ordinary share capital of Wiseman (the "Offer").

Following the announcement this morning that (1) the Offer is now unconditional in all respects; and (2) Muller intends to procure that Wiseman applies to the UK Listing Authority for the cancellation of the listing of Wiseman Shares on the Official List and to the Main Market of the London Stock Exchange for the cancellation of admission to trading of Wiseman Shares on its main market for listed securities, the non-executive directors of the Company (namely Norman Murray, Ernest Finch and Jack Perry (the "Non-Executive Directors")) have resigned with immediate effect.

On behalf of all Wiseman Shareholders the executive directors of Wiseman wish to express their thanks to the Non-Executive Directors for their dedicated service to the Company over the years and to wish them all the best for the future.

Wiseman further announces that Robert Wiseman has resigned today as Chairman of the Company but will remain as a non-executive director. In addition, Theo Muller Jnr, Ronald Kers & Dr. Henrik Bauwens were appointed as non-executive directors of Wiseman today and Heiner Kamps was appointed as non-executive Chairman.

In relation to the appointment of Heiner Kamps, he is a director of International Food Retail Capital plc which, until de-listing in February 2010, was a Cypriot company listed on the AIM market of the London Stock Exchange. No further information is required to be disclosed pursuant to Listing Rule 9.6.13 in relation to Mr Kamps.

There are no matters required to be disclosed in relation to paragraph 9.6.13 of the Listing Rules in respect of Theo Muller Jnr, Ronald Kers & Dr. Henrik Bauwens.
