Purchaser Transactions
We entered into an investment agreement, dated June 12, 2016, with Bain Capital Fund XI, L.P. and Bain Capital Europe Fund IV, L.P.
(collectively, Bain) and Silver Lake Partners IV Cayman (AIV II), L.P. (Silver Lake, and together with Bain, the Purchasers), as amended (the Investment Agreement), pursuant to which we sold
$1,250,000,000 aggregate principal amount of our 2.00% Convertible Senior Notes due 2021 to affiliates of the Purchasers. The sale of the notes pursuant to the Investment Agreement closed on August 1, 2016. In connection with the closing, we
entered into an indenture, dated August 1, 2016, with Wells Fargo Bank, National Association (the Indenture), pursuant to which the notes were issued. The notes are convertible into cash, shares of our common stock or a combination
of cash and common stock, at our option, at any time prior to the close of business on the scheduled trading day immediately preceding August 15, 2021, at an initial conversion rate of 48.9860 per $1,000 principal amount of the notes
