                   Floating Rate Guarenteed Notes due 2000
                          with Fixed Rate Option

Please be advised that we wish to repurchase and cancel US$18,000,000 principal
amount of the above Notes issued on 18 December 1990.

We will purchase the US$18,000,000 principal amount of Notes value 18th June
1999 from Fuji International Finance PLC.

Upon receipt of such Notes, we will instruct Euroclear to cancel them and mark
down the Global Note accordingly.  When you receive notice from Euroclear of the
destruction of the notes, please issue the destruction certificate to us.
