On July 7, 2009, Vuance Ltd. issued a press release announcing that with respect to the financial statements included in the company’s Annual Report on Form 20-F for the fiscal year ended December 31, 2008, the audit opinion of Fahn Kanne & Co., the company’s independent registered public accounting firm, contained a “going concern” qualification.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
