Item 7.01 Regulation FD Disclosure.

 

Effective February 5, 2024, pursuant to the Senior Secured Convertible Note issued by Gaucho Group Holdings, Inc. (the “Company”) to that certain investor (the “Holder”) on February 21, 2023 (the “Note”), the Holder elected to increase the cap on its beneficial ownership of the Company from 4.99% to 9.99% per Section 3(d)(i) of the Note (the “Maximum Percentage”) by providing written notice to the Company. Such increase in the Maximum Percentage will not be effective until the sixty-first (61st) day after such notice is delivered to the Company.
