(“AI”), Embark Technology, Inc., ("Embark") and Azara Merger Sub, Inc., a wholly owned subsidiary of AI (“Merger Sub”), Merger Sub merged with and into Embark with Embark surviving such merger as a wholly-owned subsidiary of AI.
