Item
1.01. Entry into a Material Definitive Agreement.
On
January 22, 2018, Liberty Star Uranium & Metals Corp. (the “Company”) issued a convertible promissory note (the
“January Note”) to JSJ Investments Inc. (“JSJ”) in the principal amount of $50,000. The January
Note bears interest at 12% per annum and matures on January 22, 2019. Pursuant to Section 2 of the January Note, the outstanding
principal and accrued interest on the January Note shall be convertible into shares of the Company’s common stock as set
forth therein.
The
foregoing descriptions of the January Note and of all of the parties’ rights and obligations thereunder are qualified in
their entirety by reference to the January Note, copies of which are filed as Exhibits 10.1 to this Current Report on Form 8-K,
and which are incorporated herein by reference.
