We, as members of management of Medallion Financial Corp. and its investment company subsidiaries (the
Company), are responsible for complying with the requirements of subsections (b) and (c) of
Rule 17f-2,
Custody of Investments by Registered Management Investment Company, of
the Investment Company Act of 1940. We are also responsible for establishing and maintaining effective internal controls over compliance with those requirements. We have performed an evaluation of the Companys compliance with the requirements
of subsections (b) and (c) of
Rule 17f-2
as of October 3, 2017 and from June 21, 2017 through October 3, 2017.

Agreement of the ten (10) security purchases and the eleven (11) security sales, maturities or settlements since our last report from the books and records of the Company to the related agreements.
