Financial Payment Systems Limited's issued capital comprises 91,666,671 shares
of 5 pence each. All of these shares carry voting rights.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or change to their interest in, FPS under the FSA's Disclosure and
Transparency Rules.
