We have been 100% right here for the past year.
What a mess here. I don’t know when or if it will trade again. I truly feel bad for these investors here. But, the writing was on the wall. There were several red flags that we sometimes ignore because we tend to overlook these deficiencies thinking that the company really has their shareholders best interest. Not always the case. Too soon to tell where Troy will end up with regards to being an effective CEO. So far he has failed miserably.

CORRECT-The auditor they inherited from the shell was a CROOK...BOPO did nothing WRONG...hence their move to another auditor. Hopefully announcements come soon on the smatter and they file and we start trading again.

BOPO’s audit firm has been suspended for screwing hundreds of otc companies by not completing audits and/or fabricating them …and in the case of BOPO outrageously increasing the audit fees..obviously bopo is looking for new auditing firm..and hopefully find soon with all these projects lining up.

THIS JOINT VENTURE AGREEMENT is made the 5th day of May 2023.

Furthermore, the Company must now appoint Kip Harris, one of POWGEX’s officers, to its board of directors and James Waithaka, another of POWGEX’s officers, to its board of directors one year from the date of the Agreement. DEAL CONDITIONS


3.1. The parties agree and understand that this Agreement is conditional upon the following:


3.1.1. POWGEX provides HYFI all executed agreements listed in Schedule 1 within 30 business days of the Agreement’s execution date.


3.1.2. HYFI will arrange for an investment in POWGEX of not less than Six Million Dollars USD ($6,000,000) before fees and costs in the form of a note, loan or bond within 30 business days of this Agreement’s execution date according to a mutually agreed Term Sheet and Closing Date.


3.1.3. When the funds in 3.1.2 are received by POWGEX it will make a one Million Dollar USD ($1,000,000) loan to HYFI, repayable from the funds being raised and described in 3.1.4.


3.1.4. HYFI will arrange for an investment in POWGEX of not less than Four Hundred and Fifty Million Dollars USD ($450,000,000) before fees and costs in the form of a note, loan or bond within 90 business days of this contracts execution date according to a mutually agreed Term Sheet and Closing Date.
