On December 27, 2022, the Company issued a press release announcing the completion of the redemption of its outstanding shares of Class A Common Stock subject to redemption, totaling 2,046,609 shares, in accordance with the Company’s Amended and Restated Certificate of Incorporation, dated September 21, 2022. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
