On June 16, 2019, C&J Energy Services, Inc. (“C&J”), Keane Group, Inc. (“Keane”)
and King Merger Sub Corp., a wholly owned subsidiary of Keane (“Merger Sub”), entered into an Agreement and Plan of Merger (as it may be amended from time to time, the “Merger Agreement”), pursuant to which they agreed to combine
their respective businesses in a merger of equals. Pursuant to the Merger Agreement, Merger Sub merged with and into C&J, with C&J as the surviving corporation and wholly owned subsidiary of Keane, and immediately thereafter, as part of the
same transaction, C&J merged with and into another wholly owned subsidiary of Keane, with such subsidiary continuing as the surviving entity.
