Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 12, 2023, the Board of Directors (the “Board”) appointed Argon Lam, a current Director of Global Star Acquisition, Inc. (the “Company”) since November 15, 2022, to serve as a member of both the Compensation Committee of the Board and the Audit Committee of the Board, effective immediately. On the same day, the Board also appointed Jukka Rannila, a current director of the Company since September 19, 2022, to serve as a member of the Compensation Committee of the Board, effective immediately.

Item 7.01. Regulation FD Disclosure

On January 12, 2023, the Company issued a press release announcing the appointments of Argon Lam and Jukka Rannila to serve as members of the Compensation Committee, and the appointment of Argon Lam to serve as a member of the Audit Committee. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.01.
