Item 1.01 |
Entry into a Material Agreement. |
On May 4, 2015, Regado Biosciences, Inc., a
Delaware corporation (Regado or the Company), entered into a Purchase Agreement (the Purchase Agreement) with certain stockholders of Tobira (as defined in Item 2.01 below), including
Domain Associates, Novo Ventures, Frazier Healthcare, and Canaan Partners, and certain other accredited investors (the Investors), which provided for the sale and issuance, promptly after the consummation of the Merger (as defined
in Item 2.01 below), of 2,542,365 shares of Regado common stock (the Financing) at a per share purchase price of $10.62 (which price is equal to the closing price of Regados common stock on April 30, 2015, as
adjusted by the 9-for-1 reverse split discussed in Item 3.03 and Item 5.07 below). The Purchase Agreement includes customary representations and warranties by each party thereto. In addition, among other matters, Regado agreed to indemnify
the Investors from liabilities relating to Regados breach of any of the representations, warranties and covenants in the Purchase Agreement or any action instituted against an Investor by any unaffiliated stockholder of Regado with respect to
the Financing and related transactions. The aggregate value of the Financing totaled approximately $27 million. Regado intends to use the proceeds from the Financing for working capital and general corporate purposes.
Concurrently with the execution of the Purchase Agreement, Regado entered into a Registration Rights Agreement (the Registration
Rights Agreement), pursuant to which Regado will file, no later than 60 days after the closing of the Financing, a registration statement with the Securities and Exchange Commission (the SEC) covering the resale of the
shares sold to the Investors in the Financing and will use commercially reasonable efforts to have the registration statement declared effective within 120 days after the closing of the Financing (or 180 days if the registration statement is subject
to SEC review). Under the Registration Rights Agreement, Regado has also agreed to maintain the effectiveness of the registration statement until the earliest of (a) the date as of which Investors may sell all of their securities covered by the
registration statement without restriction pursuant to Rule 144, (b) the date on which the Investors have sold all of their securities covered by the registration statement, or (c) the second anniversary of the effectiveness of the
registration statement. If the registration statement (i) is not filed with the SEC by the filing deadline, (ii) is not declared effective by the effectiveness deadline, (iii) in certain circumstances, ceases to be effective or the
Investors are not permitted to use the prospectus to resell their shares, in each case, for more than 20 consecutive trading days or 45 trading days during any 12 month period, or (iv) is not effective and Regado fails to satisfy the current
public information requirement pursuant to Rule 144(c)(1), Regado must pay liquidated damages equal to 1% of the aggregate purchase price paid by the Investor and, for each 30 day period thereafter, pay an additional 1%, subject to a maximum
amount of 6% in the aggregate. Pursuant to the Registration Rights Agreement, Regado has also agreed to pay the reasonable fees and expenses of one counsel to the Investors up to an aggregate amount of $25,000.

Item 2.01 |
Completion of Acquisition or Disposition of Assets. |
On May 4, 2015, Regado
completed its business combination with Tobira Therapeutics, Inc., a privately held Delaware corporation developing and commercializing innovative therapeutics to treat liver disease, human immunodeficiency virus, or HIV-1, fibrosis and
inflammation (Tobira), in accordance with the terms of an Agreement and Plan of Merger and Reorganization, dated as of January 14, 2015, as amended on January 23, 2015 (the Merger Agreement), by and
among the Company, Landmark Merger Sub Inc., a Delaware corporation and a wholly owned subsidiary of the Company (the Merger Subsidiary), Tobira, and Brent Ahrens, as the Companys stockholders agent. On
May 4, 2015, pursuant to the Merger Agreement, the Merger Subsidiary merged with and into Tobira, with Tobira surviving the merger and becoming a wholly owned subsidiary of Regado (the Merger). In connection with the Merger,
the name of the surviving corporation was changed to Tobira Development, Inc. and Regado changed its name to Tobira Therapeutics, Inc.
As a result of the consummation of the Merger, and after giving effect to a 9-for-1 reverse stock split, discussed in Item 3.03 and
Item 5.07 below, each outstanding share of Tobira common stock then outstanding (including each share issued immediately prior to the consummation of the Merger pursuant to the conversion of principal and interest due and payable by Tobira
under certain promissory notes and pursuant to the net exercise of certain warrants to purchase shares of Tobira capital stock) was canceled and automatically converted into and became the right to receive approximately 1.4302 shares of Regado
common stock (as adjusted by the 9-for-1 reverse split discussed in Item 3.03 and Item 5.07 below). At the effective time of the Merger, each outstanding option, whether or not vested, to purchase Tobira common stock and certain
warrants to purchase Tobira capital stock unexercised prior to the effective time of the Merger were converted into an option or warrant, as applicable, to purchase Regado common stock. All
rights with respect to each such Tobira warrant or option were assumed by Regado in accordance with their terms. The number of shares of Regado common stock subject to each assumed Tobira warrant
or option was determined by multiplying the number of shares of Tobira common stock, or in the case of each warrant, the number of shares of Tobira common stock or the number of shares of Tobira common stock issuable upon conversion of the shares of
Tobira preferred stock issuable upon exercise of the warrant, that were subject to such option or warrant, as applicable, by the exchange ratio noted above and rounding the resulting number down for such assumed outstanding Tobira option or up for
such assumed outstanding Tobira warrant to the nearest whole number of shares of Regado common stock. The per share exercise price for the Regado common stock issuable upon exercise of each Tobira warrant or option assumed by Regado was determined
by dividing the per share exercise price of the option, or in the case of each warrant, the per share exercise price of the warrant, as applicable, by the exchange ratio noted above and rounding the resulting exercise price up to the nearest whole
cent.
Immediately following the effective time of the Merger, Regado sold to Investors, in a private placement, shares of Regado common
stock having an aggregate value of approximately $27 million in the Financing. After giving effect to the Financing, immediately following the closing of the Merger and the Financing, former Tobira stockholders as of immediately prior to the Merger
(excluding any such stockholders holdings acquired in the Financing) owned approximately 63% of the combined companys common stock, Regado stockholders as of immediately prior to the Merger owned approximately 23%, of the combined
companys common stock and the Investors owned approximately 14% of the combined companys common stock. The issuance of the shares of Regado common stock to the former stockholders of Tobira in connection with the Merger and the
Financing was approved by Regados stockholders at a special meeting held on May 4, 2015 as discussed in Item 5.07 below. As previously disclosed, Tobiras stockholders adopted the Merger Agreement on January 24, 2015.
On May 4, 2015, Regado issued a press release announcing the consummation of the Merger and related transactions. A copy of the
press release is filed as Exhibit 99.1 hereto and is incorporated by reference herein.
Item 3.02 |
Unregistered Sales of Equity Securities |
Pursuant to the Merger, Regado issued shares of
its common stock. The number of shares issued, the nature of the transaction, the nature and amount of consideration received by Regado and the terms of conversion of the options and warrants are described in Item 2.01 of this Form 8-K,
which is incorporated by reference into this Item 3.02. Such sales were exempt from registration under Section 4(2) and Regulation D under the Securities Act of 1933, as amended, and the rules promulgated thereunder.
As more fully described in Item 1.01 above, on May 4, 2015, in connection with and pursuant to the Purchase Agreement, Regado sold
2,542,365 shares of its common stock to the Investors for gross proceeds of approximately $27 million. Such sales were exempt from registration under Section 4(2) and Regulation D under the Securities Act of 1933, as amended, and the
rules promulgated thereunder. Regado made this determination based on the representations of the Investors, which included, in pertinent part, that each Investor was an accredited investor as that term is defined in Rule 501 of
Regulation D, and that such Investor was acquiring the shares for investment purposes for its own account and not as nominee or agent, and not with a view to the resale or distribution thereof, and that such Investor understood that the shares may
not be sold or otherwise disposed of without registration under the Securities Act or an applicable exemption therefrom.
Item 3.03 |
Material Modification to Rights of Security Holders. |
At the special meeting of
Regados stockholders held on May 4, 2015, and as further discussed in Item 5.07, its stockholders approved an amended and restated certificate of incorporation to effect a 9-for-1 reverse stock split of Regados common stock
(the Reverse Split), and approved an amendment to the amended and restated certificate of incorporation of Regado to change its name from Regado Biosciences, Inc. to Tobira Therapeutics, Inc.
On May 4, 2015, after the close of market, in connection with, and immediately prior to, the completion of the Merger, Regado filed the
amended and restated certificate of incorporation with the Secretary of State of the State of Delaware to effect the Reverse Split. As a result of the Reverse Split, the number of issued and outstanding shares of Regados common stock
immediately prior to the Reverse Split were reduced into a smaller number of shares, such that every 9 shares of Regados common stock held by a stockholder immediately prior to the Reverse Split were combined and reclassified into one share of
Regados common stock. Immediately following the Reverse Split, but prior to the completion of the Merger and Financing, there were approximately 3,734,356 shares of Regado common stock outstanding.
No fractional shares were issued in connection with the Reverse Split. In accordance with the amended and restated certificate of
incorporation, any fractional shares resulting from the Reverse Split will be rounded down to the nearest whole number and each stockholder who would otherwise be entitled to a fraction of a share of common stock upon the Reverse Split (after
aggregating all fractions of a share to which the stockholder would otherwise be entitled) will receive a cash payment in an amount equal to the fair market value of the fractional share based on the closing price of Regados common stock on
The NASDAQ Capital Market on May 4, 2015.
Also on May 4, 2015, in connection with and immediately following the Merger, Regado filed
an amendment to the amended and restated certificate of incorporation with the Secretary of State of the State of Delaware to change the Companys name from Regado Biosciences, Inc. to Tobira Therapeutics, Inc.

of incorporation are subject to and qualified in their entirety by reference to the amended and restated certificate of incorporation and the amendment to the amended and restated certificate of incorporation, copies of which are attached as Exhibit

Changes in Control of Registrant |
Reference is made to Item 2.01 of this Current
Report on Form 8-K, which is incorporated into this Item 5.01 by reference.
In connection with the Merger, Michael A. Metzger,
Regados President, Chief Executive Officer and Chief Operating Officer resigned for good reason under his employment agreement, effective as of May 4, 2015. It is expected that Mr. Metzger will continue to provide services to the
combined company as a consultant and advise the board of the combined company on matters related to strategy and business development.

of the effective time of the Merger, the executive management team of the combined company is composed solely of the members of the Tobira executive management team prior to the Merger as set forth below:

Effective as of the effective time of the Merger, B. Jefferson Clark, Anton Gopka, Michael E. Mendelsohn, P.
Sherrill Neff, Jesse Treu and Michael Metzger resigned from Regados board of directors and any respective committees of the board of directors on which they served, and Patrick Heron, Carol L. Brosgart, M.D., Eckard Weber, M.D., Jeffrey H.
Cooper, Gwen A. Melincoff and Laurent Fischer, M.D., who served as directors of Tobira prior to the closing of the Merger, were appointed to fill these vacancies pursuant to the terms of the Merger Agreement. Accordingly, at and immediately
after the effective time of the Merger, the directors serving on the board of directors of the combined company are Andrew J. Fromkin, Dennis Podlesak, Pierre Legault, Patrick Heron, Carol L. Brosgart, M.D., Eckard Weber, M.D., Jeffrey H. Cooper,
Gwen A. Melincoff and Laurent Fischer, M.D. Mr. Mendelsohn is expected to serve on the scientific advisory board of the combined company.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers |
The information regarding the resignations from Regados board of directors, the resignation of Mr. Metzger and the appointment of
Regados new directors and executive officers included in Item 5.01 above, all of which has been previously disclosed, is incorporated herein by reference. The resignation of directors from Regados board of directors was not due to a
disagreement with Regado on any matter relating to its operations, policies or practices.
Biographical information regarding each of the
newly appointed directors and executive officers is included in Regados Proxy Statement on Schedule 14A (the Proxy), which was filed with the SEC on March 24, 2015, and is incorporated herein by reference.
Laurent Fischer, M.D. has served as a member of Tobiras board of directors since April 2009 and as Chief Executive Officer since March
2014. Under the terms of his March 2014 offer letter from Tobira, Dr. Fischer is to be employed as an at-will employee and his employment may be terminated at any time by Tobira or Dr. Fischer. Under the offer letter,
Dr. Fischers initial base salary was $385,000 per year, and Dr. Fischer was initially eligible to receive an annual cash incentive bonus based on objective or subjective criteria established by Tobiras board of directors or its
compensation committee equal to 40% of his base salary. Tobiras board of directors or compensation committee adjusts Dr. Fischers salary and bonus potential from time to time. Pursuant to the offer letter agreement, Dr. Fischer
received an option to purchase up to 587,206 shares of Tobira common stock in April 2014, which vests
as to 25% of the shares subject to the option after 12 months of Dr. Fischers continuous service and as to the remaining shares in equal monthly installments over the next 36 months of
his continuous service. The option will be subject to full acceleration upon a change in control. Dr. Fischers offer letter also provides that Dr. Fischer is eligible to participate in Tobiras general employee benefit plans in
accordance with the terms and conditions of such plans and that his employee benefits will be commensurate with benefits paid to Tobiras other senior executives. If Dr. Fischers employment is terminated without cause (as defined in
the agreement) or Dr. Fischer terminates his employment for good reason (as defined in the agreement), he will be entitled to receive continued payment of his base salary for nine months and Tobira would pay the same portion of his monthly
healthcare continuation coverage under COBRA as we pay for active employees until the earliest of (a) six months following the date of his termination, (b) the expiration of his continuation coverage under COBRA or (c) the date when
he becomes eligible for substantially equivalent health insurance in connection with new employment or self-employment. However, in the event that Dr. Fischers employment terminates without cause or Dr. Fischer terminates his
employment for good reason following a change in control Dr. Fischer would receive a lump sum payment equal to one year of his then effective base salary in lieu of the nine months of salary continuation. Such benefits are contingent on
Dr. Fischers executing and not revoking a general release of all claims against the Company.
Effective as of the effective
time of the Merger, Dr. Fischer will become the Chief Executive Officer of Regado. Although no decision has been made as to his compensation package, it is expected that he will receive compensation in line with compensation payable to other
similar executives in other similar stage companies within industries comparable to Regado.
Christopher Peetz has served as Tobiras
Chief Financial Officer and head of corporate development since March 2014. Under the terms of his March 2014 offer letter from Tobira, Mr. Peetz is to be employed as an at-will employee and his employment may be terminated at any
time by Tobira or Mr. Peetz. Under the offer letter, Mr. Peetzs initial base salary was $265,000 per year, and Mr. Peetz was initially eligible to receive an annual cash incentive bonus based on objective or subjective criteria
established by Tobiras board of directors or its compensation committee equal to 25% of his base salary. Tobiras board of directors or compensation committee adjusts Mr. Peetzs salary and bonus potential from time to time.
Pursuant to the offer letter, Mr. Peetz received an option to purchase up to 99,823 shares of common stock in April 2014, which vests as to 25% of the shares subject to the option after 12 months of Mr. Peetzs continuous service and
as to the remaining shares in equal monthly installments over the next 36 months of his continuous service. The option will be subject to full acceleration upon a change in control of Tobira. Mr. Peetzs offer letter also provides that
Mr. Peetz is eligible to participate in Tobiras general employee benefit plans in accordance with the terms and conditions of such plans and that his employee benefits will be commensurate with benefits paid to our other senior
executives.
If Mr. Peetzs employment is terminated without cause (as defined in the agreement) or Mr. Peetz terminates
his employment for good reason (as defined in the agreement), he will be entitled to receive continued payment of his base salary for six months and we will pay the same portion of his monthly healthcare continuation coverage under COBRA as we pay
for active employees until the earliest of (a) six months following the date of his termination, (b) the expiration of his continuation coverage under COBRA or (c) the date when he becomes eligible for substantially equivalent health
insurance in connection with new employment or self-employment. However, in the event that Mr. Peetzs employment is terminated without cause or Mr. Peetz terminates his employment for good reason following a change in control,
Mr. Peetz will receive a lump sum payment equal to one year of his then effective base salary in lieu of the six months of salary continuation. Such benefits are contingent on Mr. Peetz executing and not revoking a general release of all
claims against the Company.
Effective as of the effective time of the Merger, Mr. Peetz will become Chief Financial Officer of
Regado. Although no decision has been made as to his compensation package, it is expected that he will receive compensation in line with compensation payable to other similar executives in other similar stage companies within industries comparable
to Regado.
Effective as of the effective time of the Merger, the composition of the committees of the Regado board of directors is as
follows: (1) the audit committee is comprised of Pierre Legault (chairman of the audit committee), Andrew J. Fromkin and Jeffrey H. Cooper, (2) the compensation committee is comprised of Andrew J. Fromkin (chairman of the compensation
committee), Gwen A. Melincoff and Patrick Heron and (3) the nominating and corporate governance committee is comprised of Jeffrey H. Cooper (chairman of the nominating and corporate governance committee), Carol L. Brosgart, M.D. and Eckard
Weber, M.D.

FIRST: The name of this corporation is Regado Biosciences, Inc. This
corporation was originally incorporated under the name Quartet Biosciences, Inc. by the filing of its original Certificate of Incorporation with the Secretary of State of the State of Delaware on December 19, 2001.
SECOND: The Amended and Restated Certificate of Incorporation in the form of Exhibit A attached hereto has been duly adopted in
accordance with the provisions of Sections 242 and 245 of the DGCL.
THIRD: The text of the Amended and Restated Certificate of
Incorporation as heretofore amended or supplemented is hereby restated and further amended to effect a 1 for 9 reverse stock split and to read in its entirety as set forth in Exhibit A attached hereto.
FOURTH: The text of the Certificate of Designation of Series F Convertible Preferred Stock is hereby referenced in its entirety as set forth

CERTIFICATE OF INCORPORATION

ARTICLE I
The
name of the Corporation is Regado Biosciences, Inc. (the Corporation).
ARTICLE II
The address of the registered office of the Corporation in the State of Delaware is Corporation Trust Center, 1209 Orange Street, Wilmington,
New Castle County, Delaware 19801, and the name of the registered agent at such address is The Corporation Trust Company.
ARTICLE III
The purpose of the Corporation is to engage in any lawful act or activity for which corporations may be organized under the Delaware General
Corporation Law (the DGCL).
ARTICLE IV
CAPITAL STOCK
The total
number of shares of capital stock which the Corporation shall have authority to issue is Five Hundred and One Million (501,000,000), of which (i) Five Hundred Million (500,000,000) shares shall be a class designated as common stock, par
value $0.001 per share (the Common Stock), and (ii) One Million Shares (1,000,000) shares shall be a class designated as preferred stock, par value $0.001 per share (the Preferred Stock).
The number of authorized shares of Common Stock or Preferred Stock may from time to time be increased or decreased (but not below the number
of shares then outstanding) by the affirmative vote of the holders of a majority in voting power of the outstanding shares of stock of the Corporation entitled to vote thereon irrespective of the provisions of Section 242(b)(2) of the DGCL (or
any successor provision thereto), and no vote of the holders of any of the Common Stock or the Preferred Stock voting separately as a class shall be required therefor, unless a vote of any such holder is required pursuant to this Restated
Certificate (including pursuant to any certificate of designation of any series of Preferred Stock).
The powers, preferences and rights
of, and the qualifications, limitations and restrictions upon, each class or series of stock shall be determined in accordance with, or as set forth below in, this Article IV.
Immediately upon the filing of this Seventh Amended and Restated Certificate of Incorporation with the Secretary of State of the State of
Delaware each one (1) share of the Corporations Common Stock outstanding immediately prior to such filing shall be automatically reclassified into one-ninth of one share of the Corporations Common Stock (the Reverse
Split). The Reverse Split will occur without any further action on the part of the Corporation or the holder of any such share of Common
Stock and whether or not certificates representing such holders shares prior to the Reverse Split are surrendered for cancellation. No fractional interest in a share of Common Stock will be
deliverable upon the Reverse Split. All shares of Common Stock (including fractions thereof) issuable upon the Reverse Split held by a holder prior to the Reverse Split will be aggregated for purposes of determining whether the Reverse Split would
result in the issuance of any fractional share. Any fractional share resulting from such aggregation upon the Reverse Split will be rounded down to the nearest whole number. Each holder who would otherwise be entitled to a fraction of a share of
Common Stock upon the Reverse Split (after aggregating all fractions of a share to which such holder would otherwise be entitled) will, in lieu thereof, be entitled to receive a cash payment in an amount equal to the fraction to which such holder
would otherwise be entitled multiplied by the closing price of the Corporations Common Stock as reported on The NASDAQ Capital Market on the date of filing of this Seventh Amended and Restated Certificate of Incorporation with the Secretary of
State of the State of Delaware. The Corporation will not be obliged to issue certificates evidencing the shares of Common Stock outstanding as a result of the Reverse Split unless and until the certificates evidencing the shares held by a holder
prior to the Reverse Split are either delivered to the Corporation or its transfer agent, or the holder notifies the Corporation or its transfer agent that such certificates have been lost, stolen or destroyed and executes an agreement satisfactory
to the Corporation to indemnify the Corporation from any loss incurred by it in connection with such certificates.
A. COMMON STOCK
1. Voting. Each holder of record of Common Stock, as such, shall have one vote for each share of Common Stock which is outstanding
in his, her or its name on the books of the Corporation on all matters on which stockholders are entitled to vote generally. Except as otherwise required by law, holders of Common Stock shall not be entitled to vote on any amendment to this Restated
Certificate (including any certificate of designation relating to any series of Preferred Stock) that relates solely to the terms of one or more outstanding series of Preferred Stock if the holders of such affected series are entitled, either
separately or together with the holders of one or more other such series, to vote thereon pursuant to this Restated Certificate (including any certificate of designation relating to any series of Preferred Stock) or pursuant to the DGCL. Except as
otherwise required by law, holders of any series of Preferred Stock shall be entitled to only such voting rights, if any, as shall expressly be granted thereto by this Restated Certificate (including any certificate of designation relating to such
series of Preferred Stock).
2. Dividends. Subject to applicable law and the rights, if any, of the holders of any outstanding
series of Preferred Stock or any class or series of stock having a preference over or the right to participate with the Common Stock with respect to the payment of dividends, dividends may be declared and paid or set apart for payment upon the
Common Stock out of any assets or funds of the Corporation legally available for the payment of dividends, but only when and as declared by the Board of Directors of the Corporation (the Board of Directors) or any authorized committee
thereof.
3. Liquidation. Upon the dissolution, liquidation or winding up of the Corporation, after payment or provision for
payment of the debts and other liabilities of the Corporation and subject to the rights, if any, of the holders of any outstanding series of Preferred Stock or any class or series of stock having a preference over or the right to participate with
the Common Stock with respect to the distribution of assets of the Corporation upon such dissolution, liquidation or winding up of the Corporation, the holders of Common Stock shall be entitled to receive the remaining assets of the Corporation
available for distribution to its stockholders ratably in proportion to the number of shares held by them.
B. PREFERRED STOCK
The Board of Directors is hereby expressly authorized, by resolution or resolutions, to provide, out of the unissued shares of Preferred
Stock, for one or more series of Preferred Stock and, with respect to each such series, to fix the number of shares constituting such series and the designation of such series, and the powers (including voting powers, if any), preferences and
relative, participating, optional and other special rights, if any, and any qualifications, limitations or restrictions thereof, of the shares of such series of Preferred Stock. The powers, preferences and relative, participating, optional and other
special rights of, and the qualifications, limitations or restrictions thereof, of each series of Preferred Stock, if any, may differ from those of any and all other series at any time outstanding.
The text of the Certificate of Designation of Series F Convertible Preferred Stock is hereby referenced in its entirety as set forth in
Exhibit B of the Amended and Restated Certificate of Incorporation of Regado Biosciences, Inc. attached hereto.
ARTICLE V
STOCKHOLDER ACTION
1.
Action without Meeting. Except as otherwise provided herein, any action required or permitted to be taken by the stockholders of the Corporation at any annual or special meeting of stockholders of the Corporation must be effected at a duly
called annual or special meeting of stockholders at which a quorum is present and acting throughout and may not be taken or effected by a written consent of stockholders in lieu thereof, provided, however, that any action required or
permitted to be taken by the holders of Preferred Stock, voting separately as a series or separately as a class with one or more other such series, may be taken without a meeting, without prior notice and without a vote, to the extent expressly so
provided by the applicable certificate of designation relating to such series of Preferred Stock.
2. Special Meetings. Except as
otherwise required by statute and subject to the rights, if any, of the holders of any series of Preferred Stock, special meetings of the stockholders of the Corporation may be called only by the Board of Directors acting pursuant to a resolution
approved by the affirmative vote of a majority of the Whole Board. For purposes of this Restated Certificate, the term Whole Board shall mean the total number of authorized Directors whether or not there exist any vacancies in previously
authorized directorships. Only those matters set forth in the notice of the special meeting may be considered or acted upon at a special meeting of stockholders of the Corporation.
ARTICLE VI
DIRECTORS
1. General. The business and affairs of the Corporation shall be managed by or under the direction of the Board of Directors except as
otherwise provided herein or required by law.
2. Election of Directors. Election of Directors need not be by written ballot unless
the By-laws of the Corporation (the By-laws) shall so provide.
3. Number of Directors; Term of Office. Except as
otherwise provided for or fixed pursuant to the provisions of Article IV (including any certificate of designation of any series of Preferred Stock) and this Article VI relating to the rights of the holders of any series of Preferred Stock to elect
additional directors, the number of Directors of the Corporation shall be fixed solely and exclusively by resolution duly adopted from time to time by the Board of Directors. The Directors, other than those who may be elected
by the holders of any series of Preferred Stock, shall be classified, with respect to the term for which they severally hold office, into three classes designated as Class I, Class II and Class
III, with the number of Directors in each class to be divided as nearly equal as reasonably possible. The Board of Directors may assign members of the Board of Directors already in office to such classes as it may determine at the time the
classification of the Board of Directors pursuant to this Certificate becomes effective. Directors shall be assigned to each class in accordance with a resolution or resolutions adopted by the Board of Directors. The initial Class I Directors shall
serve for a term expiring at the first annual meeting of stockholders following the date the Common Stock is first publicly traded (the IPO Date), the initial Class II Directors shall serve for a term expiring at the second annual
meeting of stockholders following the IPO Date, and the initial Class III Directors shall serve for a term expiring at the third annual meeting of stockholders following the IPO Date. At each annual meeting of stockholders, Directors elected to
succeed those Directors whose terms expire shall be elected for a term of office to expire at the third succeeding annual meeting of stockholders after their election. Notwithstanding the foregoing, the Directors elected to each class shall hold
office until their successors are duly elected and qualified or until their earlier resignation, death or removal.
Notwithstanding the
foregoing, whenever, pursuant to the provisions of Article IV of this Restated Certificate, the holders of any one or more series of Preferred Stock shall have the right, voting separately as a series or together with holders of other such series,
to elect Directors at an annual or special meeting of stockholders, the election, term of office, filling of vacancies and other features of such directorships shall be governed by the terms of this Restated Certificate and any certificate of
designations applicable thereto.
During any period when the holders of any series of Preferred Stock have the right to elect additional
Directors, then upon commencement and for the duration of the period during which such right continues: (i) the then otherwise total authorized number of Directors shall automatically be increased by such specified number of Directors, and the
holders of such Preferred Stock shall be entitled to elect the additional Directors so provided for or fixed pursuant to said provisions, and (ii) each such additional Director shall serve until such Directors successor shall have been
duly elected and qualified, or until such Directors right to hold such office terminates pursuant to said provisions, whichever occurs earlier, subject to his or her earlier death, resignation, retirement, disqualification or removal. Except
as otherwise provided by the Board of Directors in the resolution or resolutions establishing such series, whenever the holders of any series of Preferred Stock having such right to elect additional Directors are divested of such right pursuant to
the provisions of such stock, the terms of office of all such additional Directors elected by the holders of such stock, or elected to fill any vacancies resulting from the death, resignation, disqualification or removal of such additional
Directors, shall forthwith terminate and the total authorized number of directors of the Corporation shall be reduced accordingly.
4.
Vacancies. Subject to the rights, if any, of the holders of any series of Preferred Stock to elect Directors and to fill vacancies in the Board of Directors relating thereto, any and all vacancies in the Board of Directors, however occurring,
including, without limitation, by reason of an increase in size of the Board of Directors, or the death, resignation, disqualification or removal of a Director, shall be filled solely and exclusively by the affirmative vote of a majority of the
remaining Directors then in office, even if less than a quorum of the Board of Directors, and not by the stockholders. Any Director appointed in accordance with the preceding sentence shall hold office for the remainder of the full term of the class
of Directors in which the new directorship was created or the vacancy occurred and until such Directors successor shall have been duly elected and qualified or until his or her earlier resignation, death or removal. Subject to the rights, if
any, of the holders of any series of Preferred Stock to elect Directors, when the number of Directors is increased or decreased, the Board of Directors shall, subject to Article VI.3 hereof, determine the class or classes to which the increased or
decreased number of Directors shall be apportioned; provided, however, that no decrease in the number of Directors shall shorten the term of any incumbent Director.
5. Removal. Subject to the rights, if any, of any series of Preferred Stock to elect
Directors and to remove any Director whom the holders of any such stock have the right to elect, any Director (including persons elected by Directors to fill vacancies in the Board of Directors) may be removed from office (i) only with cause
and (ii) only by the affirmative vote of the holders of at least 75% in voting power of the shares then entitled to vote at an election of Directors.
ARTICLE VII
LIMITATION OF
LIABILITY
A Director of the Corporation shall not be personally liable to the Corporation or its stockholders for monetary damages
for breach of fiduciary duty as a Director, except for liability (a) for any breach of the Directors duty of loyalty to the Corporation or its stockholders, (b) for acts or omissions not in good faith or which involve intentional
misconduct or a knowing violation of law, (c) under Section 174 of the DGCL or (d) for any transaction from which the Director derived an improper personal benefit. If the DGCL is amended after the effective date of this Restated
Certificate to authorize corporate action further eliminating or limiting the personal liability of Directors, then the liability of a Director of the Corporation shall be eliminated or limited to the fullest extent permitted by the DGCL, as so
amended.
Any repeal or modification of this Article VII, shall not adversely affect any right or protection existing at the time of such
repeal or modification with respect to any acts or omissions occurring before such repeal or modification of a person serving as a Director at the time of such repeal or modification.
ARTICLE VIII
AMENDMENT OF
BY-LAWS
1. Amendment by Directors. Except as otherwise provided by law, the By-laws of the Corporation may be amended or
repealed by the Board of Directors by the affirmative vote of a majority of the Board.
2. Amendment by Stockholders. The By-laws
of the Corporation may be amended or repealed by the stockholders at any annual meeting of stockholders, or special meeting of stockholders called for such purpose as provided in the By-laws, by the affirmative vote of the holders of at least 75% in
voting power of the outstanding shares entitled to vote on such amendment or repeal, voting together as a single class.
ARTICLE IX
AMENDMENT OF CERTIFICATE OF INCORPORATION
The Corporation reserves the right to amend or repeal this Restated Certificate in the manner now or hereafter prescribed by statute and this
Restated Certificate, and all rights conferred upon stockholders herein are granted subject to this reservation. In addition to any other vote required by law or this Restated Certificate, the affirmative vote of the holders of at least 75% in
voting power of the outstanding shares entitled to vote on such amendment or repeal, shall be required to amend or repeal any provision of Article V, Article VI, Article VII, Article VIII or Article IX of this Restated Certificate.
ARTICLE X
EXCLUSIVE JURISDICTION
Unless
the Corporation consents in writing to the selection of an alternative forum, the Court of Chancery of the State of Delaware shall, to the fullest extent permitted by law, be the sole and exclusive forum for (i) any derivative action or
proceeding brought on behalf of the Corporation; (ii) any action asserting a claim of breach of a fiduciary duty owed by any director, officer or other employee of the Corporation to the Corporation or the Corporations stockholders,
creditors or other constituents; (iii) any action asserting a claim against the Corporation or any Director or officer of the Corporation arising pursuant to, or a claim against the Corporation or any Director or officer of the Corporation with
respect to the interpretation or application of any provision of, the DGCL, this Restated Certificate or the Bylaws of the Corporation; or (iv) any action asserting a claim governed by the internal affairs doctrine in each such case subject to
said court having personal jurisdiction over the indispensable parties named as defendants therein; provided, that, if and only if the Court of Chancery of the State of Delaware dismisses any such action for lack of subject matter jurisdiction, such
action may be brought in another state court sitting in the State of Delaware. To the fullest extent permitted by law, any person or entity purchasing or otherwise acquiring any interest in shares of capital stock of the Corporation shall be deemed
to have notice of and consented to the provisions of this Article X.

2. The Corporation is authorized by its Seventh Amended and Restated Certificate of Incorporation (the Certificate of
Incorporation) to issue 1,000,000 shares of preferred stock, none of which are issued and outstanding.
3. The following resolutions
were duly adopted by the board of directors of the Corporation (the Board of Directors):
WHEREAS, the Certificate of
Incorporation provides for a class of its authorized stock known as preferred stock, consisting of 1,000,000 shares, $0.001 par value per share, issuable from time to time in one or more series;
WHEREAS, the Board of Directors is authorized to fix the number of shares constituting such series and the designation of such series, and the
powers (including voting powers, if any), preferences and relative, participating, optional and other special rights, if any, and any qualifications, limitations or restrictions thereof, of the shares of such series of preferred stock; and
WHEREAS, it is the desire of the Board of Directors, pursuant to its authority as aforesaid, to fix the rights, preferences, restrictions and
other matters relating to a series of preferred stock, which shall consist of 10,000 shares of the preferred stock which the Corporation has the authority to issue, as follows:
NOW, THEREFORE, BE IT RESOLVED, that the Board of Directors does hereby provide for the issuance of a series of preferred stock for exchange
of other securities, rights or property and does hereby fix and determine the rights, preferences, restrictions and other matters relating to such series of preferred stock as follows:
TERMS OF PREFERRED STOCK
Section 1. Definitions. For the purposes hereof, the following terms shall have the following meanings:
Affiliate means any Person that, directly or indirectly through one or more intermediaries, controls or is
controlled by or is under common control with a Person, as such terms are used in and construed under Rule 405 of the Securities Act.
Business Day means any day except any Saturday, any Sunday,
any day which is a federal legal holiday in the United States or any day on which banking institutions in the State of New York are authorized or required by law or other governmental action to close.
Commission means the United States Securities and Exchange Commission.
Common Stock means the Corporations common stock, par value $0.001 per share, and stock of any
other class of securities into which such securities may hereafter be reclassified or changed.
Common Stock
Equivalents means any securities of the Corporation or the Subsidiaries which would entitle the holder thereof to acquire at any time Common Stock, including, without limitation, any debt, preferred stock, rights, options, warrants or
other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Common Stock.
Conversion Shares means, collectively, the shares of Common Stock issuable upon conversion of the shares of
Preferred Stock in accordance with the terms hereof.
Exchange Act means the Securities Exchange Act of
1934, as amended, and the rules and regulations promulgated thereunder.
Holder means, as of any date, a
registered holder of record of Preferred Stock on the books and records of the Corporation or any registrar or transfer agent for the Preferred Stock.
Original Issue Date means the date of the first issuance of any shares of the Preferred Stock regardless of
the number of transfers of any particular shares of Preferred Stock and regardless of the number of certificates which may be issued to evidence such Preferred Stock.
Person means an individual or corporation, partnership, trust, incorporated or unincorporated association,
joint venture, limited liability company, joint stock company, government (or an agency or subdivision thereof) or other entity of any kind.
Purchase Agreement means the Securities Purchase Agreement, dated January 31, 2014, among the
Corporation and the original Holders, as amended, modified or supplemented from time to time in accordance with its terms.
Securities Act means the Securities Act of 1933, as amended, and the rules and regulations promulgated
thereunder.
Trading Day means a day on which the principal Trading Market is open for business.
Trading Market means any of the following markets or exchanges on which the Common Stock is listed or quoted
for trading on the date in question: the NYSE MKT, the Nasdaq Capital Market, the Nasdaq Global Market, the Nasdaq Global Select Market, the New York Stock Exchange or the OTC Bulletin Board (or any successors to any of the foregoing).
Transfer Agent means American Stock Transfer & Trust Company, the current transfer agent for the
Common Stock, and any successor transfer agent of the Corporation.
Section 2. Designation, Amount and Par Value. This
series of preferred stock shall be designated as the Corporations Series F Convertible Preferred Stock (the Preferred Stock) and the number of shares so designated shall be 10,000. Each share of Preferred Stock shall have a par
value of $0.001 and a stated value equal to $1,000 (the Stated Value). The Preferred Stock may be represented by certificates or may be issued in book entry only; any references herein to certificates shall also be deemed to refer to
book entry notations for such securities, to the extent applicable.
Section 3. Dividends. Holders shall be entitled to receive, and the
Corporation shall pay, dividends on shares of Preferred Stock equal (on an as-if-converted-to-Common-Stock basis) to and in the same form as dividends (other than dividends in the form of Common Stock) actually paid on shares of the Common Stock
when, as and if such dividends (other than dividends in the form of Common Stock) are paid on shares of the Common Stock. Other than as set forth in the previous sentence, no other dividends shall be paid on shares of Preferred Stock; and the
Corporation shall pay no dividends (other than dividends in the form of Common Stock) on shares of the Common Stock unless it simultaneously complies with the previous sentence.
Section 4. Voting Rights. The Holders of Preferred Stock have no voting power whatsoever, except as otherwise required by the
Delaware General Corporation Law (the DGCL) as modified by the Certificate of Incorporation.
Section 5.
Liquidation. Upon any liquidation, dissolution or winding-up of the Corporation, whether voluntary or involuntary (a Liquidation), after the satisfaction in full of the debts of the Corporation and the payment of any liquidation
preference owed to the holders of shares of capital stock of the Corporation ranking prior to the Preferred Stock upon liquidation, the Holders of the Preferred Stock shall participate pari passu with the holders of the Common Stock
(on an as-if-converted-to-Common-Stock basis without regard to any limitation in Section 6(d) on the conversion of this Preferred Stock) in the net assets of the Corporation. The Corporation shall mail written notice of any such Liquidation,
not less than 30 days prior to the payment date stated therein, to each Holder. Neither (i) the consolidation or merger of the Corporation into or with any other entity or entities, (ii) the consolidation or merger of any entity or
entities into the Corporation, nor (iii) the sale, lease or conveyance of all or substantially all the Corporations assets shall be deemed to be a Liquidation within the meaning of this Section 5.
Section 6. Conversion.
(a) Conversions at Option of Holder. Each share of Preferred Stock, or fraction thereof, shall be convertible, at any
time and from time to time from and after the Original Issue Date at the option of the Holder thereof, into that number of shares of Common Stock (subject to the limitations set forth in Section 6(d)) determined by dividing the Stated Value of
such share of Preferred Stock by the Conversion Price. Holders shall effect conversions by providing the Corporation with the form of conversion notice attached hereto as Annex A (a Notice of Conversion). Each Notice of Conversion
shall specify the number of shares of Preferred Stock to be converted, the number of shares of Preferred Stock owned prior to the conversion at issue, the number of shares of Preferred Stock owned subsequent to the conversion at issue and the date
on which such conversion is to be effected, which date may not be prior to the date the applicable Holder delivers by facsimile or email such Notice of Conversion to the Corporation (such date, the Conversion Date). If no Conversion Date
is specified in a Notice of Conversion, the Conversion Date shall be the date that such Notice of Conversion to the Corporation is deemed delivered hereunder. The calculations and entries set forth in the Notice of Conversion shall control in the
absence of manifest or mathematical error. No ink-original Notice of Conversion shall be required, nor shall any medallion guarantee (or other type of guarantee or notarization) of any Notice of Conversion form be required. To effect conversions of
shares of Preferred Stock, a Holder shall not be required to surrender the certificate(s) representing the shares of Preferred Stock to the Corporation unless all of the shares of Preferred Stock represented thereby are so converted, in which case
such Holder shall deliver the certificate representing such shares of Preferred Stock promptly following the Conversion Date at issue. If any shares of Preferred Stock shall be converted, redeemed or reacquired by the Corporation, such shares shall
resume the status of authorized but unissued shares of preferred stock and shall no longer be designated as Series F Convertible Preferred Stock.
(b) Conversion Price. The conversion price for the Preferred Stock shall
equal $5.00, subject to adjustment as provided herein (the Conversion Price).
(c) Mechanics of
Conversion
i. Delivery of Certificate Upon Conversion. Not later than three (3) Trading Days after each
Conversion Date (the Share Delivery Date), the Corporation shall deliver, or cause to be delivered, to the converting Holder a book-entry statement representing the Conversion Shares which, to the extent provided in the Purchase
Agreement, shall be free of restrictive legends and trading restrictions (other than those which may then be required by the Purchase Agreement) representing the number of Conversion Shares being acquired upon the conversion of the Preferred Stock.
The Corporations failure to deliver such book-entry statement to the converting Holder by the close of business on the Share Delivery Date shall be subject to the remedies set forth in Section 4(b) of the Purchase Agreement in the event
that a Buy-In (as defined in the Purchase Agreement) results from such failure.
ii. Failure to Deliver. If, in the
case of any Notice of Conversion, such book-entry statement or statements are not delivered to or as directed by the applicable Holder by the Share Delivery Date, the Holder shall be entitled to elect by written notice to the Corporation at any time
on or before its receipt of such book-entry statement or statements, to rescind such Conversion, in which event the Corporation shall promptly return to the Holder any original Preferred Stock certificate delivered to the Corporation and the Holder
shall promptly return to the Corporation the Common Stock book-entry statements issued to such Holder pursuant to the rescinded Conversion Notice.
iii. Obligation Absolute. The Corporations obligation to issue and deliver the Conversion Shares upon conversion
of Preferred Stock in accordance with the terms hereof are absolute and unconditional, irrespective of any action or inaction by a Holder to enforce the same, any waiver or consent with respect to any provision hereof, the recovery of any judgment
against any Person or any action to enforce the same, or any setoff, counterclaim, recoupment, limitation or termination, or any breach or alleged breach by such Holder or any other Person of any obligation to the Corporation or any violation or
alleged violation of law by such Holder or any other person, and irrespective of any other circumstance which might otherwise limit such obligation of the Corporation to such Holder in connection with the issuance of such Conversion Shares;
provided, however, that such delivery shall not operate as a waiver by the Corporation of any such action that the Corporation may have against such Holder.
iv. Reservation of Shares Issuable Upon Conversion. The Corporation covenants that it will at all times reserve and keep
available out of its authorized and unissued shares of Common Stock for the sole purpose of issuance upon conversion of the Preferred Stock and payment of dividends on the Preferred Stock, each as herein provided, free from preemptive rights or any
other actual contingent purchase rights of Persons other than the Holder (and the other Holders of the Preferred Stock), not less than such aggregate number of shares of the Common Stock as shall be issuable (taking into account the adjustments and
restrictions of Section 7) upon the conversion of the then outstanding shares of Preferred Stock and payment of dividends hereunder. The Corporation covenants that all shares of Common Stock that shall be so issuable shall, upon issue, be duly
authorized, validly issued, fully paid and non-assessable.
v. Fractional Shares. No fractional shares or scrip representing
fractional shares shall be issued upon the conversion of the Preferred Stock. As to any fraction of a share which the Holder would otherwise be entitled to purchase upon such conversion, the Corporation shall at its election, either pay a cash
adjustment in respect of such final fraction in an amount equal to such fraction multiplied by the Conversion Price or round up to the next whole share.
vi. Transfer Taxes and Expenses. The issuance of certificates for shares of the Common Stock on conversion of this
Preferred Stock shall be made without charge to any Holder for any documentary stamp or similar taxes that may be payable in respect of the issue or delivery of such certificates, provided that the Corporation shall not be required to pay any tax
that may be payable in respect of any transfer involved in the issuance and delivery of any such certificate upon conversion in a name other than that of the Holder of such shares of Preferred Stock and the Corporation shall not be required to issue
or deliver such certificates unless or until the Person or Persons requesting the issuance thereof shall have paid to the Corporation the amount of such tax or shall have established to the satisfaction of the Corporation that such tax has been
paid.
(d) Beneficial Ownership Limitation. The Corporation shall not effect any conversion of the Preferred Stock,
and a Holder shall not have the right to convert any portion of the Preferred Stock, to the extent that, after giving effect to the conversion set forth on the applicable Notice of Conversion, such Holder (together with such Holders
Affiliates, and any Persons acting as a group together with such Holder or any of such Holders Affiliates) would beneficially own in excess of the Beneficial Ownership Limitation (as defined below). For purposes of the foregoing sentence, the
number of shares of Common Stock beneficially owned by such Holder and its Affiliates shall include the number of shares of Common Stock issuable upon conversion of the Preferred Stock with respect to which such determination is being made, but
shall exclude the number of shares of Common Stock which are issuable upon (i) conversion of the remaining, unconverted Stated Value of Preferred Stock beneficially owned by such Holder or any of its Affiliates and (ii) exercise or
conversion of the unexercised or unconverted portion of any other securities of the Corporation subject to a limitation on conversion or exercise analogous to the limitation contained herein (including, without limitation, the Preferred Stock)
beneficially owned by such Holder or any of its Affiliates. Except as set forth in the preceding sentence, for purposes of this Section 6(d), beneficial ownership shall be calculated in accordance with Section 13(d) of the Exchange Act and
the rules and regulations promulgated thereunder. To the extent that the limitation contained in this Section 6(d) applies, the determination of whether the Preferred Stock is convertible (in relation to other securities owned by such Holder
together with any Affiliates) and of how many shares of Preferred Stock are convertible shall be in the sole discretion of such Holder, and the submission of a Notice of Conversion shall be deemed to be such Holders determination of whether
the shares of Preferred Stock may be converted (in relation to other securities owned by such Holder together with any Affiliates) and how many shares of the Preferred Stock are convertible, in each case subject to the Beneficial Ownership
Limitation. To ensure compliance with this restriction, each Holder will be deemed to represent to the Corporation each time it delivers a Notice of Conversion that such Notice of Conversion has not violated the restrictions set forth in this
paragraph and the Corporation shall have no obligation to verify or confirm the accuracy of such determination. In addition, a determination as to any group status as contemplated above shall be determined in accordance with Section 13(d) of
the Exchange Act and the rules and regulations promulgated thereunder. For purposes of this Section 6(d), in determining the number of outstanding shares of
Common Stock, a Holder may rely on the number of outstanding shares of Common Stock as stated in the most recent of the following: (i) the Corporations most recent periodic or annual
report filed with the Commission, as the case may he, (ii) a more recent public announcement by the Corporation or (iii) a more recent written notice by the Corporation or the Transfer Agent setting forth the number of shares of Common
Stock outstanding. Upon the written or oral request of a Holder, the Corporation shall within two Trading Days confirm orally and in writing to such Holder the number of shares of Common Stock then outstanding. In any case, the number of outstanding
shares of Common Stock shall be determined after giving effect to the conversion or exercise of securities of the Corporation, including the Preferred Stock, by such Holder or its Affiliates since the date as of which such number of outstanding
shares of Common Stock was reported. The Beneficial Ownership Limitation shall initially be 9.99% of the number of shares of the Common Stock outstanding immediately after giving effect to the issuance of shares of Common Stock
issuable upon conversion of Preferred Stock held by the applicable Holder, provided, however, that a Holder may increase or decrease the Beneficial Ownership Limitation upon providing at least 61 days advanced written notice to the Secretary
of the Company. The provisions of this paragraph shall be construed and implemented in a manner otherwise than in strict conformity with the terms of this Section 6(d) to correct this paragraph (or any portion hereof) which may be defective or
inconsistent with the intended Beneficial Ownership Limitation contained herein or to make changes or supplements necessary or desirable to properly give effect to such limitation. The limitations contained in this paragraph shall apply to a
successor holder of Preferred Stock. The provisions of this Section 6(d) shall terminate and be of no further force and effect one business day prior to the consummation of any direct or indirect, purchase offer, tender offer or exchange offer
(whether by the Corporation or another Person other than the Holder and its Affiliates) pursuant to which holders of Common Stock are permitted to sell, tender or exchange 50% or more of their shares for other securities, cash or property.
Section 7. Certain Adjustments.
(a) Stock Dividends and Stock Splits. If the Corporation, at any time while this Preferred Stock is outstanding:
(i) pays a stock dividend or otherwise makes a distribution or distributions payable in shares of Common Stock on shares of Common Stock or any other Common Stock Equivalents (which, for avoidance of doubt, shall not include any shares of
Common Stock issued by the Corporation upon conversion of, or payment of a dividend on, this Preferred Stock), (ii) subdivides outstanding shares of Common Stock into a larger number of shares, (iii) combines (including by way of a reverse
stock split) outstanding shares of Common Stock into a smaller number of shares, or (iv) issues, in the event of a reclassification of shares of the Common Stock, any shares of capital stock of the Corporation to the former holders of Common
Stock, then the Conversion Price shall he multiplied by a fraction of which the numerator shall be the number of shares of Common Stock (excluding any treasury shares of the Corporation) outstanding immediately before such event, and of which the
denominator shall be the number of shares of Common Stock outstanding immediately after such event. Any adjustment made pursuant to this Section 7(a) shall become effective immediately after the record date for the determination of stockholders
entitled to receive such dividend or distribution and shall become effective immediately after the effective date in the case of a subdivision, combination or re-classification.
(b) Subsequent Rights Offerings. In addition to any adjustments pursuant to Section 7(a) above, if at any time the
Corporation grants, issues or sells any Common Stock Equivalents or rights to purchase stock, warrants, securities or other property pro rata to the record holders of any class of shares of Common Stock (the Purchase Rights), then the
Holder of will be entitled to acquire, upon the terms applicable to such Purchase Rights, the aggregate Purchase Rights which the Holder could have acquired if the Holder had held the number of shares of Common Stock
acquirable upon complete conversion of such Holders Preferred Stock (without regard to any limitations on exercise hereof, including without limitation, the Beneficial Ownership Limitation)
immediately before the date on which a record is taken for the grant, issuance or sale of such Purchase Rights, or, if no such record is taken, the date as of which the record holders of shares of Common Stock are to be determined for the grant,
issue or sale of such Purchase Rights (provided, however, to the extent that the Holders right to participate in any such Purchase Right would result in the Holder exceeding the Beneficial Ownership Limitation, then the Holder shall not be
entitled to participate in such Purchase Right to such extent (or beneficial ownership of such shares of Common Stock as a result of such Purchase Right to such extent).
(c) Pro Rata Distributions. During such time as this Preferred Stock is outstanding, if the Corporation declares or
makes any dividend or other distribution of its assets (or rights to acquire its assets) to holders of shares of Common Stock (other than a dividend or distribution payable solely in cash, shares of Common Stock or a combination of cash and shares
of Common Stock), by way of return of capital or otherwise (including, without limitation, any distribution of stock or other securities (other than shares of Common Stock), property or options by way of a dividend, spin off, reclassification,
corporate rearrangement, scheme of arrangement or other similar transaction) (a Distribution), at any time after the issuance of this Preferred Stock, then, in each such case the Conversion Price shall be adjusted by multiplying the
Conversion Price in effect immediately prior to the record date fixed for determination of stockholders entitled to receive such Distribution by a fraction of which the denominator shall be the closing bid price of one share of Common Stock on the
Trading Market on the record date mentioned above, and of which the numerator shall be such closing bid price on the Trading Market on such record date less the then per share fair market value at such record date of the portion of the Distribution
applicable to one outstanding share of the Common Stock as determined by the Board of Directors of the Corporation in good faith. Such adjustment shall be made whenever any such Distribution is made and shall become effective immediately after the
record date mentioned above.
(d) Fundamental Transaction. If, at any time while this Preferred Stock is
outstanding, (i) the Corporation, directly or indirectly, in one or more related transactions, effects any merger or consolidation of the Corporation with or into another Person, or (ii) the Corporation, directly or indirectly, in one or
more related transactions, effects any reclassification, reorganization or recapitalization of the Common Stock (other than those covered by Section 7(a) or 7 (c) above) or any compulsory share exchange, pursuant to which the Common Stock
is effectively converted into or exchanged for other securities, cash or property (each, a Fundamental Transaction), each share of Preferred Stock shall, automatically and without any action on the part of the Holder, be converted at the
effective time of such Fundamental Transaction into the right to receive the same consideration to be paid in respect of the outstanding shares of Common Stock as if such share of Preferred Stock had been converted into Common Stock immediately
prior to the effective time of such Fundamental Transaction (without regard to any limitation in Section 6(d) on the conversion of this Preferred Stock). If holders of Common Stock are given any choice as to the securities, cash or property to
be received in a Fundamental Transaction (Alternate Consideration), then the Holder shall be given the same choice as to the Alternate Consideration it receives upon any conversion of this Preferred Stock upon the effectiveness of such
Fundamental Transaction.
(e) Calculations. All calculations under this Section 7 shall be made to the nearest
cent or the nearest 1/100th of a share, as the case may be. For purposes of this Section 7, the number of shares of Common Stock deemed to be issued and outstanding as of a given date shall be the sum of the number of shares of Common Stock
(excluding any treasury shares of the Corporation) issued and outstanding.
(f) Notice to the Holders.
i. Adjustment to Conversion Price. Whenever the Conversion Price is adjusted pursuant to any provision of this
Section 7, the Corporation shall promptly deliver to each Holder a notice setting forth the Conversion Price after such adjustment and setting forth a brief statement of the facts requiring such adjustment.
ii. Notice to Allow Conversion by Holder. If (A) the Corporation shall declare a dividend (or any other
distribution in whatever form) on the Common Stock, (B) the Corporation shall declare a special nonrecurring cash dividend on or a redemption of the Common Stock, (C) the Corporation shall authorize the granting to all holders of the
Common Stock of rights or warrants to subscribe for or purchase any shares of capital stock of any class or of any rights, (D) the approval of any stockholders of the Corporation shall be required in connection with any reclassification of the
Common Stock, any consolidation or merger to which the Corporation is a party, any sale or transfer of all or substantially all of the assets of the Corporation, or any compulsory share exchange whereby the Common Stock is converted into other
securities, cash or property or (E) the Corporation shall authorize the voluntary or involuntary dissolution, liquidation or winding up of the affairs of the Corporation, then, in each case, the Corporation shall cause to be delivered to each
Holder at its last address as it shall appear upon the stock books of the Corporation, at least twenty (20) calendar days prior to the applicable record or effective date hereinafter specified, a notice stating (x) the date on which a
record is to be taken for the purpose of such dividend, distribution, redemption, rights or warrants, or if a record is not to be taken, the date as of which the holders of the Common Stock of record to be entitled to such dividend, distributions,
redemption, rights or warrants are to be determined or (y) the date on which such reclassification, consolidation, merger, sale, transfer or share exchange is expected to become effective or close, and the date as of which it is expected that
holders of the Common Stock of record shall be entitled to exchange their shares of the Common Stock for securities, cash or other property deliverable upon such reclassification, consolidation, merger, sale, transfer or share exchange, provided
that the failure to deliver such notice or any defect therein or in the delivery thereof shall not affect the validity of the corporate action required to be specified in such notice. To the extent that any notice provided hereunder constitutes, or
contains, material, non-public information regarding the Corporation or any of the Subsidiaries, the Corporation shall simultaneously file such notice with the Commission pursuant to a Current Report on Form 8-K. The Holder shall remain entitled to
convert any portion of this Preferred Stock during the 20-day period commencing on the date of such notice through the effective date of the event triggering such notice except as may otherwise be expressly set forth herein.
Section 8. Miscellaneous.
(a) Notices. Any and all notices or other communications or deliveries to be provided by the Holders hereunder
including, without limitation, any Notice of Conversion, shall be in writing and delivered personally, by facsimile or sent by a nationally recognized overnight courier service, addressed to the Corporation, at the following address:

(i) the date of transmission, if such notice or communication is delivered via facsimile or email (to the extent authorized) prior to 5:30 p.m. (New York City time) on any date, (ii) the next Trading Day after the date of transmission, if
such notice or communication is delivered via facsimile or email (to the extent authorized) on a day that is not a Trading Day or later than 5:30 p.m. (New York City time) on any Trading Day, (iii) the second Trading Day following the date of
mailing, if sent by U.S. nationally recognized overnight courier service, or (iv) upon actual receipt by the party to whom such notice is required to be given.
(b) Absolute Obligation. Except as expressly provided herein, no provision of this Certificate of Designation shall
alter or impair the obligation of the Corporation, which is absolute and unconditional, to pay accrued dividends on the shares of Preferred Stock at the time, place, and rate, and in the coin or currency, herein prescribed.
(c) Lost or Mutilated Preferred Stock Certificate. If a Holders Preferred Stock certificate shall be mutilated,
lost, stolen or destroyed, the Corporation shall execute and deliver, in exchange and substitution for and upon cancellation of a mutilated certificate, or in lieu of or in substitution for a lost, stolen or destroyed certificate, a new certificate
for the shares of Preferred Stock so mutilated, lost, stolen or destroyed, but only upon receipt of evidence of such loss, theft or destruction of such certificate, and of the ownership hereof reasonably satisfactory to the Corporation.
(d) Waiver. Any waiver by the Corporation or a Holder of a breach of any provision of this Certificate of Designation
shall not operate as or be construed to be a waiver of any other breach of such provision or of any breach of any other provision of this Certificate of Designation or a waiver by any other Holders. The failure of the Corporation or a Holder to
insist upon strict adherence to any term of this Certificate of Designation on one or more occasions shall not be considered a waiver or deprive that party (or any other Holder) of the right thereafter to insist upon strict adherence to that term or
any other term of this Certificate of Designation on any other occasion. Any waiver by the Corporation or a Holder must be in writing.
(e) Severability. If any provision of this Certificate of Designation is invalid, illegal or unenforceable, the balance
of this Certificate of Designation shall remain in effect, and if any provision is inapplicable to any Person or circumstance, it shall nevertheless remain applicable to all other Persons and circumstances. If it shall be found that any interest or
other amount deemed interest due hereunder violates the applicable law governing usury, the applicable rate of interest due hereunder shall automatically be lowered to equal the maximum rate of interest permitted under applicable law.
(f) Next Business Day. Whenever any payment or other obligation hereunder shall be due on a day other than a Business
Day, such payment shall be made on the next succeeding Business Day.
(g) Headings. The headings contained herein are for convenience only, do
not constitute a part of this Certificate of Designation and shall not be deemed to limit or affect any of the provisions hereof.
(h) Status of Converted or Redeemed Preferred Stock. If any shares of Preferred Stock shall be converted, redeemed or
reacquired by the Corporation, such shares shall resume the status of authorized but unissued shares of preferred stock and shall no longer be designated as Series F Convertible Preferred Stock.

REGISTRATION RIGHTS AGREEMENT
This Registration Rights Agreement (the Agreement) is made and entered into as of this 4th day of May, 2015 by and among Regado Biosciences, Inc. (which name will be changed to Tobira Therapeutics, Inc. upon the closing of the Merger, each as defined below), a Delaware corporation (the
Company), and the Investors named in that certain Purchase Agreement by and among the Company and the Investors of even date herewith (the Purchase Agreement). This Agreement is made pursuant to the Purchase
Agreement and shall be effective as of the Closing. Capitalized terms used herein have the respective meanings ascribed thereto in the Purchase Agreement unless otherwise defined herein.
The parties hereby agree as follows:
1. Certain Definitions.
As used in this Agreement, the following terms shall have the following meanings:
Business Day means any day other than Saturday, Sunday or other day on which commercial banks in the City of New York are
authorized or required by law to remain closed.
Common Stock means the Companys common stock, par value $0.001
per share, and any securities into which such shares may hereinafter be reclassified.
Closing shall have the meaning
provided for in the Purchase Agreement.
Eligible Market means any of The New York Stock Exchange, Inc., The NYSE MKT,
The NASDAQ Global Select Market, the NASDAQ Global Market or The NASDAQ Capital Market.
Initial Registration Statement
means the initial Registration Statement filed pursuant to Section 2(a) of this Agreement.
Investors means
the Investors identified in the Purchase Agreement and any Affiliate or permitted transferee of any Investor who is a subsequent holder of any Registrable Securities.
Merger means the transaction contemplated by the Merger Agreement, pursuant to which Landmark Merger Sub Inc., a wholly
owned subsidiary of the Company, will merge with and into Tobira Therapeutics, Inc. (Tobira), with Tobira surviving as a wholly owned subsidiary of the Company.
Merger Agreement means that certain Agreement and Plan of Merger, dated as of January 14, 2015 and as amended
January 23, 2015, by and among Tobira, the Company, Landmark Merger Sub Inc., a Delaware corporation and wholly-owned subsidiary of the Company, and with respect to Section 5.14 thereto, Brett Ahrens, as Company Stockholders Agent.
Prospectus means (i) the prospectus included in any Registration Statement, as amended or supplemented by any
prospectus supplement, with respect to the terms of the
offering of any portion of the Registrable Securities covered by such Registration Statement and by all other amendments and supplements to the prospectus, including post-effective amendments and
all material incorporated by reference in such prospectus, and (ii) any free writing prospectus as defined in Rule 405 under the 1933 Act.
Register, registered and registration refer to a registration made by preparing and
filing a Registration Statement or similar document in compliance with the 1933 Act (as defined below), and the declaration or ordering of effectiveness of such Registration Statement or document.
Registrable Securities means (i) the Shares and (ii) any other securities issued or issuable with respect to or
in exchange for Registrable Securities, whether by merger, charter amendment, stock split, dividend, recapitalization, or otherwise; provided, that, a security shall cease to be a Registrable Security upon (A) the sale of such security pursuant
to a Registration Statement or Rule 144 under the 1933 Act, or (B) such security becoming eligible for sale without restriction by the applicable Investor pursuant to Rule 144.
Registration Statements means any one or more registration statements of the Company filed under the 1933 Act that covers
the resale of any of the Registrable Securities pursuant to the provisions of this Agreement (including, without limitation, the Initial Registration Statement and any Remainder Registration Statements), including (in each case) amendments and
supplements to such Registration Statements, including post-effective amendments, all exhibits and all material incorporated by reference in such Registration Statements.
Remainder Registration Statements has the meaning set forth in Section 2(c).
Required Investors means the Investors holding a majority of the Registrable Securities.
Rule 144 means Rule 144 promulgated by the SEC pursuant to the Securities Act, as such Rule may be amended from time to
time, or any similar rule or regulation hereafter adopted by the SEC having substantially the same effect as such Rule.
Rule
415 means Rule 415 promulgated by the SEC pursuant to the Securities Act, as such Rule may be amended from time to time, or any similar rule or regulation hereafter adopted by the SEC having substantially the same effect as such Rule.
SEC means the U.S. Securities and Exchange Commission.
Shares means the shares of Common Stock issued pursuant to the Purchase Agreement.
Trading Day means (a) any day on which the Common Stock is listed or quoted and traded on its primary Trading Market,
or (b) if the Common Stock is not then listed or quoted and traded on its primary Trading Market, then a day on which trading of the Common Stock occurs on an Eligible Market, or (c) if the Common Stock is not listed or quoted as set forth
in clauses (a) or (b) hereof, any Business Day.

Trading Market means The NASDAQ Global Select Market / The NASDAQ Global
Market / The NASDAQ Capital Market / The NYSE MKT / The New York Stock Exchange, Inc. or any other Eligible Market, or any national securities exchange, market or trading or quotation facility on which the Common Stock is then listed or quoted.
1933 Act means the Securities Act of 1933, as amended, and the rules and regulations promulgated thereunder.
1934 Act means the Securities Exchange Act of 1934, as amended, and the rules and regulations promulgated thereunder.
2. Registration.
(a)
Registration Statements.
(i) Initial Registration Statement. Promptly following the date of closing of the purchase and
sale of the securities contemplated by the Purchase Agreement (the Closing Date) but no later than sixty (60) days after the Closing Date, or such later date as may be contemplated by the Merger Agreement (the Filing
Deadline), the Company shall file with the SEC, to include (by way of filing, amendment or otherwise) the Registrable Securities sold in connection with the Purchase Agreement (in addition to any shares issued in the Additional Company Funding
as defined in the Merger Agreement), the Initial Registration Statement prepared in connection with Section 5.1(b) of the Merger Agreement, so as to cover the resale of the Registrable Securities. The Initial Registration Statement shall be on
Form S-3 (except if the Company is then ineligible to register for resale the Registrable Securities on Form S-3, in which case such registration shall be on such other form available to register for resale the Registrable Securities as a secondary
offering) subject to the provisions of Section 2(a)(ii) Subject to any SEC comments, such Registration Statement shall include the plan of distribution in substantially the form attached hereto as Exhibit A; provided, however,
that no Investor shall be named as an underwriter in the Registration Statement without the Investors prior written consent. Unless such Registration Statement includes 100% of the Registrable Securities then outstanding, such
Registration Statement shall not include any shares of Common Stock or other securities for the account of any other holder without the prior written consent of the Required Investors. The Registration Statement (and each amendment or supplement
thereto, and each request for acceleration of effectiveness thereof) shall be provided in accordance with Section 3(c) to the Investors and their counsel prior to its filing or other submission.
(ii) Alternative Form of Registration Statement. In the event that Form S-3 is not available for the registration of the resale of
Registrable Securities hereunder, the Company shall (i) register the resale of the Registrable Securities on another appropriate form reasonably acceptable to the Holders and (ii) undertake to register the Registrable Securities on Form
S-3 promptly after such form is available, provided that the Company shall maintain the effectiveness of the Registration Statement then in effect until such time as a Registration Statement on Form S-3 covering the Registrable Securities has
been declared effective by the Commission.

(iii) Expenses. The Company will pay all reasonable expenses associated with effecting
the registration of the Registrable Securities pursuant to this Section 2, including filing and printing fees, the Companys counsel and accounting fees and expenses, costs associated with clearing the Registrable Securities for sale under
applicable state securities laws, listing fees, and reasonable fees and expenses of one counsel to the Investors up to an aggregate cap of Twenty-five Thousand Dollars ($25,000), but excluding discounts, commissions, fees of underwriters, selling
brokers, dealer managers or similar securities industry professionals with respect to the Registrable Securities being sold.
(b)
Effectiveness.
(i) The Company shall use commercially reasonable efforts to have each Registration Statement declared effective
as soon as practicable after filing, and in any event (x) if the Initial Registration Statement is not subject to review by the SEC, no later than 120 days after the Closing, or (y) if the Initial Registration Statement is subject to
review by the SEC, 180 days after the Closing (such date in clause (x) or (y), as applicable, the Effectiveness Deadline). The Company shall notify the Investors by facsimile or e-mail
as promptly as practicable, and in any event, within twenty-four (24) hours, after any Registration Statement is declared effective and shall simultaneously provide the Investors with copies of any related Prospectus to be used in connection
with the sale or other disposition of the securities covered thereby.
(ii) For not more than sixty (60) consecutive days or for a
total of not more than ninety (90) days in any twelve (12) month period, the Company may suspend the use of any Prospectus included in any Registration Statement contemplated by this Section in the event that the Company determines in good
faith that such suspension is necessary to (A) delay the disclosure of material non-public information concerning the Company, the disclosure of which at the time is not, in the good faith opinion of the Company, in the best interests of the
Company or (B) amend or supplement the affected Registration Statement or the related Prospectus so that such Registration Statement or Prospectus shall not include an untrue statement of a material fact or omit to state a material fact
required to be stated therein or necessary to make the statements therein, in the case of the Prospectus in light of the circumstances under which they were made, not misleading (an Allowed Delay); provided, that the Company shall
promptly (a) notify each Investor in writing of the commencement of an Allowed Delay, but shall not (without the prior written consent of an Investor) disclose to such Investor any material non-public information giving rise to an Allowed Delay
and (b) advise the Investors in writing to cease all sales under the Registration Statement until the end of the Allowed Delay.
(c)
Rule 415; Cutback If at any time the SEC informs the Company that all of the Registrable Securities cannot, based on the provisions of Rule 415 under the 1933 Act, be registered for resale as a secondary offering on a single registration
statement, or requires any Investor to be named as an underwriter, the Company shall use its commercially reasonable best efforts to persuade the SEC that the offering contemplated by the Registration Statement is a valid secondary
offering and not an offering by or on behalf of the issuer as defined in Rule 415 and that none of the Investors is an underwriter. The Investors shall have the right to participate or have their counsel participate in any
meetings or discussions with the SEC

regarding the SECs position and to comment or have their counsel comment on any written submission made to the SEC with respect thereto. No such written submission shall be made to the SEC
to which the Investors counsel reasonably objects. In the event that, despite the Companys commercially reasonable best efforts and compliance with the terms of this Section 2(d), the SEC refuses to alter its position, the Company
shall (i) remove from the Registration Statement such portion of the Registrable Securities (the Cut Back Shares) and/or (ii) agree to such restrictions and limitations on the registration and resale of the Registrable
Securities as the SEC may require to assure the Companys compliance with the requirements of Rule 415 (collectively, the SEC Restrictions); provided, however, that the Company shall not agree to name any Investor as an
underwriter in such Registration Statement without the prior written consent of such Investor. Any cut-back imposed on the Investors pursuant to this Section 2(d) shall be allocated among the Investors on a pro rata basis, unless
the SEC Restrictions otherwise require or provide or the Investors otherwise agree. For the avoidance of doubt, for purposes of this Section 2(d), the term commercially reasonable best efforts shall not require the Company to
institute or maintain any action, suit or proceeding against the SEC or any member of the Staff of the SEC. In the event the Company amends the Initial Registration Statement or files a new Initial Registration Statement, as the case may be, to
remove the Cut Back Shares, the Company will use its commercially reasonable efforts to file with the SEC, as promptly as allowed by SEC, one or more registration statements on Form S-3 or such other form available to register for resale those
Registrable Securities that were not registered for resale on the Initial Registration Statement, as amended, or the new Registration Statement (the Remainder Registration Statements).
(d) If: (i) the Initial Registration Statement is not filed with the Commission on or prior to the Filing Deadline, (ii) the Initial
Registration Statement is not declared effective by the Commission (or otherwise does not become effective) for any reason on or prior to the Effectiveness Deadline or (iii) after its Effective Date, except in the case of an Excluded Event (as
defined in Section 2(e)), (A) such Registration Statement ceases for any reason (including without limitation by reason of a stop order, or the Companys failure to update the Registration Statement) to remain continuously effective
as to all Registrable Securities included in such Registration Statement or (B) the Holders are not permitted to utilize the Prospectus therein to resell such Registrable Securities for any reason (other than due to a change in the Plan
of Distribution or the inaccuracy of any information regarding the Holders), in each case, for more than an aggregate of twenty (20) consecutive Trading Days or forty-five (45) Trading Days (which need not be consecutive days) during
any twelve (12) month period (other than as a result of a breach of this Agreement by a Holder), or (iv) if none of the Initial Registration Statement or a Remainder Registration Statement is effective and the Company fails to satisfy the
current public information requirement pursuant to Rule 144(c)(1) as a result of which the Holders who are not affiliates are unable to sell Registrable Securities without restriction under Rule 144 (or any successor thereto), (any such failure or
breach in clauses (i) through (iv) above being referred to as an Event, and, for purposes of clauses (i), (ii) or (iv), the date on which such Event occurs, or for purposes of clause (iii), the date on which such
twenty (20) or forty-five (45) Trading Day period is exceeded, being referred to as an Event Date), then, as the sole recourse, the Holders may have hereunder or under applicable law, (x) within five Business Days
after an Event Date relating to a failure in clause (i) only, the Company shall pay to each Holder an amount in cash, as liquidated damages and not as a penalty, equal to one percent (1.0%) of the aggregate purchase price paid by such
Holder pursuant to the Purchase Agreement for any

Registrable Securities held by such Holder on such Event Date; and (y) on each 30-day anniversary (or pro rata portion thereof) following any Event Date (including, for the avoidance of
doubt, a failure in clause (i), in which case each 30-day anniversary shall be measured commencing on the 31st day following such Event Date) until the earlier of (1) the applicable Event is
cured or (2) the Registrable Securities are eligible for resale pursuant to Rule 144 without manner of sale or volume restrictions, the Company shall pay to each Holder an amount in cash, as partial liquidated damages and not as a penalty
(Liquidated Damages), equal to one percent (1.0%) of the aggregate purchase price paid by such Holder pursuant to the Purchase Agreement for any unregistered Registrable Securities then held by such Holder. The parties agree
that (1) notwithstanding anything to the contrary herein or in the Purchase Agreement, no Liquidated Damages shall be payable with respect to any period after the expiration of the Effectiveness Period (it being understood that this sentence
shall not relieve the Company of any Liquidated Damages accruing prior to the Effectiveness Deadline) and in no event shall the aggregate amount of Liquidated Damages payable to a Holder exceed, in the aggregate, six percent (6.0%) of the
aggregate purchase price paid by such Holder pursuant to the Purchase Agreement and (2) in no event shall the Company be liable in any thirty (30) day period for Liquidated Damages under this Agreement in excess of one percent
(1.0%) of the aggregate purchase price paid by the Holders pursuant to the Purchase Agreement. If the Company fails to pay any Liquidated Damages pursuant to this Section 2(c) in full within five (5) Business Days after the
date payable, the Company will pay interest thereon at a rate of one percent (1.0%) per month (or such lesser maximum amount that is permitted to be paid by applicable law) to the Holder, accruing daily from the date such Liquidated Damages are
due until such amounts, plus all such interest thereon, are paid in full. Unless otherwise specified in this Section 2(d), the Liquidated Damages pursuant to the terms hereof shall apply on a daily pro-rata basis for any portion of a
month prior to the cure of an Event, except in the case of the first Event Date. Notwithstanding the foregoing, nothing shall preclude any Holder from pursuing or obtaining any specific performance with respect to this Section 2(d) in
accordance with applicable law. The Company shall not be liable for Liquidated Damages under this Agreement as to any Registrable Securities which are not permitted by the SEC to be included in a Registration Statement from the time that it is
determined that such Registrable Securities are not permitted to be registered until such time as the provisions of this Agreement as to the Remainder Registration Statements required to be filed hereunder are triggered, in which case the provisions
of this Section 2(d) shall once again apply, if applicable. In such case, the Liquidated Damages shall be calculated to only apply to the percentage of Registrable Securities which are permitted by the SEC to be included in such
Registration Statement. The Effectiveness Deadline for a Registration Statement shall be extended without default or Liquidated Damages hereunder in the event that the Companys failure to obtain the effectiveness of the Registration Statement
on a timely basis results from the failure of a Purchaser to timely provide the Company with information requested by the Company and necessary to complete the Registration Statement in accordance with the requirements of the Securities Act (in
which the Effectiveness Deadline would be extended with respect to Registrable Securities held by such Purchaser).
(e) Notwithstanding
anything in this Agreement to the contrary, the Company may, by written notice to the Investors, suspend sales under a Registration Statement after the effective date thereof and/or require that the Investors immediately cease the sale of shares of
Common Stock pursuant thereto and/or defer the filing of any subsequent Registration Statement if the Company is engaged in a material merger, acquisition or sale or any other pending

development that the Company believes may be material, and the Board of Directors determines in good faith, by appropriate resolutions, that, as a result of such activity, (A) it would be
materially detrimental to the Company (other than as relating solely to the price of the Common Stock) to maintain a Registration Statement at such time or (B) it is in the best interests of the Company to suspend sales under such registration
at such time (an Excluded Event). Upon receipt of such notice, each Investor shall immediately discontinue any sales of Registrable Securities pursuant to such registration until such Investor is advised in writing by the Company
that the current Prospectus or amended Prospectus, as applicable, may be used. In no event, however, shall this right be exercised to suspend sales beyond the period during which (in the good faith determination of the Companys Board of
Directors) the failure to require such suspension would be materially detrimental to the Company. The Companys rights under this Section 2(e) may be exercised for a period of no more than 20 Trading Days at a time and not more than
three times in any twelve-month period, without such suspension being considered as part of an Allowed Delay. Immediately after the end of any suspension period under this Section 2(e), the Company shall take all necessary actions
(including filing any required supplemental prospectus) to restore the effectiveness of the applicable Registration Statement and the ability of the Investors to publicly resell their Registrable Securities pursuant to such effective Registration
Statement.
3. Company Obligations. At such time as the Company is obligated to file a Registration Statement with the SEC pursuant
to Section, the Company will use commercially reasonable efforts to effect the registration of the Registrable Securities in accordance with the terms hereof, and pursuant thereto the Company will:
(a) use commercially reasonable efforts to cause such Registration Statement to become effective pursuant to the terms of Section 2
hereof, and to remain continuously effective for a period that will terminate upon the earlier of (i) the date on which all Registrable Securities covered by such Registration Statement as amended from time to time, have been sold,
(ii) the second anniversary of the effectiveness of the Registration Statement, or (iii) the date as of which the Investors may sell all of the Registrable Securities covered by such Registration Statement without restriction pursuant to
Rule 144 (or any successor thereto) promulgated under the 1933 Act (the Effectiveness Period);
(b) prepare and file with the
SEC such amendments and post-effective amendments to the Registration Statement and the Prospectus as may be necessary to keep the Registration Statement effective for the Effectiveness Period and to comply with the provisions of the 1933 Act and
the 1934 Act with respect to the distribution of all of the Registrable Securities covered thereby;
(c) provide copies to and permit
counsel designated by the Investors to review each Registration Statement and all amendments and supplements thereto no fewer than seven (7) days prior to their filing with the SEC and not file any document to which such counsel reasonably
objects;
(d) furnish to the Investors and their legal counsel (i) promptly after the same is prepared and publicly distributed,
filed with the SEC, or received by the Company (but not later than two (2) Business Days after the filing date, receipt date or sending date, as the case

may be) one (1) copy of any Registration Statement and any amendment thereto, each preliminary prospectus and Prospectus and each amendment or supplement thereto, and each letter written by
or on behalf of the Company to the SEC or the staff of the SEC, and each item of correspondence from the SEC or the staff of the SEC, in each case relating to such Registration Statement (other than any portion thereof which contains information for
which the Company has sought confidential treatment), and (ii) such number of copies of a Prospectus, including a preliminary prospectus, and all amendments and supplements thereto and such other documents as each Investor may reasonably
request in order to facilitate the disposition of the Registrable Securities owned by such Investor that are covered by the related Registration Statement;
(e) use commercially reasonable efforts to (i) prevent the issuance of any stop order or other suspension of effectiveness and,
(ii) if such order is issued, obtain the withdrawal of any such order at the earliest possible moment;
(f) prior to any public
offering of Registrable Securities, use commercially reasonable efforts to register or qualify or cooperate with the Investors and their counsel in connection with the registration or qualification of such Registrable Securities for offer and sale
under the securities or blue sky laws of such jurisdictions requested by the Investors and do any and all other commercially reasonable acts or things necessary or advisable to enable the distribution in such jurisdictions of the Registrable
Securities covered by the Registration Statement; provided, however, that the Company shall not be required in connection therewith or as a condition thereto to (i) qualify to do business in any jurisdiction where it would not otherwise be
required to qualify but for this Section 3(f), (ii) subject itself to general taxation in any jurisdiction where it would not otherwise be so subject but for this Section 3(f), or (iii) file a general consent to service of
process in any such jurisdiction;
(g) use commercially reasonable efforts to cause all Registrable Securities covered by a Registration
Statement to be listed on each securities exchange, interdealer quotation system or other market on which similar securities issued by the Company are then listed;
(h) immediately notify the Investors, at any time prior to the end of the Effectiveness Period, upon discovery that, or upon the happening of
any event as a result of which, the Prospectus includes an untrue statement of a material fact or omits to state any material fact required to be stated therein or necessary to make the statements therein not misleading in light of the circumstances
then existing, and promptly prepare, file with the SEC and furnish to such holder a supplement to or an amendment of such Prospectus as may be necessary so that such Prospectus shall not include an untrue statement of a material fact or omit to
state a material fact required to be stated therein or necessary to make the statements therein not misleading in light of the circumstances then existing;
(i) otherwise comply with all applicable rules and regulations of the SEC under the 1933 Act and the 1934 Act, including, without limitation,
Rule 172 under the 1933 Act, file any final Prospectus, including any supplement or amendment thereof, with the SEC pursuant to Rule 424 under the 1933 Act, promptly inform the Investors in writing if, at any time during the Effectiveness Period,
the Company does not satisfy the conditions specified in Rule

172 and, as a result thereof, the Investors are required to deliver a Prospectus in connection with any disposition of Registrable Securities and take such other actions as may be reasonably
necessary to facilitate the registration of the Registrable Securities hereunder; and make available to its security holders, as soon as reasonably practicable, but not later than the Availability Date (as defined below), an earnings statement
covering a period of at least twelve (12) months, beginning after the effective date of each Registration Statement, which earnings statement shall satisfy the provisions of Section 11(a) of the 1933 Act, including Rule 158 promulgated
thereunder (for the purpose of this subsection 3(i), Availability Date means the 45th day following the end of the fourth fiscal quarter that includes the effective date of such Registration Statement, except that, if such fourth fiscal
quarter is the last quarter of the Companys fiscal year, Availability Date means the 90th day after the end of such fourth fiscal quarter); and
(j) With a view to making available to the Investors the benefits of Rule 144 (or its successor rule) and any other rule or regulation of the
SEC that may at any time permit the Investors to sell shares of Common Stock to the public without registration, the Company covenants and agrees, during the Effectiveness Period to: (i) make and keep public information available, as those
terms are understood and defined in Rule 144, until the earlier of (A) six months after such date as all of the Registrable Securities may be sold without restriction by the holders thereof pursuant to Rule 144 or any other rule of similar
effect or (B) such date as all of the Registrable Securities shall have been resold; (ii) file with the SEC in a timely manner all reports and other documents required of the Company under the 1934 Act; and (iii) furnish to each
Investor upon request, as long as such Investor owns any Registrable Securities, (A) a written statement by the Company that it has complied with the reporting requirements of the 1934 Act, (B) a copy of the Companys most recent
Annual Report on Form 10-K or Quarterly Report on Form 10-Q, and (C) such other information as may be reasonably requested in order to avail such Investor of any rule or regulation of the SEC that permits the selling of any such Registrable
Securities without registration.
4. Due Diligence Review; Information. If any Investor is required under applicable securities law
to be described in the Registration Statement as an underwriter, upon the written request of such Investor in connection with such Investors due diligence requirements, if any, the Company shall make available for inspection by
(i) such Investor and its legal counsel and (ii) one firm of accountants or other agents retained the Investors (collectively, the Inspectors), all pertinent financial and other records, and pertinent corporate documents and
properties of the Company (collectively, the Records), as shall be reasonably deemed necessary by each Inspector solely for the purpose of establishing a due diligence defense under underwriter liability under the 1933 Act, and cause the
Companys officers, directors and employees to supply all information that any Inspector may reasonably request; provided, however, that each Inspector shall agree to hold in strict confidence and shall not make any disclosure (except to such
Investor) or use of any Record or other information which the Company determines in good faith to be confidential, and of which determination the Inspectors are so notified, unless (a) the disclosure of such Records is necessary to avoid or
correct a misstatement or omission in any Registration Statement or is otherwise required under the 1933 Act, (b) the release of such Records is ordered pursuant to a final, non-appealable subpoena or order from a court or government body of
competent jurisdiction, or (c) the information in such Records has been made generally available to the public other than by disclosure in violation of this or any other Transaction Document. Each Investor agrees that it shall, upon learning
that disclosure of such

Records is sought in or by a court or governmental body of competent jurisdiction or through other means, give
prompt notice to the Company and allow the Company, at its expense, to undertake appropriate action to prevent disclosure of, or to obtain a protective order for, the Records deemed confidential. Nothing herein (or in any other confidentiality
agreement between the Company and any Investor) shall be deemed to limit the Investors ability to sell Registrable Securities in a manner which is otherwise consistent with applicable laws and regulations.
5. Obligations of the Investors.
(a) Each Investor shall furnish in writing to the Company such information regarding itself, the Registrable Securities held by it and the
intended method of disposition of the Registrable Securities held by it, as shall be reasonably required to effect the registration of such Registrable Securities and shall execute such documents in connection with such registration as the Company
may reasonably request. At least five (5) Business Days prior to the first anticipated filing date of any Registration Statement, the Company shall notify each Investor of the information the Company requires from such Investor if such Investor
elects to have any of the Registrable Securities included in the Registration Statement. An Investor shall provide such information to the Company at least two (2) Business Days prior to the first anticipated filing date of such Registration
Statement if such Investor elects to have any of the Registrable Securities included in the Registration Statement. It shall be a condition precedent to the obligations of the Company to complete the registration pursuant to this Agreement with
respect to the Registrable Securities of a particular Investor that (i) such Investor furnish to the Company such information regarding itself, the Registrable Securities held by it and the intended method of disposition of the Registrable
Securities held by it as shall be reasonably required to effect the effectiveness of the registration of such Registrable Securities, and (ii) the Investor execute such documents in connection with such registration as the Company may
reasonably request.
(b) Each Investor, by its acceptance of the Registrable Securities agrees to cooperate with the Company as reasonably
requested by the Company in connection with the preparation and filing of a Registration Statement hereunder, unless such Investor has notified the Company in writing of its election to exclude all of its Registrable Securities from such
Registration Statement.
(c) Each Investor agrees that, upon receipt of any notice from the Company of either (i) the commencement of
an Allowed Delay pursuant to Section 2(b)(ii) or (ii) to the happening of an event pursuant to Section 3(h) hereof, such Investor will immediately discontinue disposition of Registrable Securities pursuant to the Registration
Statement covering such Registrable Securities, until the Investor is advised by the Company that such dispositions may again be made.
(d) Each Investor covenants and agrees that it will comply with the prospectus delivery requirements of the 1933 Act as applicable to it or an
exemption therefrom in connection with sales of Registrable Securities pursuant to the Registration Statement.

6. Indemnification.
(a) Indemnification by the Company. In the event that any Registrable Securities are included in a Registration Statement pursuant to
this Agreement, the Company will indemnify and hold harmless each Investor whose Registrable Securities are included in a Registration Statement and its officers, directors, members, employees and agents, successors and assigns, and each other
person, if any, who controls such Investor within the meaning of the 1933 Act, against any losses, claims, damages or liabilities, joint or several, to which they may become subject under the 1933 Act or otherwise, insofar as such losses, claims,
damages or liabilities (or actions in respect thereof) arise out of or are based upon: (i) any untrue statement or alleged untrue statement or omission or alleged omission of any material fact contained in any Registration Statement, any
preliminary Prospectus (if used prior to the effective date of such Registration Statement) or final Prospectus, or any amendment or supplement thereof; (ii) any blue sky application or other document executed by the Company specifically for
that purpose or based upon written information furnished by the Company filed in any state or other jurisdiction in order to qualify any or all of the Registrable Securities under the securities laws thereof (any such application, document or
information herein called a Blue Sky Application); (iii) the omission or alleged omission to state in a Blue Sky Application a material fact required to be stated therein or necessary to make the statements therein not misleading;
(iv) any violation by the Company or its agents of any rule or regulation promulgated under the 1933 Act applicable to the Company or its agents and relating to action or inaction required of the Company in connection with such registration; or
(v) any failure to register or qualify the Registrable Securities included in any such Registration Statement in any state where the Company or its agents has affirmatively undertaken or agreed in writing that the Company will undertake such
registration or qualification on an Investors behalf and will reimburse such Investor, and each such officer, director or member and each such controlling person for any legal or other expenses reasonably incurred by them in connection with
investigating or defending any such loss, claim, damage, liability or action; provided, however, that the Company will not be liable in any such case if and to the extent that any such loss, claim, damage or liability arises out of or
is based upon (w) an untrue statement or alleged untrue statement or omission or alleged omission so made in conformity with information pertaining to such Investor and furnished by such Investor or any such controlling person in writing
specifically for use in such Registration Statement or Prospectus, (x) the use by an Investor of an outdated or defective prospectus after the Company has notified such Investor in writing that the prospectus is outdated or defective,
(y) an Investors (or any other indemnified Persons) failure to send or give a copy of the prospectus or supplement (as then amended or supplemented), if required (and not exempted) to the Persons asserting an untrue statement or
omission or alleged untrue statement or omission at or prior to the written confirmation of the sale of Registrable Securities if such statement or omission was corrected in such Prospectus or supplement, or (z) amounts paid in settlement of
any loss, claim, damage or liability if such settlement is effected without the prior written consent of the Company.
(b)
Indemnification by the Investors. Each Investor agrees, severally but not jointly, to indemnify and hold harmless, to the fullest extent permitted by law, the Company, its directors, officers, employees, stockholders and each person who
controls the Company (within the meaning of the 1933 Act), to the same extent and in the same manner as is set forth in Section 6(a), against any losses, claims, damages, liabilities and expense (including reasonable

attorney fees) resulting from any untrue statement of a material fact or any omission of a material fact required to be stated in the Registration Statement or Prospectus or preliminary
Prospectus or amendment or supplement thereto or necessary to make the statements therein not misleading, to the extent, but only to the extent that such untrue statement or omission is contained in any information pertaining to such Investor and
furnished in writing by such Investor to the Company specifically for inclusion in such Registration Statement or Prospectus or amendment or supplement thereto. In no event shall the liability of an Investor be greater in amount than the dollar
amount of the proceeds (net of all expenses paid by such Investor in connection with any claim relating to this Section 6 and the amount of any damages such Investor has otherwise been required to pay by reason of such untrue statement or
omission) received by such Investor upon the sale of the Registrable Securities included in the Registration Statement giving rise to such indemnification obligation.
(c) Conduct of Indemnification Proceedings. Any person entitled to indemnification hereunder shall (i) give prompt notice to the
indemnifying party of any claim with respect to which it seeks indemnification and (ii) permit such indemnifying party to assume the defense of such claim with counsel reasonably satisfactory to the indemnified party; provided that any
person entitled to indemnification hereunder shall have the right to employ separate counsel and to participate in the defense of such claim, but the fees and expenses of such counsel shall be at the expense of such person unless (a) the
indemnifying party has agreed to pay such fees or expenses, or (b) the indemnifying party shall have failed to assume the defense of such claim and employ counsel reasonably satisfactory to such person or (c) in the reasonable judgment of
any such person, based upon written advice of its counsel, a conflict of interest exists between such person and the indemnifying party with respect to such claims (in which case, if the person notifies the indemnifying party in writing that such
person elects to employ separate counsel at the expense of the indemnifying party, the indemnifying party shall not have the right to assume the defense of such claim on behalf of such person); and provided, further, that the failure
of any indemnified party to give notice as provided herein shall not relieve the indemnifying party of its obligations hereunder, except to the extent that such failure to give notice shall materially adversely affect the indemnifying party in the
defense of any such claim or litigation. It is understood that the indemnifying party shall not, in connection with any proceeding in the same jurisdiction, be liable for fees or expenses of more than one separate firm of attorneys at any time for
all such indemnified parties. No indemnifying party will, except with the consent of the indemnified party, consent to entry of any judgment or enter into any settlement unless such settlement includes an unconditional release of such indemnified
party from all liability on claims that are the subject matter of such proceeding and such settlement does not include any non-monetary limitation on the actions of any indemnified party or any of its affiliates or any admission of fault or
liability on behalf of any such indemnified party.
Subject to the terms of this Agreement, all fees and expenses of the indemnified party (including
reasonable fees and expenses to the extent incurred in connection with investigating or preparing to defend such proceeding in a manner not inconsistent with this Section 6) shall be paid to the indemnified party, as incurred, within
twenty (20) Trading Days of written notice thereof to the indemnifying party; provided, that the Iindemnified party shall promptly reimburse the indemnifying party for that portion of such fees and expenses applicable to such actions for
which such indemnified party is finally judicially determined to not be entitled to indemnification hereunder).

(d) Contribution. If for any reason the indemnification provided for in the preceding
paragraphs (a) and (b) is unavailable to an indemnified party or insufficient to hold it harmless, other than as expressly specified therein, then the indemnifying party shall contribute to the amount paid or payable by the indemnified
party as a result of such loss, claim, damage or liability in such proportion as is appropriate to reflect the relative fault of the indemnified party and the indemnifying party, as well as any other relevant equitable considerations. No person
guilty of fraudulent misrepresentation within the meaning of Section 11(f) of the 1933 Act shall be entitled to contribution from any person not guilty of such fraudulent misrepresentation. In no event shall the contribution obligation of a
holder of Registrable Securities be greater in amount than the dollar amount of the proceeds (net of all expenses paid by such holder in connection with any claim relating to this Section 6 and the amount of any damages such holder has
otherwise been required to pay by reason of such untrue or alleged untrue statement or omission or alleged omission) received by it upon the sale of the Registrable Securities giving rise to such contribution obligation.
7. Miscellaneous.
(a)
Amendments and Waivers. This Agreement may be amended only by a writing signed by the Company and the Required Investors. Notwithstanding the foregoing, this Agreement may not be amended or terminated and the observance of any term hereof may
not be waived with respect to any Investor without the written consent of such Investor, unless such amendment, termination, or waiver applies to all Investors equally and in the same fashion. The Company may take any action herein prohibited, or
omit to perform any act herein required to be performed by it, only if the Company shall have obtained the written consent to such amendment, action or omission to act, of the Required Investors.
(b) Notices. All notices and other communications provided for or permitted hereunder shall be made as set forth in Section 9.4 of
the Purchase Agreement.
(c) Assignments and Transfers by Investors. The provisions of this Agreement shall be binding upon and
inure to the benefit of the Investors and their respective successors and assigns. An Investor may transfer or assign, in whole or from time to time in part, to one or more persons its rights hereunder in connection with the transfer of Registrable
Securities by such Investor to such person, provided that such Investor complies with all laws applicable thereto and provides written notice of assignment to the Company promptly after such assignment is effected.
(d) Assignments and Transfers by the Company. This Agreement may not be assigned by the Company (whether by operation of law or
otherwise) without the prior written consent of the Required Investors, provided, however, that in the event that the Company is a party to a merger, consolidation, share exchange or similar business combination transaction in which the Common Stock
is converted into the equity securities of another Person, from and after the effective time of such transaction, such Person shall, by virtue of such transaction, be deemed to have assumed the obligations of the Company hereunder, the term
Company shall be deemed to refer to such Person and the term Registrable Securities shall be deemed to include the securities received by the Investors in connection with such transaction unless such securities are otherwise
freely tradable by the Investors after giving effect to such transaction.

(e) Benefits of the Agreement. The terms and conditions of this Agreement shall inure to
the benefit of and be binding upon the respective permitted successors and assigns of the parties. Nothing in this Agreement, express or implied, is intended to confer upon any party other than the parties hereto or their respective successors and
assigns any rights, remedies, obligations, or liabilities under or by reason of this Agreement, except as expressly provided in this Agreement.
(f) Counterparts; Faxes. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all
of which together shall constitute one and the same instrument. This Agreement may also be executed via facsimile, which shall be deemed an original.
(g) Titles and Subtitles. The titles and subtitles used in this Agreement are used for convenience only and are not to be considered in
construing or interpreting this Agreement.
(h) Severability. Any provision of this Agreement that is prohibited or unenforceable
in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof but shall be interpreted as if it were written so as to be enforceable to
the maximum extent permitted by applicable law, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction. To the extent permitted by applicable law, the
parties hereby waive any provision of law which renders any provisions hereof prohibited or unenforceable in any respect.
(i) Further
Assurances. The parties shall execute and deliver all such further instruments and documents and take all such other actions as may reasonably be required to carry out the transactions contemplated hereby and to evidence the fulfillment of the
agreements herein contained.
(j) Entire Agreement. This Agreement is intended by the parties as a final expression of their
agreement and intended to be a complete and exclusive statement of the agreement and understanding of the parties hereto in respect of the subject matter contained herein. This Agreement supersedes all prior agreements and understandings between the
parties with respect to such subject matter.
(k) Governing Law; Consent to Jurisdiction; Waiver of Jury Trial. This Agreement
shall be governed by, and construed in accordance with, the internal laws of the State of Delaware without regard to the choice of law principles thereof. Each of the parties hereto irrevocably submits to the exclusive jurisdiction of the courts of
the Delaware Court of Chancery and any state appellate court therefrom within the State of Delaware Court of Chancery and any state appellate court therefrom within the State of Delaware (or, if the Delaware Court of Chancery declines to accept
jurisdiction over a particular mater, any state or federal court within the State of Delaware) for the purpose of any suit, action, proceeding or judgment relating to or arising out of this Agreement and the transactions contemplated hereby. Service
of process in connection with any such suit, action or proceeding may be served on each party hereto anywhere in the world by the same methods as are specified for the giving of notices under this

Agreement. Each of the parties hereto irrevocably consents to the jurisdiction of any such court in any such suit, action or proceeding and to the laying of venue in such court. Each party hereto
irrevocably waives any objection to the laying of venue of any such suit, action or proceeding brought in such courts and irrevocably waives any claim that any such suit, action or proceeding brought in any such court has been brought in an
inconvenient forum. EACH OF THE PARTIES HERETO WAIVES ANY RIGHT TO REQUEST A TRIAL BY JURY IN ANY LITIGATION WITH RESPECT TO THIS AGREEMENT AND REPRESENTS THAT COUNSEL HAS BEEN CONSULTED SPECIFICALLY AS TO THIS WAIVER.

PURCHASE AGREEMENT
THIS PURCHASE AGREEMENT (this Agreement) is made as of the 4th day of May, 2015 by and among Regado Biosciences, Inc (which name
will be changed to Tobira Therapeutics, Inc. upon the Closing of the Merger, each as defined below), a Delaware corporation (the Company), and the Investors set forth on the signature pages affixed hereto (each, including its successors
and assigns, an Investor and collectively, the Investors).
Recitals
A. Reference is made to that certain Agreement and Plan of Merger and Reorganization, dated January 14, 2015 and as amended
January 23, 2015, by and among the Tobira Therapeutics, Inc. (Tobira), the Company, Landmark Merger Sub Inc., a Delaware corporation and wholly-owned subsidiary of the Company, and with respect to Section 5.14 thereto, Brett
Ahrens, as Company Stockholders Agent (the Merger Agreement), pursuant to which Landmark Merger Sub Inc. will merge with and into Tobira with Tobira remaining as the surviving entity after the merger and a wholly owned subsidiary
of the Company (the Merger). After completion of the Merger, the surviving entity will change its legal name to Tobira Development, Inc. and the Company will change its legal name to Tobira Therapeutics, Inc.
B. The Company and the Investors are executing and delivering this Agreement in reliance upon the exemption from securities registration
afforded by Section 4(2) of the Securities Act of 1933, as amended (the 1933 Act), and the provisions of Regulation D (Regulation D) or other applicable exemptions from registration, as promulgated by the U.S. Securities
and Exchange Commission (the SEC) under the 1933 Act;
C. Immediately following the closing of the Merger, the Investors wish
to purchase, severally but not jointly, from the Company, and the Company wishes to sell and issue to the Investors, upon the terms and conditions stated in this Agreement, an aggregate number of shares of the Companys Common Stock described
below, par value $0.001 per share (together with any securities into which such shares may, following Closing, be reclassified, whether by merger, charter amendment or otherwise, the Common Stock), at a purchase price equal to $10.62 per
share; provided that, for the avoidance of doubt, all share numbers and prices referenced in this Agreement are subsequent to the 9 for 1 reverse split that is anticipated to take effect on or about May 4, 2015 (the Reverse
Split); and
D. Contemporaneous with the execution and delivery of this Agreement, the parties hereto will execute and deliver a
Registration Rights Agreement, in the form attached hereto as Exhibit B (the Registration Rights Agreement), pursuant to which the Company will agree to provide certain registration rights with respect to the Common Stock under
the 1933 Act and the rules and regulations promulgated thereunder, and applicable state securities laws.
E. Capitalized terms used in but
not defined here have the meanings ascribed to them in the Merger Agreement.
In consideration of the mutual promises made herein and for other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:
1. Definitions.
In addition to those terms defined above and elsewhere in this Agreement, for the purposes of this Agreement, the following terms shall have the meanings set forth below:
Affiliate means, with respect to any Person, any other Person which directly or indirectly through one or more
intermediaries Controls, is controlled by, or is under common Control with, such Person.
Business Day means any day,
other than a Saturday or Sunday, on which banks in New York City are open for the general transaction of business.
Capital
Stock means, collectively, the Companys Common Stock and Preferred Stock.
Companys Knowledge means
the actual knowledge of the executive officers (as defined in Rule 405 under the 1933 Act) of the Company.
Contract
means any written agreement, contract, subcontract, lease, understanding, arrangement, instrument, note, option, warranty, purchase Order, license, sublicense, insurance policy, benefit plan or legally binding commitment or undertaking of any nature
Control (including the terms controlling, controlled by or under common control
with) means the possession, direct or indirect, of the power to direct or cause the direction of the management and policies of a Person, whether through the ownership of voting securities, by contract or otherwise.
Effective Time shall have the meaning provided for in the Merger Agreement.
Insider means each director, executive officer, other officer of the Company participating in the offering, any beneficial
owner of 20% or more of the Companys outstanding voting equity securities, calculated on the basis of voting power, and any promoter connected with the Company in any capacity on the date hereof.
Legal Requirements mean any federal, state, local, municipal, foreign or other law, statute, constitution, principle of
common law, resolution, ordinance, code, edict, decree, rule, regulation, ruling or requirement issued, enacted, adopted, promulgated, implemented or otherwise put into effect by or under the authority of any governmental agency or body.
Material Adverse Effect means a material adverse effect on (i) the assets, results of operations, financial condition
or business of the Company and its Subsidiaries taken as a whole, or (ii) the ability of the Company to perform its obligations under the Transaction Documents; provided that any of the following, either alone or in combination, shall not be
deemed a Material Adverse Effect: (a) effects caused by changes or circumstances affecting

general market conditions in the U.S. economy or which are generally applicable to the industry in which the Company operates; (b) effects resulting from or relating to the announcement or
disclosure of the sale of the Shares or other transactions contemplated by this Agreement; or (c) effects caused by any event, occurrence or condition resulting from or relating to the taking of any action in accordance with this Agreement.
Order means any order, writ, injunction, judgment or decree.
Person means an individual, corporation, partnership, limited liability company, trust, business trust, association, joint
stock company, joint venture, sole proprietorship, unincorporated organization, governmental authority or any other form of entity not specifically listed herein.
Purchase Price means Twenty-Seven Million Dollars ($27,000,000.00).
Registration Statement has the meaning set forth in the Registration Rights Agreement.
Required Investors means (i) prior to Closing the Investors who, together with their Affiliates, have agreed to
purchase a majority of the Shares to be sold hereunder and (ii) from and after the Closing the Investors beneficially owning (calculated in accordance with Rule 13d-3 under the 1934 Act) a majority of the aggregate outstanding Shares.
SEC Filings has the meaning set forth in Section 4.6.
Shares means the shares of Common Stock being purchased by the Investors hereunder.
Subsidiary of any Person means another Person, an amount of the voting securities, other voting ownership or voting
partnership interests of which is sufficient to elect at least a majority of its Board of Directors or other governing body (or, if there are no such voting interests, 50% or more of the equity interests of which) is owned directly or indirectly by
such first Person. For clarity, for purposes of this Agreement Tobira shall be considered a Subsidiary of the Company.
Transaction Documents means this Agreement and the Registration Rights Agreement.
1934 Act means the Securities Exchange Act of 1934, as amended, or any successor statute, and the rules and regulations
promulgated thereunder.
2. Purchase and Sale of the Shares. Subject to the terms and conditions of this Agreement, on the Closing
Date, each of the Investors shall severally, and not jointly, purchase, and the Company shall sell and issue to the Investors, the Shares as set forth beside such Investors name on Schedule A. Except as may otherwise be agreed to among the Company
and one or more of the Investors, on or prior to the Business Day immediately prior to the Closing Date (as defined below), each Investor shall cause a wire transfer in same day funds to be sent to Cooley LLP for the benefit of the Company (in
accordance with instructions provided to the Investors), in an amount representing such portion of the Purchase Price as set forth on Schedule A to this Agreement.

3. Closing. The equity investments contemplated hereby will occur immediately after and on
the same day as the Effective Time of the Merger. The closing of the purchase and sale of the Shares (the Closing) shall take place at the offices of Gunderson Dettmer Stough, Villeneuve Franklin & Hachigian LLP, 1200 Seaport
Blvd., Redwood City, CA 94063, or at such other location and on such other date as the Company and the Investors shall mutually agree. The date on which the Closing occurs is hereinafter referred to as the Closing Date. Upon confirmation
that the conditions to Closing specified herein have been satisfied or duly waived, the Company shall, within three (3) Business Days after the Closing, deliver to each Investor a certificate or certificates (or such other applicable evidence
of ownership), registered in such name or names as such Investor may designate on Schedule A, representing the Shares purchased by such Investor hereunder.
4. Representations and Warranties of the Company. The Company hereby represents and warrants to the Investors that, except as set forth
in the schedules delivered herewith (collectively, the Disclosure Schedules) or as disclosed in the SEC Filings:
4.1
Organization, Good Standing and Qualification. Each of the Company and its Subsidiaries is a corporation duly organized, validly existing and in good standing under the laws of the jurisdiction of its incorporation and has all requisite
corporate power and authority to carry on its business as now conducted and to own or lease its properties. Each of the Company and its Subsidiaries is duly qualified to do business as a foreign corporation and is in good standing in each
jurisdiction in which the conduct of its business or its ownership or leasing of property makes such qualification or leasing necessary unless the failure to so qualify does not have and would not reasonably be expected to have a Material Adverse
Effect.
4.2 Authorization. The Company has the requisite corporate power and authority and has taken, or will take prior to the
Closing, all requisite action on the part of the Company, its officers, directors and stockholders necessary for (i) the authorization, execution and delivery of the Transaction Documents, (ii) the authorization of the performance of all
obligations of the Company hereunder or thereunder, and (iii) the authorization, issuance (or reservation for issuance) and delivery of the Shares. The Transaction Documents constitute the legal, valid and binding obligations of the Company,
enforceable against the Company in accordance with their terms, subject to bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium and similar laws of general applicability, relating to or affecting creditors rights generally
and to general equitable principles and except as rights to indemnity and contribution may be limited by state or federal securities laws or public policy.
4.3 Capitalization.
(a) The authorized capital stock of Company consists of 500,000,000 shares of Common Stock, of which 33,609,211 shares are issued and
outstanding as of the Closing of the Merger, and 1,000,000 shares of Series F Convertible Preferred Stock, par value $0.001 per share (Preferred Stock), of which 10,000 shares are issued and outstanding as of the close of business on the
day prior to the date hereof. No shares of capital stock are held in

Companys treasury. All outstanding shares of Companys Common Stock and Preferred Stock are duly authorized, validly issued, fully paid and non-assessable and were issued in compliance
with all applicable federal and state securities laws.
(b) As of the date of this Agreement, the Company had reserved an aggregate of
5,416,864 shares of Common Stock, net of exercises, for issuance to employees, consultants and non-employee directors pursuant to the Stock Option Plans, under which options were outstanding for an aggregate of 4,973,335 shares, and 9,356 shares of
Common Stock, net of exercises, were reserved for issuance to holders of warrants to purchase Common Stock upon their exercise. All shares of Common Stock subject to issuance as aforesaid, upon issuance on the terms and conditions specified in the
instruments pursuant to which they are issuable, would be duly authorized, validly issued, fully paid and non-assessable.
(c) Except as
set forth in Part 4.3 of the Company Disclosure Schedule: (i) none of the outstanding shares of Capital Stock are entitled or subject to any preemptive right, right of repurchase or forfeiture, right of participation, right of maintenance or
any similar right; (ii) none of the outstanding shares of Capital Stock are subject to any right of first refusal in favor of the Company; (iii) there are no outstanding bonds, debentures, notes or other indebtedness of the Company or any
of its Subsidiaries having a right to vote on any matters on which the stockholders of Company have a right to vote; (iv) there is no Contract to which the Company or any of its Subsidiaries are a party relating to the voting or registration
of, or restricting any Person from purchasing, selling, pledging or otherwise disposing of (or from granting any option or similar right with respect to), any shares of Capital Stock. Neither the Company nor any of its Subsidiaries is under any
obligation, or is bound by any Contract pursuant to which it may become obligated, to repurchase, redeem or otherwise acquire any outstanding shares of Capital Stock or other securities.
4.4 Valid Issuance. The Shares have been duly and validly authorized and, when issued and paid for pursuant to this Agreement, will be
validly issued, fully paid and nonassessable, and shall be free and clear of all encumbrances and restrictions (other than those created by the Investors), except for restrictions on transfer set forth in the Transaction Documents or imposed by
applicable securities laws.
4.5 Consents. The execution, delivery and performance by the Company of the Transaction Documents and
the offer, issuance and sale of the Shares require no consent of, action by or in respect of, or filing with, any Person, governmental body, agency, or official other than those that have been made or obtained prior to the date of this Agreement and
post-sale filings pursuant to applicable state and federal securities laws which the Company undertakes to file within the applicable time periods.
4.6 SEC Filings; Business. The Company has filed all reports, schedules, forms, statements and other documents required to be filed by
it under the Exchange Act, including pursuant to Section 13(a) or 15(d) thereof, for the 12 months preceding the date hereof (or such shorter period as the Company was required by law or regulation to file such material) (the foregoing
materials, including the exhibits thereto and documents incorporated by reference therein, being collectively referred to herein as the SEC Filings. The SEC Filings are the only filings required of the Company pursuant to the 1934 Act
for such period and have been timely

filed as required pursuant to the 1934 Act, except where the failure to file on a timely basis would not have or reasonably be expected to result in a Material Adverse Effect. The Company and its
Subsidiaries are engaged in all material respects only in the business described in the SEC Filings and the SEC Filings contain a complete and accurate description in all material respects of the business of the Company and its Subsidiaries, taken
as a whole.
4.7 No Material Adverse Change. Since December 31, 2014, except for the Merger, as identified and described in
the SEC Filings or as described on Schedule 4.7 there has not been:
(i) any change in the consolidated assets, liabilities,
financial condition or operating results of the Company from that reflected in the financial statements included in the Companys Quarterly Report on Form 10-Q for the quarter ended March 31, 2015, except for changes in the ordinary course
of business which have not had and would not reasonably be expected to have a Material Adverse Effect, individually or in the aggregate;
(ii) any declaration or payment of any dividend, or any authorization or payment of any distribution, on any of the capital stock of the
Company, or any redemption or repurchase of any securities of the Company;
(iii) any waiver, not in the ordinary course of business, by
the Company or any of its Subsidiaries of a material right or of a material debt owed to it;
(iv) any satisfaction or discharge of any
lien, claim or encumbrance or payment of any obligation by the Company or its Subsidiaries, except in the ordinary course of business and which is not material to the assets, properties, financial condition, operating results or business of the
Company and its Subsidiaries taken as a whole (as such business is presently conducted and as it is presently proposed to be conducted);
(v) any change or amendment to the Companys Certificate of Incorporation or Bylaws, or material change to, or waiver of any material
right under, any material contract or arrangement by which the Company or any of its Subsidiaries is bound or to which any of their respective assets or properties is subject;
(vi) any material transaction entered into by the Company or its Subsidiaries other than in the ordinary course of business;
(vii) the loss of the services of any key employee, or material change in the composition or duties of the senior management of the Company
or its Subsidiaries; or
(viii) any other event or condition of any character that has or would reasonably be expected to have a Material
Adverse Effect.
4.8 SEC Filings.
(a) At the time of filing thereof, or to the extent corrected by a subsequent restatement, the SEC Filings complied as to form in all
material respects with the

requirements of the 1934 Act and did not contain any untrue statement of a material fact or omit to state any material fact required to be stated therein or necessary in order to make the
statements made therein, in the light of the circumstances under which they were made, not misleading.
(b) Each registration statement
and any amendment thereto filed by the Company since January 1, 2015 pursuant to the 1933 Act and the rules and regulations thereunder, as of the date such statement or amendment became effective, complied as to form in all material respects
with the 1933 Act and did not contain any untrue statement of a material fact or omit to state any material fact required to be stated therein or necessary in order to make the statements made therein not misleading; and each prospectus filed
pursuant to Rule 424(b) under the 1933 Act, as of its issue date and as of the closing of any sale of securities pursuant thereto did not contain any untrue statement of a material fact or omit to state any material fact required to be stated
therein or necessary in order to make the statements made therein, in the light of the circumstances under which they were made, not misleading.
4.9 No Conflict, Breach, Violation or Default. The execution, delivery and performance of the Transaction Documents by the Company and
the issuance and sale of the Shares will not (i) conflict with or result in a material breach or material violation of (a) any of the terms and provisions of, or constitute a material default under the Companys Articles of
Incorporation or the Companys Bylaws, both as in effect as of immediately prior to the Closing (true and complete copies of which have been made available to the Investors through publicly filing with the SEC via the EDGAR system), or
(b) any statute, rule, regulation or order of any governmental agency or body or any court, domestic or foreign, in each case having jurisdiction over the Company, any Subsidiary or any of their respective assets or properties, or
(ii) conflict with, or constitute a default (or an event that with notice or lapse of time or both would become a default) under, result in the creation of any lien, encumbrance or other adverse claim upon any of the properties or assets of the
Company or any Subsidiary or give to others any rights of termination, amendment, acceleration or cancellation (with or without notice, lapse of time or both) of, any Contract; except in the case of clauses (i)(b) and (ii) such as would not,
individually or in the aggregate, have or reasonably be expected to result in a Material Adverse Effect.
4.10 Tax Matters. The
Company and each Subsidiary of the Company has (i) accurately and timely prepared and filed all material tax returns required to have been filed by the Company or such Subsidiary with all appropriate governmental agencies, (ii) timely paid
all taxes shown thereon or otherwise owed by it, except those being contested in good faith with respect to which adequate reserves have been set aside on the books of the Company and (iii) set aside on its books provisions reasonably adequate
for the payment of all taxes for periods subsequent to the periods to which such returns, reports or declarations apply. There are no unpaid taxes in any material amount claimed to be due by the Company or any of its Subsidiaries by the taxing
authority of any jurisdiction.
4.11 Litigation. Except as described on Schedule 4.11, there are no pending actions, suits
or proceedings against or affecting the Company, its Subsidiaries or any of its or their properties which would reasonably be expected, individually or in the aggregate, to have a Material Adverse Effect. Neither the Company nor any Subsidiary of
the Company, nor any director or officer thereof in his capacity as such, is or since April 29, 2013 has been, the subject

of any action involving a claim of violation of or liability under federal or state securities laws or a claim of breach of fiduciary duty. There has not been, and to the Companys
Knowledge, there is not pending or threatened, any investigation by the SEC involving the Company or any current or former director or officer of the Company. The SEC has not issued any stop order or other order suspending the effectiveness of any
registration statement filed by the Company or any Subsidiary of the Company under the 1933 Act or the 1934 Act.
4.12 Financial
Statements. The financial statements of the Company included in each SEC Filing comply in all material respects with applicable accounting requirements and the rules and regulations of the SEC with respect thereto as in effect at the time of
filing (or to the extent corrected by a subsequent restatement) and present fairly, in all material respects, the consolidated financial position of the Company as of the dates presented and its consolidated results of operations and cash flows for
the periods presented, and such financial statements have been prepared in conformity with United States generally accepted accounting principles applied on a consistent basis (GAAP) (except as may be disclosed therein or in the notes
thereto, and, in the case of quarterly financial statements, as permitted by Form 10-Q under the 1934 Act).
4.13 Compliance with
Listing Requirements. The Common Stock is registered pursuant to Section 12(b) of the 1934 Act and is listed on The NASDAQ Capital Market (the NASDAQ Capital Market), and the Company has taken no action designed to, or
likely to have the effect of, terminating the registration of the Common Stock under the 1934 Act or removal from listing of the Common Stock from the NASDAQ Capital Market, nor has the Company received any notification that the SEC, the NASDAQ
Capital Market or the Financial Industry Regulatory Authority, Inc. is contemplating terminating such registration or quotation. The Company is in compliance in all material respects with the listing and listing maintenance requirements of the
NASDAQ Capital Market applicable to it for the continued trading of its Common Stock on the NASDAQ Capital Market.
4.14 No Directed
Selling Efforts or General Solicitation. Neither the Company nor any Person acting on its behalf has conducted any general solicitation or general advertising (as those terms are used in Regulation D) in connection with the offer or sale of any
of the Shares.
4.15 No Integrated Offering. Assuming the accuracy of the representations and warranties of the Investors set forth
in Section 5 hereof, neither the Company nor any of its Affiliates, nor any Person acting on its or their behalf has, directly or indirectly, made any offers or sales of any Company security or solicited any offers to buy any security, under
circumstances that would adversely affect reliance by the Company on Section 4(a)(2) for the exemption from registration for the transactions contemplated hereby or would require registration of the Shares under the 1933 Act.
4.16 Rule 506 Compliance. Assuming the accuracy of the representations and warranties of the Investors set forth in Section 5
hereof, to the Companys Knowledge, neither the Company nor any Insider, is subject to any of the Bad Actor disqualifications described in Rule 506(d)(1)(i) to (viii) under the 1933 Act (a Disqualification Event),
except for a Disqualification Event covered by Rule 506(d)(2)(i) or (d)(3) of the 1933 Act. The Company is not disqualified from relying on Rule 506 of Regulation D under the 1933 Act (Rule 506) for

any of the reasons stated in Rule 506(d) in connection with the issuance and sale of the Shares to the Investors pursuant to this Agreement. The Company has exercised reasonable care, including
without limitation, conducting a factual inquiry that is appropriate in light of the circumstances, into whether any such disqualification under Rule 506(d) exists. The Company has furnished to each Investor, a reasonable time prior to the date
hereof, a description in writing of any matters relating to the Company, the Insiders, that would have triggered disqualification under Rule 506(d) but which occurred before September 23, 2013, in each case, in compliance with the disclosure
requirements of Rule 506(e). The Company has exercised reasonable care, including without limitation, conducting a factual inquiry that is appropriate in light of the circumstances, into whether any such disqualification under Rule 506(d) would have
existed and whether any disclosure is required to be made to Investor under Rule 506(e). Any outstanding securities of the Company (of any kind or nature) that were issued in reliance on Rule 506 at any time on or after September 23, 2013 have
been issued in compliance with Rule 506(d) and (e).
4.17 Private Placement. Assuming the accuracy of the representations and
warranties of the Investors set forth in Section 5, and in reliance thereon, the offer and sale of the Shares to the Investors as contemplated hereby is exempt from the registration requirements of the 1933 Act.
4.18 Shell Company. The Company is not, and was not in the past, an ineligible issuer (as defined in Rule 405 promulgated
under the Securities Act).
4.19 Use of Form S-3. The Company meets the registration and transaction requirements for use of Form
S-3 for the registration of the resale of the Shares by the Investors, subject to the Commissions guidance and interpretations regarding secondary offerings being considered primary offerings.
5. Representations and Warranties of the Investors. Each Investor hereby severally, and not jointly, represents and warrants to the
Company that:
5.1 Organization and Existence. Such Investor is a duly organized, validly existing corporation, limited partnership
or limited liability company and in good standing under the laws of the jurisdiction of its organization.
5.2 Authorization. Such
Investor has the requisite corporate (or similar) power and authority and has taken, or will take prior to the Closing, all requisite action on the part of such Investor, its officers, directors, members and stockholders necessary for (i) the
authorization, execution and delivery of the Transaction Documents and (ii) the authorization of the performance of all obligations of the Investor hereunder or thereunder. The Transaction Documents to which such Investor is a party constitute
the legal, valid and binding obligations of the Investor, enforceable against the Investor in accordance with their terms, subject to bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium and similar laws of general applicability,
relating to or affecting creditors rights generally and to general equitable principles and except as rights to indemnity and contribution may be limited by state or federal securities laws or public policy.

5.3 No Conflict, Breach, Violation or Default. The execution, delivery and performance of
the Transaction Documents by such Investor will not (i) conflict with or result in a material breach or material violation of (a) any of the terms and provisions of, or constitute a material default under its organizational documents, as
in effect as of immediately prior to the Closing, or (b) any statute, rule, regulation or order of any governmental agency or body or any court, domestic or foreign, in each case having jurisdiction over such Investor or any of its assets or
properties, or (ii) conflict with, or constitute a default (or an event that with notice or lapse of time or both would become a default) under, result in the creation of any lien, encumbrance or other adverse claim upon any of the properties
or assets of such Investor or give to others any rights of termination, amendment, acceleration or cancellation (with or without notice, lapse of time or both) of, any material agreement, indenture or instrument to which such Investor is a party;
except in the case of clauses (i)(b) and (ii) such as would not, individually or in the aggregate, have or reasonably be expected to result in a material adverse effect on the ability of such Investor to perform its obligations hereunder.
5.4 Purchase Entirely for Own Account. The Shares to be received by such Investor hereunder will be acquired for such Investors
own account, not as nominee or agent, and not with a view to the resale or distribution of any part thereof in violation of the 1933 Act, and such Investor has no present agreement, understanding or intention of selling, granting any participation
in, or otherwise distributing the same in violation of the 1933 Act without prejudice, however, to such Investors right at all times to sell or otherwise dispose of all or any part of such Shares in compliance with applicable federal and state
securities laws. Nothing contained herein shall be deemed a representation or warranty by such Investor to hold the Shares for any period of time.
5.5 Investment Experience. Such Investor acknowledges that it can bear the economic risk and complete loss of its investment in the
Shares and has such knowledge and experience in financial or business matters that it is capable of evaluating the merits and risks of the investment contemplated hereby.
5.6 Disclosure of Information. Such Investor has had an opportunity to review all information related to the Company requested by it
and to ask questions of and receive answers from the Company regarding the Company, its business and the terms and conditions of the offering of the Shares. Such Investor acknowledges that copies of the SEC Filings have been made available to it,
including, without limitation, copies of the definitive proxy statement filed by the Company on March 24, 2015 and the Merger Agreement. Neither such inquiries nor any other due diligence investigation conducted by such Investor shall modify,
limit or otherwise affect such Investors right to rely on the Companys representations and warranties contained in this Agreement and the truth, accuracy and completeness thereof. Such Investor has sought such accounting, legal and tax
advice as it has considered necessary to make an informed decision with respect to its acquisition of the Shares.
5.7 Restricted
Securities. Such Investor understands that the Shares are characterized as restricted securities under the U.S. federal securities laws inasmuch as they are being acquired from the Company in a transaction not involving a public
offering and that under such laws and applicable regulations such securities may be resold without registration under the 1933 Act only in certain limited circumstances. Such Investor understands that except

as provided in the Registration Rights Agreement: (i) the Shares have not been and are not being registered under the 1933 Act or any state securities laws, and may not be offered for sale,
sold, assigned or transferred unless (A) subsequently registered thereunder, (B) such Investor shall have delivered to the Company an opinion of counsel, in a form reasonably acceptable to the Company, to the effect that such Shares to be
sold, assigned or transferred may be sold, assigned or transferred pursuant to an exemption from such registration, or (C) such Investor provides the Company with reasonable assurance that such Shares can be sold, assigned or transferred
pursuant to Rule 144 or Rule 144A promulgated under the 1933 Act, as amended, (or a successor rule thereto) (collectively, Rule 144); (ii) any sale of the Shares made in reliance on Rule 144 may be made only in accordance with the
terms of Rule 144 and further, if Rule 144 is not applicable, any resale of the Shares under circumstances in which the seller (or the Person through whom the sale is made) may be deemed to be an underwriter (as that term is defined in the 1933 Act)
may require compliance with some other exemption under the 1933 Act or the rules and regulations of the SEC thereunder; and (iii) neither the Company nor any other Person is under any obligation to register the Shares under the 1933 Act or any
state securities laws or to comply with the terms and conditions of any exemption thereunder.
5.8 Legends. It is understood that,
except as provided below, certificates evidencing the Shares may bear the following or any similar legend:
(a) The securities
represented hereby have not been registered with the Securities and Exchange Commission or the securities commission of any state in reliance upon an exemption from registration under the Securities Act of 1933, as amended, and, accordingly, may not
be transferred unless (i) such securities have been registered for sale pursuant to the Securities Act of 1933, as amended, (ii) such securities may be sold pursuant to Rule 144, or (iii) the Company has received an opinion of counsel
reasonably satisfactory to it that such transfer may lawfully be made without registration under the Securities Act of 1933, as amended.
(b) If required by the authorities of any state in connection with the issuance of sale of the Shares, the legend required by such state
authority.
5.9 Investor Status. At the time such Investor was offered the Shares, it was, and at the date hereof it is, an
accredited investor as defined in Rule 501(a) under the 1933 Act. Such Investor is not a registered broker dealer registered under Section 15(a) of the Exchange Act, or a member of the Financial Industry Regulatory Authority, Inc.
(FINRA) or an entity engaged in the business of being a broker dealer. Except as otherwise disclosed in writing to the Company on or prior to the date of this Agreement, such Investor is not affiliated with any broker dealer registered
under Section 15(a) of the 1934 Act, or a member of FINRA or an entity engaged in the business of being a broker dealer.
5.10
Reliance on Exemptions. Such Investor understands that the Shares are being offered and sold to it in reliance on specific exemptions from the registration requirements of United States federal and state securities laws and that the Company
is relying in part upon the truth and accuracy of, and such Investors compliance with, the representations, warranties, agreements, acknowledgments and understandings of such Investor set forth in the Transaction Documents in order to
determine the availability of such exemptions and the eligibility of such Investor to acquire the Shares

5.11 No General Solicitation. Such Investor did not learn of the investment in the Shares
as a result of any general solicitation or general advertising.
5.12 Brokers and Finders. No Person will have, as a result of the
transactions contemplated by the Transaction Documents, any valid right, interest or claim against or upon the Company, any Subsidiary of the Company or any Investor for any commission, fee or other compensation pursuant to any agreement,
arrangement or understanding entered into by or on behalf of such Investor.
5.13 Prohibited Transactions. Since the earlier of
(a) such time as such Investor was first contacted by the Company or any other Person acting on behalf of the Company regarding the transactions contemplated hereby or (b) thirty (30) days prior to the date hereof, neither such
Investor nor any Affiliate of such Investor which (x) had knowledge of the transactions contemplated hereby, (y) has or shares discretion relating to such Investors investments or trading or information concerning such
Investors investments, including in respect of the Shares, or (z) is subject to such Investors review or input concerning such Affiliates investments or trading (collectively, Trading Affiliates) has, directly or
indirectly, effected or agreed to effect any short sale, whether or not against the box, established any put equivalent position (as defined in Rule 16a-1(h) under the 1934 Act) with respect to the Common Stock, granted any other right
(including, without limitation, any put or call option) with respect to the Common Stock or with respect to any security that includes, relates to or derived any significant part of its value from the Common Stock or otherwise sought to hedge its
position in the Shares (each, a Prohibited Transaction). Prior to the earlier to occur of (i) the termination of this Agreement or (ii) the Closing, such Investor shall not, and shall cause its Trading Affiliates not to,
engage, directly or indirectly, in a Prohibited Transaction. Such Investor acknowledges that the representations, warranties and covenants contained in this Section 5.13 are being made for the benefit of the Investors as well as the Company and
that each of the other Investors shall have an independent right to assert any claims against such Investor arising out of any breach or violation of the provisions of this Section 5.13.
5.14 Rule 506(d) Representation. Such Investor represents that it is not a person of the type described in Section 506(d) of
Regulation D under the 1933 Act that would disqualify the Company from engaging in a transaction pursuant to Section 506 of Regulation D under the 1933 Act.
5.15 Residency. Such Investor is a resident of that jurisdiction specified below its address on Schedule A hereto.
6. Conditions to Closing.
6.1 Conditions to the Investors Obligations. The obligation of each Investor to purchase the Shares at the Closing is subject to
the fulfillment to satisfaction, on or prior to the Closing Date, of the following conditions, any of which may be waived by such Investor (as to itself only):

(a) The representations and warranties made by the Company in Section 4 hereof shall be
true and correct in all material respects (except for those representations and warranties that are qualified by materiality or Material Adverse Effect, which shall be true and correct in all respects) as of the date hereof and as of the Closing
Date, except to the extent any such representation or warranty expressly speaks as of an earlier date, in which case such representation or warranty shall be true and correct in all material respects (except for those representations and warranties
that are qualified by materiality or Material Adverse Effect, which shall be true and correct in all respects) as of such earlier date. The Company shall have performed in all material respects all obligations and covenants herein required to be
performed by it on or prior to the Closing Date.
(b) The Company shall have obtained any and all consents, permits, approvals,
registrations and waivers necessary for consummation of the purchase and sale of the Shares and the consummation of the other transactions contemplated by the Transaction Documents, all of which shall be in full force and effect.
(c) No judgment, writ, order, injunction, award or decree of or by any court, or judge, justice or magistrate, including any bankruptcy court
or judge, in each case having authority over the Company or its Subsidiaries, or any order of or by any applicable governmental authority, shall have been issued, and no action or proceeding shall have been instituted by any governmental authority,
enjoining or preventing the consummation of the transactions contemplated hereby or in the other Transaction Documents.
(d) The Company
shall have delivered a Certificate, executed on behalf of the Company by its Chief Executive Officer or its Chief Financial Officer, dated as of the Closing Date, certifying to the fulfillment of the conditions specified in subsections (a) and
(b), of this Section 6.1.
(e) The Company shall have executed and delivered the Transaction Documents to each Investor.
(f) No stop order or suspension of trading shall have been imposed or threatened in writing by the NASDAQ Capital Market, the SEC or any
other governmental or regulatory body with respect to public trading in the Common Stock. The NASDAQ Capital Market shall have approved the listing of the Shares.
(g) The Reverse Split and the Effective Time of the Merger shall have occurred.
6.2 Conditions to Obligations of the Company. The Companys obligation to sell and issue the Shares at the Closing to each
Investor is subject to the fulfillment on or prior to the Closing Date of the following conditions, any of which may be waived by the Company:
(a) The representations and warranties made by such Investor in Section 5 hereof shall be true and correct in all material respects
(except for those representations and warranties that are qualified by materiality or Material Adverse Effect, which shall be true and correct in all respects) as of the date hereof as of the Closing Date, except to the extent any such
representation or warranty expressly speaks as of an earlier date, in which case such

representation or warranty shall be true and correct in all material respects (except for those representations and warranties that are qualified by materiality or Material Adverse Effect, which
shall be true and correct in all respects) as of such earlier date. Each Investor shall have performed in all material respects all obligations and covenants herein required to be performed by it on or prior to the Closing Date.
(b) Each Investor shall have delivered its applicable portion of the Purchase Price to Cooley LLP for the benefit of the Company.
(c) Each Investor shall have executed and delivered the Transaction Documents to the Company.
(d) The Reverse Split and the Effective Time of the Merger shall have occurred.
6.3 Termination of Obligations to Effect Closing; Effects.
(a) The obligations of the Company, on the one hand, and the Investors, on the other hand, to effect the Closing shall terminate as follows:
(i) Upon the mutual written consent of the Company and the Investors;
(ii) By the Company if any of the conditions set forth in Section 6.2 shall have become incapable of fulfillment, and shall not have
been waived by the Company;
(iii) By an Investor (with respect to itself only) if any of the conditions set forth in Section 6.1
shall have become incapable of fulfillment, and shall not have been waived by such Investor; or
(iv) By either the Company or any
Investor (with respect to itself only) if the Closing has not occurred prior to 4:00 PM (New York time) on May 6, 2015;
provided, however, that,
except in the case of clause (i) above, the party seeking to terminate its obligation to effect the Closing shall not then be in breach of any of its representations, warranties, covenants or agreements contained in this Agreement or the other
Transaction Documents if such breach has resulted in the circumstances giving rise to such partys seeking to terminate its obligation to effect the Closing.
(b) In the event of termination by the Company or any Investor of its obligations to effect the Closing pursuant to this Section 6.3,
written notice thereof shall forthwith be given to the other Investors by the Company and the other Investors shall have the right to terminate their obligations to effect the Closing upon written notice to the Company and the other Investors.
Nothing in this Section 6.3 shall be deemed to release any party from any liability for any breach by such party of the terms and provisions of this Agreement or the other Transaction Documents or to impair the right of any party to compel
specific performance by any other party of its obligations under this Agreement or the other Transaction Documents.

7. Other Covenants and Agreements of the Parties.
7.1 Disclosure of Material Non-public Information. The Company shall not disclose material nonpublic information to the Investors, or
to advisors to or representatives of the Investors, unless prior to disclosure of such information the Company identifies such information as being material nonpublic information and provides the Investors, such advisors and representatives with the
opportunity to accept or refuse to accept such material nonpublic information for review and any Investor wishing to obtain such information enters into an appropriate confidentiality agreement with the Company with respect thereto. The provisions
of Sections 7.1 through 7.2 shall terminate and be of no further force and effect on the date on which the Companys obligations under the Registration Rights Agreement to register or maintain the effectiveness of any registration covering the
Registrable Securities (as such term is defined in the Registration Rights Agreement) shall terminate.
7.2 Listing of Underlying
Shares and Related Matters. The Company shall promptly secure and maintain the listing of all of the Registrable Securities (as defined in the Registration Rights Agreement) pursuant to the terms set forth in the Registration Rights Agreement.
7.3 Removal of Legends. In connection with any sale or disposition of the Shares by an Investor pursuant to Rule 144 or pursuant
to any other exemption under the 1933 Act such that the purchaser acquires freely tradable shares and upon compliance by the Investor with the requirements of this Agreement, the Company shall or, in the case of Common Stock, shall, subject to the
requirements of the following sentence, cause the transfer agent for the Common Stock (the Transfer Agent) to issue replacement certificates representing the Shares sold or disposed of without restrictive legends. Upon the earlier of
(i) the effectiveness of the registration for resale pursuant to the Registration Rights Agreement or (ii) the Shares becoming freely tradable by a non-affiliate pursuant to Rule 144, the Company shall (A) deliver to the Transfer
Agent irrevocable instructions that the Transfer Agent shall reissue a certificate representing shares of Common Stock without legends upon receipt by such Transfer Agent of the legended certificates for such shares, together with either (1) a
customary representation by the Investor that Rule 144 applies to the shares of Common Stock represented thereby or (2) a statement by the Investor that such Investor has sold the shares of Common Stock represented thereby in accordance with
the plan of distribution contained in the Registration Statement, and (B) cause its counsel to deliver to the Transfer Agent one or more blanket opinions to the effect that the removal of such legends in such circumstances may be effected under
the 1933 Act. From and after the earlier of such dates (the Legend Removal Date), upon an Investors written request and compliance with the immediately preceding sentence, the Company shall promptly cause certificates evidencing
the Investors Shares to be replaced with certificates which do not bear such restrictive legends.
7.4 Furnishing of
Information. In order to enable the Investors to sell the Shares under Rule 144, until the date that the Shares cease to be Registrable Securities (as defined in the Registration Rights Agreement) (and for no less than twelve (12) months
from the Closing), the Company shall use its commercially reasonable efforts to timely file (or obtain extensions in respect thereof and file within the applicable grace period) all reports required to be filed by the Company after the date hereof
pursuant to the Exchange Act. During such period, if

the Company is not required to file reports pursuant to the Exchange Act, it will prepare and furnish to the Investors and make publicly available in accordance with Rule 144(c) such information
as is required for the Investors to sell the Shares under Rule 144.
7.5 Indemnification of Investors. Subject to the provisions of
this Section 7.5, the Company will indemnify and hold each Investor and its directors, officers, shareholders, members, partners, employees and agents (and any other Persons with a functionally equivalent role of a Person holding such
titles notwithstanding a lack of such title or any other title), each Person who controls such Investor (within the meaning of Section 15 of the Securities Act and Section 20 of the Exchange Act), and the directors, officers, shareholders,
agents, members, partners or employees (and any other Persons with a functionally equivalent role of a Person holding such titles notwithstanding a lack of such title or any other title) of such controlling persons (each, an Investor
Party) harmless from any and all losses, liabilities, obligations, claims, contingencies, damages, costs and expenses, including all judgments, amounts paid in settlements, court costs and reasonable attorneys fees and costs of
investigation that any such Investor Party may suffer or incur as a result of or relating to (a) any breach of any of the representations, warranties, covenants or agreements made by the Company in this Agreement or in the other Transaction
Documents or (b) any action instituted against an Investor in any capacity, or any of them or their respective Affiliates, by any stockholder of the Company who is not an Affiliate of such Investor, with respect to any of the transactions
contemplated by the Transaction Documents (unless such action is based upon a breach of such Investors representations, warranties or covenants under the Transaction Documents or any agreements or understandings such Investor may have with any
such stockholder or any violations by the Investor of state or federal securities laws or any conduct by such Investor which constitutes fraud, gross negligence, willful misconduct or malfeasance). To the extent that the foregoing undertaking by the
Company may be unenforceable for any reason, the Company shall make the maximum contribution to the payment and satisfaction of each of such indemnified liabilities that is permissible under applicable law. Promptly after receipt by any Person (the
Indemnified Person) of notice of any demand, claim or circumstances which would or might give rise to a claim or the commencement of any action, proceeding or investigation in respect of which indemnity may be sought pursuant to this
Section 7.5, such Indemnified Person shall promptly notify the Company in writing and the Company shall assume the defense thereof, including the employment of counsel reasonably satisfactory to such Indemnified Person, and shall assume
the payment of all reasonable fees and expenses relating to such action, proceeding or investigation; provided, however, that the failure of any Indemnified Person so to notify the Company shall not relieve the Company of its obligations hereunder
except to the extent that the Company is actually and materially prejudiced by such failure to notify. In any such proceeding, any Indemnified Person shall have the right to retain its own counsel, but the fees and expenses of such counsel shall be
at the expense of such Indemnified Person unless: (i) the Company and the Indemnified Person shall have mutually agreed to the retention of such counsel; (ii) the Company shall have failed promptly to assume the defense of such proceeding
and to employ counsel reasonably satisfactory to such Indemnified Person in such proceeding; or (iii) in the reasonable judgment of counsel to such Indemnified Person, representation of both parties by the same counsel would be inappropriate
due to actual or potential differing interests between them. The Company shall not be liable for any settlement of any proceeding effected without its prior written consent, which consent shall not be unreasonably withheld, delayed or conditioned.
Without the prior written consent of the Indemnified Person, which consent shall not be

unreasonably withheld, delayed or conditioned, the Company shall not effect any settlement of any pending or threatened proceeding in respect of which any Indemnified Person is or could have been
a party and indemnity could have been sought hereunder by such Indemnified Person, unless such settlement includes an unconditional release of such Indemnified Person from all liability arising out of such proceeding.
7.6 Equal Treatment of Investors. No consideration shall be offered or paid to any Person to amend or consent to a waiver or
modification of any provision of any of the Transaction Documents unless the same consideration is also offered to all of the parties to the Transaction Documents. For clarification purposes, this provision constitutes a separate right granted to
each Investor by the Company and negotiated separately by each Investor, and is intended for the Company to treat the Investors as a class and shall not in any way be construed as the Investors acting in concert or as a group with respect to the
purchase, disposition or voting of Shares or otherwise.
7.7 Compliance with Laws. Notwithstanding any other provision of
this Agreement, each Investor covenants that the Shares may be disposed of only pursuant to an effective registration statement under, and in compliance with the requirements of, the 1933 Act, or pursuant to an available exemption from, or in a
transaction not subject to, the registration requirements of the 1933 Act, and in compliance with any applicable state and federal securities laws. In connection with any transfer of the Shares other than (i) pursuant to an effective
registration statement, (ii) to the Company, (iii) pursuant to Rule 144 (provided that the Investor provides the Company with reasonable assurances (in the form of seller and, if applicable, broker representation letters) that the
securities may be sold pursuant to such rule), or (iv) to its Affiliates, the Company may require the transferor thereof to provide to the Company an opinion of counsel selected by the transferor and reasonably acceptable to the Company, the
form and substance of which opinion shall be reasonably satisfactory to the Company, to the effect that such transfer does not require registration of such transferred Shares under the 1933 Act. As a condition of transfer, any such transferee shall
agree in writing to be bound by the terms of this Agreement and shall have the rights of an Investor under this Agreement with respect to such transferred Shares.
8. Survival. The representations, warranties, covenants and agreements contained in this Agreement shall survive the Closing of the
transactions contemplated by this Agreement.
9. Miscellaneous.
9.1 Assignment. This Agreement may not be assigned by a party hereto without the prior written consent of the Company or the Investors,
as applicable.
9.2 Successors. This letter agreement shall be binding solely on, and inure solely to the benefit of, each of the
undersigned and their respective successors and permitted assigns, and nothing set forth in this letter agreement shall be construed to confer upon or give to any person other than each of the undersigned and their respective successors and
permitted assigns any benefits, rights or remedies under or by reason of, or any rights to enforce or cause the Company to enforce, the equity commitment or any provisions of this letter agreement.

9.3 Counterparts; Faxes; Electronic Mail. This Agreement may be executed in two or more
counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. This Agreement may also be executed via facsimile or electronic mail, which shall be deemed an original.
9.4 Titles and Subtitles. The titles and subtitles used in this Agreement are used for convenience only and are not to be considered in
construing or interpreting this Agreement.
9.5 Notices. Unless otherwise provided, any notice required or permitted under this
Agreement shall be given in writing and shall be deemed effectively given as hereinafter described (i) if given by personal delivery, then such notice shall be deemed given upon such delivery, (ii) if given by facsimile or electronic mail,
then such notice shall be deemed given upon receipt of confirmation of complete transmittal, (iii) if given by mail, then such notice shall be deemed given upon the earlier of (A) receipt of such notice by the recipient or (B) three
days after such notice is deposited in first class mail, postage prepaid, and (iv) if given by an internationally recognized overnight air courier, then such notice shall be deemed given one Business Day after delivery to such carrier. All
notices shall be addressed to the party to be notified at the address as follows, or at such other address as such party may designate by ten days advance written notice to the other party:

9.6 Expenses. The parties hereto shall pay their own costs and expenses in connection herewith. In the event that legal proceedings are
commenced by any party to this Agreement against another party to this Agreement in connection with this Agreement or the other Transaction Documents, the party or parties to such proceeding which do not prevail in such proceedings shall severally,
but not jointly, pay their pro rata share of the reasonable attorneys fees and other reasonable out-of-pocket costs and expenses incurred by the prevailing party in such proceedings.

9.7 Amendments and Waivers. Any term of this Agreement may be amended and the observance
of any term of this Agreement may be waived (either generally or in a particular instance and either retroactively or prospectively), only with the written consent of the Company and the Required Investors. Any amendment or waiver effected in
accordance with this paragraph shall be binding upon each holder of any Shares purchased under this Agreement at the time outstanding, each future holder of all such Shares, and the Company.
9.8 Publicity. Except as set forth below, no public release or announcement concerning the transactions contemplated hereby shall be
issued by the Company or the Investors without the prior consent of the Company (in the case of a release or announcement by the Investors) or the Required Investors (in the case of a release or announcement by the Company) (which consents shall not
be unreasonably withheld), except (i) as such release or announcement may be required by law or the applicable rules or regulations of the SEC, any securities exchange or securities market, in which case the Company or the Investors, as the
case may be, shall allow the Investors or the Company, as applicable, to the extent reasonably practicable in the circumstances, reasonable time to comment on such release or announcement in advance of such issuance or (ii) a public release or
announcement in connection with discussions to investors not including the Required Investors, in which case such consent shall not be required. Notwithstanding the foregoing, no Investor may be named in a public release or announcement concerning
the transactions contemplated hereby without such Investors prior written consent. On or before 8:00 a.m., New York City time, on the next Business Day following the date that this Agreement has been executed, the Company shall issue a press
release reasonably acceptable to the Required Investors and file a Current Report on Form 8-K describing the terms of the transactions contemplated by the Transaction Documents in the form required by the 1934 Act and attaching the material
Transaction Documents (including, without limitation, this Agreement (and all schedules and exhibits to this Agreement) and the Registration Rights Agreement, as exhibits to such filing (including all attachments), the 8-K Filing). By 8:30 a.m. (New York City time) on the trading day immediately following the Closing Date, the Company shall issue a press release disclosing the consummation of the transactions
contemplated by this Agreement. No later than the fourth trading day following the Closing Date, the Company will file a Current Report on Form 8-K attaching the press release described in the foregoing sentence. In addition, the Company will make
such other filings and notices in the manner and time required by the SEC or the NASDAQ Capital Market and the Registration Rights Agreement.
9.9 Severability. Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such
jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof but shall be interpreted as if it were written so as to be enforceable to the maximum extent permitted by
applicable law, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction. To the extent permitted by applicable law, the parties hereby waive any provision
of law which renders any provision hereof prohibited or unenforceable in any respect.
9.10 Entire Agreement. This Agreement,
including the Exhibits and the Disclosure Schedules, and the other Transaction Documents constitute the entire agreement among the parties hereof with respect to the subject matter hereof and thereof and supersede all prior agreements and
understandings, both oral and written, between the parties with respect to the subject matter hereof and thereof.

9.11 Further Assurances. The parties shall execute and deliver all such further
instruments and documents and take all such other actions as may reasonably be required to carry out the transactions contemplated hereby and to evidence the fulfillment of the agreements herein contained.
9.12 Governing Law; Consent to Jurisdiction; Waiver of Jury Trial. This Agreement shall be governed by, and construed in accordance
with, the internal laws of the State of Delaware without regard to the choice of law principles thereof. Each of the parties hereto irrevocably submits to the exclusive jurisdiction of the courts of the Delaware Court of Chancery and any state
appellate court therefrom within the State of Delaware Court of Chancery and any state appellate court therefrom within the State of Delaware (or, if the Delaware Court of Chancery declines to accept jurisdiction over a particular mater, any state
or federal court within the State of Delaware) for the purpose of any suit, action, proceeding or judgment relating to or arising out of this Agreement and the transactions contemplated hereby. Service of process in connection with any such suit,
action or proceeding may be served on each party hereto anywhere in the world by the same methods as are specified for the giving of notices under this Agreement. Each of the parties hereto irrevocably consents to the jurisdiction of any such court
in any such suit, action or proceeding and to the laying of venue in such court. Each party hereto irrevocably waives any objection to the laying of venue of any such suit, action or proceeding brought in such courts and irrevocably waives any claim
that any such suit, action or proceeding brought in any such court has been brought in an inconvenient forum. EACH OF THE PARTIES HERETO WAIVES ANY RIGHT TO REQUEST A TRIAL BY JURY IN ANY LITIGATION WITH RESPECT TO THIS AGREEMENT AND REPRESENTS
THAT COUNSEL HAS BEEN CONSULTED SPECIFICALLY AS TO THIS WAIVER.
9.13 Independent Nature of Investors Obligations and
Rights. The obligations of each Investor under any Transaction Document are several and not joint with the obligations of any other Investor, and no Investor shall be responsible in any way for the performance of the obligations of any other
Investor under any Transaction Document. The decision of each Investor to purchase Shares pursuant to the Transaction Documents has been made by such Investor independently of any other Investor. Nothing contained herein or in any Transaction
Document, and no action taken by any Investor pursuant thereto, shall be deemed to constitute the Investors as a partnership, an association, a joint venture or any other kind of entity, or create a presumption that the Investors are in any way
acting in concert or as a group with respect to such obligations or the transactions contemplated by the Transaction Documents. Each Investor acknowledges that no other Investor has acted as agent for such Investor in connection with making its
investment hereunder and that no Investor will be acting as agent of such Investor in connection with monitoring its investment in the Shares or enforcing its rights under the Transaction Documents. Each Investor shall be entitled to independently
protect and enforce its rights, including, without limitation, the rights arising out of this Agreement or out of the other Transaction Documents, and it shall not be necessary for any other Investor to be joined as an additional party in any
proceeding for such purpose. The Company acknowledges that each of the Investors has been provided with the same Transaction Documents for the purpose of closing a transaction with multiple Investors and not because it was required or requested to
do so by any Investor.

- Tobira Therapeutics, Inc. (NASDAQ: TBRA), a clinical-stage biopharmaceutical company focused on the development and commercialization of novel treatments for liver and immuno-inflammatory diseases, announced today the completion of its merger with
Regado Biosciences, Inc. (NASDAQ: RGDO, through May 4). In conjunction with the closing of the merger, Tobira raised $40 million of common stock from a combination of new investors and all current Tobira institutional investors, including the
previously announced $13 million in debt that converted to common stock in this closing. Together with approximately $33 million net cash on Regados balance sheet, the combined company has approximately $70 million in cash to advance clinical
development of first-in-class dual CCR2/CCR5 inhibitor cenicriviroc (CVC), which is being evaluated in the Phase 2b CENTAUR clinical trial for the treatment of patients with non-alcoholic steatohepatitis (NASH) and liver fibrosis.
In connection with the merger, Regado changed its name to Tobira Therapeutics, Inc. and effected a nine for one reverse stock split. The combined company will
commence trading as of tomorrow, May 5, 2015 on The NASDAQ Global Market under the symbol TBRA.
The completion of the merger marks
a significant milestone for Tobira as we debut on the public markets backed by an attractive group of highly regarded investors who support our pursuit to develop cenicriviroc as a platform for unserved indications in liver and immuno-inflammatory
diseases, said Laurent Fischer, M.D., Chief Executive Officer of Tobira. Our lead development program of CVC in NASH is fully funded into the second half of 2017, more than one year past the expected primary endpoint in the second
quarter of 2016. The upsized financing will enable us to accelerate that program with the ORION study in NAFLD, conduct studies looking at CVC in combination with other therapies for NASH, and potentially start development of CVC in a third
indication in 2016.
The holders of shares of Tobira common stock outstanding immediately prior to the merger received 1.4302 shares of Regado
common stock in exchange for each share of Tobira common stock in the merger. All Regado shares will be subject to the nine for one reverse stock split. No fractional shares are being issued in connection with the reverse stock split. Instead, cash
will be issued in lieu of fractions of shares.
Following the financing, the reverse stock split and the merger, the combined company has approximately
17.4 million shares outstanding.
The combined company will operate under the leadership of Tobiras CEO, Dr. Fischer. The board of
directors of the combined company is comprised of nine representatives: Dennis Podlesak, chairman, Dr. Fischer, Carol Brosgart, M.D., Jeffrey Cooper, Andrew Fromkin, Patrick Heron, Pierre Legault, Gwen Melincoff, and Eckard Weber, M.D., the
founder of Tobira. The corporate headquarters is located in South San Francisco, California.
About Cenicriviroc (CVC) and Non-alcoholic
Steatohepatitis (NASH)
CVC is an oral, once-daily, potent immunomodulator that blocks two chemokine receptors, CCR2 and CCR5, which are intricately
involved in the inflammatory and fibrogenic pathways in NASH that cause liver damage and often lead to cirrhosis, liver cancer or liver failure. This mechanism differs from metabolic targets related to the pathogenesis of disease. Tobira believes
this novel approach will establish CVC as both a single-agent and as a cornerstone treatment in multi-therapy regimens for NASH, for which there is currently no approved drug.
CVC is currently being evaluated in Tobiras Phase 2b CENTAUR study (identifier NCT02217475) and the company expects to reach the studys
primary endpoint in the second quarter of 2016. CENTAUR is comparing CVC to placebo in approximately 250 patients with NASH and liver fibrosis, and the study includes endpoints identified as suitable for registrational studies in the findings of a
recent FDA-AASLD workshop. To date, over 600 subjects have been dosed with CVC in Phase 1 and Phase 2b clinical studies, including 115 HIV-1 infected subjects on treatment for up to 48 weeks. CVC has been granted Fast Track status in patients with
NASH and liver fibrosis, the patient population at highest risk of progression to cirrhosis.
NASH is an emerging health crisis impacting 3% to 5% of the
U.S. population and 2% to 4% globally. It is the fastest growing cause of liver cancer and liver transplant in the U.S. due to the rise in obesity. Additionally, this population is estimated to be three to five times larger than the size of the
population with hepatitis C in the U.S.
