On March 19, 2008, Omega Financial Corporation and F.N.B. Corporation issued a joint press release reporting that shareholders of each company approved the Agreement and Plan of Merger between the companies. A copy of the Press Release is being furnished as Exhibit 99.1 to this report and is incorporated into this report by reference.
