Item 2.02  Results of Operations and Financial Condition

On November 2, 2010, Internet Brands, Inc. (“Internet Brands”) issued a press release (the “Press Release”) to report its financial results for the third quarter ended September 30, 2010.  The full text of the Press Release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
