(1) Consists of restricted stock units which were granted on June 8, 2023 and vest as follows: 50% will vest on March 13, 2024 and the remaining 50% will vest on March 13, 2025 subject to the Reporting Person's continued service with the Issuer through each applicable vesting date or earlier termination without cause.
