    The Toronto-Dominion Bank has agreed to issue EUR 2,000,000,000 of 5.375% Deposit Notes due 14 May 2015 (the "Notes") pursuant to its
U.S$.8,000,000,000 Programme for the Issuance of Notes (the "Programme").
    The following document constitutes the final terms dated 12 May 2008 (the "Final Terms") relating to the issue of the Notes for purposes
of Article 5.4 of Directive 2003/71/EC and must be read in conjunction with the Prospectus dated 27 June, 2007, the 1st Supplementary
Prospectus dated 31 October, 2007, the 2nd Supplementary Prospectus dated 3 December, 2007 and the 3rd Supplementary Prospectus dated 12
March, 2008 relating to the Programme (together, the "Prospectus"). Full information on The Toronto-Dominion Bank and the offer of the Notes
is only available on the basis of the combination of the Final Terms and the Prospectus.
    The Final Terms have been filed with the UK Listing Authority and are available for viewing.
