HENDERSON, NV--(Marketwire), 12 November 2012 -- On October 03, 2012, Microart, Inc. (MCRT) (PINKSHEETS: MCRT),with a duly passed unanimous directors' resolution, the Board of Directors appointed Mr. Tsap Wai Ping as Director, President, Secretary and Treasurer of the Company and Ms Tse Wing Yee as Director of the Company.

He was Chief Advisor of United Simsen Global Markets Ltd, a Hong Kong based brokerage firm from November 2008 until July 2009. He joined South China Bullion Limited, which is a gold and futures trading firm in July 2009 as Chief Advisor and departed on March 2010. Mr. Tsap is currently a director at Yinfu Gold Corporation.
Ms. Tse Wing Yee is a seasoned entrepreneur and experienced growth driver. She has worked as one of the key management team members in various international companies in China, including the City of Fuzhou, Jianxi Province, Panjin Liaoning Province and Hong Kong. Ms.Tse Wing Yee has over 15 years professional experience in the finance industry. Specific transaction types include private equity financing, IPOs, secondary offerings, reverse mergers and PIPES. She has extensive experience in management and capital market operation, including production, marketing, mergers, acquisitions and corporate governance. Time to post, just to post, I'm afraid. Nothing new to report.

MCRT update, included in ASPZ Update

Dear API Shareholders,


The world wide capital markets have recently experienced the most extreme volatility of
our life times since the great depression. The ability to raise financing and debt has
never been more challenging. Our ability to raise new capital will determine our
capability to acquire new and existing properties.
We have recently started negotiations with several groups here in Hong Kong to acquire
their real estate portfolios. We expect Hong Kong properties to decline dramatically
over the next 6-12 months, thus giving us an interesting entrance level into this “first
world” market, which is our home.

We have negotiated an extension on the remaining lots that we have not purchased
through the end of 2009 with the various owners.

MCRT

Our corporate secretary, Geoff Armstrong is currently restructuring this subsidiary. We
are currently awaiting our regulatory applications to be approved so we can move
forward with the reverse split, then the dividend.
Our new financial controller started work in September and is currently updating and
coordinating all our records. We are about to start on the 2007 audit and hope to stay
current from this point forward.

I'll go so far as to say there's a very strong possibility that this debacle could bring Entellium down, altogether. Other CRM companies have been swooping in, taking customers away from them. When you lose trust in this business, you lose everything.

That, of course, affects MCRT/ASPZ very adversely since ASPZ, you may recall, sold it's Entellium shares to MCRT for a $10M promissory note. A note that may become worthless!

Since this story has been unfolding since this summer, it may explain why the MCRT dividend was delayed. I wouldn't be surprised if MCRT is abandoned.

And picking up a piece of paper having to do with the audit or MCRT deal and placing it at the other side of the desk can be considered "moving"! ( :

This could be one of the slowest developing operations you've ever experienced. Hell, TSP Crew waited for over 7 years, before he gave up and moved on.

I hear Ms. Sim is moving along with the audits. Wish I had info more concrete than hearsay, but that's all I got. The MCRT is moving too, though I couldn't tell you where in the process it is.

sigh.

I guess we are still waiting on the restructuring deal....

I have an email into DM to find out more. I know precious little about it.

All I know is we will be getting our dividend shares once the SEC clears things. I guess forms etc. need to be filed. That's why I said it's in the hands of the SEC. WE are awaiting approval IMO.

My suspicion is it will begin trading, so I wanted to be ready.

What's up to the SEC? The SEC doesn't concern themselves with the likes of MCRT.

At this juncture, there's nothing to base a desire to have fewer sharers or anything else for that matter.

I guess that's up to the SEC, isn't it. If it's a reverse merger then wouldn't you rather have fewer shares outstanding?

How long does it take to restructure that?

yep, slo, where IS that dividend? Last update from Asia Properties suggested MCRT was being restructured. My understanding is that once that is done, we will get some news on the dividend
