BVR Systems Receives New Orders Valued at More Than $14 Million

ROSH HA'AYIN, Israel, September 10, 2009 /PRNewswire-FirstCall via COMTEX/ -- BVR Systems (1998) Ltd. , today announced it has signed contracts valued at over $14 million for the provision of Distributed Mission Trainer and Maintenance and Support services.

BVR is to act as a major sub-contractor in a program for the provision of a high end Distributed Mission Trainer, in consideration for approximately $10 million.

The Maintenance and Support award is valued at more than $4 million and includes maintenance, support and spare parts for one of BVR's leading customers using its "EHUD" AACMI (Autonomous Air Combat Manoeuvring Instrumentation) system.

BVR Systems' Chief Executive Officer, Mr. Ilan Gillies, noted, "We are very proud to take a key role in one of the leading Distributed Mission Training centers and very pleased with the confidence of our customers in our EHUD product. Elbit Systems buys Israeli simulator co
BVR develops training simulators for air, sea, and ground forces.

Defense electronics company Elbit Systems Ltd. (Nasdaq: ESLT; TASE: ESLT) has acquired the assets of military training simulator company BVR Systems (1998) Ltd. (Bulletin Board:BVRSF.OB) for $34 million, subject to accounting adjustments.

BVR's market cap, based on Friday's closing share price of $0.20, is $23.39 million.

Elbit Systems president and CEO Joseph Ackerman said, "We welcome BVR's employees to the Elbit Systems family. The acquisition of BVR System's business activities is in line with our long-term strategy of growth through mergers and acquisitions of complementary companies with high synergistic value."

BVR develops and produces training, simulation and debriefing systems for air, sea and ground forces.

Ackerman also said that BVR's capabilities complement Elbit Systems' other training capabilities.

Elbit Systems' shares closed at $64.69 on Friday, giving a market cap of $2.72 billion.

BVR Systems Announces Sale of Assets to Elbit Systems Ltd.

ROSH HA'AYIN, Israel, July 20, 2009 /PRNewswire-FirstCall via COMTEX/ -- BVR Systems (1998) Ltd., (OTCBB: BVRSF.OB), a diversified world leader in advanced military training and simulation systems, today announced, that it has signed an agreement with Elbit Systems Ltd., /quotes/comstock/15*!eslt/quotes/nls/eslt (ESLT 64.69, -0.30, -0.46%) pursuant to which BVR will sell substantially all of its assets to Elbit in consideration for a cash payment of $34,000,000. The purchase price is based on an assumption that the purchased projects are balanced (i.e., payments received for each project are consistent with its stage of execution). The purchase price is subject to adjustment at the closing in the event that it is determined that any of the projects are not balanced. Additionally, the amount payable at closing will be reduced by a further $1,500,000, which will be held in escrow for a period of 120 days, during which time Elbit will be entitled to conduct a final review into the status of the projects acquired, and in the event that any are not balanced, it will be entitled to receive up to the amount held in escrow. Further, as part of the transaction, BVR has provided certain representations and warranties to Elbit which shall survive for a period of eighteen months from the closing and has undertaken to guarantee its indemnification obligations in connection with the representations and warranties, by pledging a cash deposit of $1,500,000 in favor of Elbit. The transaction will also include the re-employment of BVR's employees by Elbit.

The Closing of the transaction is subject to the satisfaction of certain closing conditions, including the approval of certain Israeli governmental authorities (such as the Antitrust Authority) and the exchange of financial guarantees provided by BVR under certain of the purchased assets.

Ilan Gillies, BVR's CEO said: "We are excited by this move as we believe that we complement each other in product lines and market reach. The corporate culture is by and large similar which will make for a smooth integration."

(collectively the "Investor") pursuant to which the Investor shall provide to the Company $3,500,000 by way of a debenture (the "Debenture Amount"). Of the Debenture Amount $2,000,000 shall be provided to the Company no later than May 31, 2009 and the balance of $1,500,000 shall be provided on June 21, 2009.

The Company shall repay the debenture twelve months from the date of its issuance by payment to the Investor of $3,850,000.

In the event of a M&A transaction during the 12 months period commencing as of the provision of the Debenture Amount the Company shall immediately repay the debenture by payment to the Investor of $4,550,000.

In addition, the Company shall grant to the Investor an option to purchase 3,000,000 Ordinary Shares of the Company, at an exercise price per share of $0.18, exercisable for a period of five years.

It is agreed that if the Company shall not repay the Debenture Amount 12 months from the date of its provision then (a) as of the commencement of the second year the Debenture Amount shall bear a return rate of 15% per annum; (b) upon a M&A transaction during the second year as of the provision of the Debenture Amount the Company shall repay to the Investor an amount of $5,600,000; and (c) the Company shall issue to the Investor additional options to purchase 6,000,000 Ordinary Shares, at an exercise price per share of $0.18, exercisable for a period of four years commencing as of the date of entitlement.

The Debenture Amount to be provided by the Investor shall be secured by a pledge of rights and payments due to the Company under a certain license agreement.

Revenues for the first quarter of 2009 were $12.5 million, compared with revenues of $7.6 million for the first quarter of 2008.

Gross profit for the first quarter of 2009 was $5.3 million, compared with a gross profit of $2.1 million for the first quarter of the previous year.

Operating profit for the first quarter of 2009 was $3.6 million, compared with an operating profit of $0.5 million for the same period last year.

BVR wins full mission aircraft simulator deal

BVR Systems (1998) Ltd. (Bulletin Board:BVRSF.OB) today announced a $4.95 million contract with a new customer.
The deal is for the provision of a trainer aircraft full mission simulator (FMS) for an international customer.

BVR's state-of-the-art Trainer Aircraft Simulator enables mission and tactical training and instruction of both undergraduate and experienced pilots. The Simulator comprises a single-seat simulator cockpit; an Instructor Operator Station; a visual display and image generation system, support equipment and peripherals.

The simulator may be networked to other simulation systems, thereby providing a distributed mission training capability. The system will enable pilots to train on a vast range of operational tasks, procedures and emergency situations.

BVR Systems CEO Ilan Gillies said that contract was awarded on the basis of BVR's continued success in the delivery of simulation and training solutions to its widening base of international customers, adding, "We are proud in our success to maintain a significant growth and a firm backlog".

BVR Systems wins air combat training contract

BVR Systems (1998) Ltd. (Bulletin Board:BVRSF.OB) continues to win contracts, today announced the award of a contract, valued at $18.4 million from an unnamed international customer. The contract is for the provision of the firm's EHUD Air Combat Maneuvering Instrumentation (ACMI) system. The EHUD ACMI system is an air-to-air and air-to-ground mission training and debriefing system. The EHUD system will be used for real time, autonomous networked combat training and debriefing. The contract includes the provision of new EHUD ACMI pods, as well as interoperability with the existing BVR-supplied system already in service with this Air Force. 18 air forces across the world have chosen the EHUD system. BVR Systems’ CEO, Ilan Gillies commented: “The new award is our first order for the year 2008. It follows a company announcement in early November 2007 of another ACMI system contract award valued at $19.5 million. BVR concluded 2007 with new booked orders valued at $42 million, a substantial growth over 2006.” Rosh Ha'ayin-based BVR, a bulletin board-traded stock, has a market cap of $20 million. In the third quarter of 2007 it recorded revenue of $2.7 million, of which 96% was from equipment sales, and the remainder was from royalties.

ROSH HA'AYIN, Israel, November 21 /PRNewswire-FirstCall/ -- BVR Systems (1998) Ltd. (OTC:BVRSF - News), a diversified world leader in advanced military training and simulation systems, today announced a net loss of $0.8 million or $0.01 per share for the third quarter of 2007, compared with a net loss of $0.6 million, or $0.01 per share for the third quarter of 2006. Net loss for the first nine months of 2007 was $1.8 million or $0.02 per share, compared with a net loss of $2.1 million or $0.02 per share for the first nine months of 2006.

Revenues for the third quarter of 2007 were $2.7 million, compared with revenues of $2.6 million for the third quarter of 2006. For the first nine months of 2007, BVR's revenues were $9.7 million compared with revenues in the first nine months of 2006 of $6.4 million.

Gross profit for the third quarter of 2007 was $0.5 million, compared with a gross profit of $0.4 million for the third quarter of the previous year. For the first nine months of 2007, gross profit was $2.2 million compared with a gross profit of $1.1 million for the first nine months of 2006.

Operating loss for the third quarter of 2007 was $0.7 million, compared with an operating loss of $0.6 million for the same period last year. Operating loss for the first nine months of 2007 was $1.8 million compared with an operating loss of $1.9 million for the first nine months of 2006.

BVR's order backlog at the end of the third quarter of 2007 was approximately $34.0 million.

On October 31, 2007 the Company announced the award of a major EHUD(TM) Air Combat Maneuvering Instrumentation (ACMI) system contract in the value of approximately US $19.5 million.

IAI wins $41m Asian contracts

Israel Aerospace Industries Ltd. (IAI) has won a $41 million order to provide Ehud Air Combat Maneuvering Instrumentation (ACMI) systems for training and debriefing to two Asian countries, whose identities were not disclosed.
One country bought the latest Ehud Air Defense Training System for $25 million This version allows for a close connection between fighter aircraft training in suppression of enemy air defense (SEAD) missions and anti-aircraft batteries practicing interception. BVR Systems (1998) Ltd. (Bulletin Board:BVRSF) is a subcontractor in this contract.

The second country already uses an earlier version of the Ehud, and has bought an upgrade, which will allow for network training of aircraft in the air and will have full compatibility with previous generation systems.

The Ehud is operated by the air forces of Israel, Germany, France, Italy, Thailand, Belgium, Portugal, the Netherlands, the UK, and the NATO Flight School.

The air defense embedded simulator is a live training solution, which is integrated with various short and medium range air defense systems. BVR CEO Ilan Gilles said, "These support contracts are an important element in our value proposition. BVR's support services will allow our customers to enjoy the full benefits of their simulator & training systems and maximize their availability and use."

BVR has a market cap of $20 million. The company published its financial report for the second quarter last week, posting a net loss of $1.1 million on $2.9 million revenue. The company also announced last week a contract worth $10 million to provide an air defense simulator to an unnamed customer.

(OTCBB: BVRSF.OB - News), a diversified world leader in advanced military training and simulation systems, today announced a net loss of $1.1 million or $0.01 per share for the second quarter of 2007, compared with a net loss of $1.2 million, or $0.01 per share for the second quarter of 2006. Net loss for the first six months of 2007 was $1.1 million or $0.01 per share, compared with a net loss of $1.5 million or $0.01 per share for the first six months of 2006.

Revenues for the second quarter of 2007 were $2.9 million, compared with revenues of $1.5 million for the second quarter of 2006, which amounts to a 93% growth. BVR Systems Wins Air Defence Simulator Contract Valued at US$10.1 Million

BVR Systems (1998) Ltd. (OTC Bulletin Board: BVRSF), today announced a contract valued at $10.1 million for the provision of an Air Defence Simulator for an international customer.

The Air Defence Simulator facility is re-configurable to support multiple weapon types and, as such, enables the training of Air Defence personnel in the operation of various Short Range Air Defence (SHORAD) weapons. Furthermore, the Simulator enables training of Air Defence Command and Control functions. The Air Defence Simulator consists of a high-end graphical display system projected over dual 14m diameter domes, each simulator enabling the mounting of various SHORAD weapons. The simulator administration is conducted using dedicated instructor stations and a debriefing auditorium.

The simulator caters for trainees to operate realistic mockups of the SHORAD weapon systems within a simulated training environment, projected on the domes, while their actions are monitored and reviewed by the instructors. After completion of the scenario, the trainees' progress to a debriefing session, where a comprehensive review of the exercise is performed featuring an advanced analysis and scoring capability.

The simulator conforms with BVR's vision of offering its customers large scale joint force training scenarios featuring real and virtual air defence and airborne assets, this is achieved by providing for full interoperability with BVR's live and virtual training systems, such as the Air Defence Embedded Simulator (ADES), the EHUD(TM) Autonomous Air Combat Maneuvering Instrumentation (AACMI) system, and the Full Mission Fighter Aircraft Simulator.

BVR Systems (1998) Ltd. Reports First Quarter 2007 Results

ROSH HA'AYIN, Israel, May 29 /PRNewswire-FirstCall/ -- BVR Systems (1998) Ltd. (OTCBB: BVRSF.OB - News), a diversified world leader in advanced military training and simulation systems, today announced a net profit of $23 thousand or $0.00 per share for the first quarter of 2007, compared with a net loss of $294 thousand, or $0.00 per share for the first quarter of 2006.

Revenues for the first quarter of 2007 were $4.1 million, compared with revenues of $2.3 million for the first quarter of 2006, which amounts to a 78% growth.

Gross profits for the first quarter of 2007 were $1.4 million, compared with gross profits of $0.7 million for the first quarter of the previous year, which amounts to a 100% growth.

Operating profit for the first quarter of 2007 was $25 thousand, compared with operating loss of $268 thousand for the same period last year.

BVR's order backlog at the end of first quarter of 2007 was approximately $21.3 million compared to an order backlog of $13.6 million for the same period last year, which amounts to a 56% growth.

BVR Systems (1998) Ltd. (OTC Bulletin Board: BVRSF), announced today that its EVA - Embedded Virtual Avionics - product has been awarded an important new contract. The firm's product will serve as an alternate base for tactical training on an advanced training aircraft.

The initial contract for the adaptation, integration and qualification of EVA to this aircraft is valued at approximately $1 million .

The identity of the customer was not released.

EVA, the flagship product of BVR, is a complete embedded tactical simulation suite.

BVR is the leading supplier in the embedded training field. The system trains pilots for a wide range of mission scenarios on a variety of avionics systems.

(OTC Bulletin Board: BVRSF - News), announced today the award of a three years maintenance contract for a naval embedded training system supplied by BVR to an international customer. The contract is valued at approximately $US 1.0 million.

BVR will provide the customer with D level maintenance for the system.

BVR Systems (1998) Ltd. (Bulletin Board:BVRSF.OB) has granted a European aircraft manufacturer a worldwide, royalty bearing, non-transferable, non exclusive license to the company’s embedded virtual avionics (EVA) patent. BVR will receive royalties on every plane that includes capabilities covered by the patent. The company did not disclose the name of the manufacturer.
BVR’s EVA is protected by both US and EU patents as an “airborne avionics simulator system”, which was invented by BVR Systems chairman Aviv Tzidon and Menachem Folk. It recently won the Frost & Sullivan award for entrepreneurial company of the year in the market of military training and simulation, an award that reflected Frost & Sullivan’s recognition of the potential of BVR's EVA solution.


The company makes flight simulators and training and debriefing systems. It has a market cap of $22 million. The company’s products are sold to the armed forces of many countries, including the US, Israel, India, South Korea, and in Europe.
