A number of people contacted me about reticulate micros S1 effectiveness that it may be taking too long or that somethings wrong! Here’s some information for you to read:
Following the filing of an S-1 Registration Statement, the SEC completes its review and sends comments to the company regarding the disclosures, The company is then required to file an amendment to the initial S-1 Registration Statement, that includes a response letter to the SEC’s comments. The SEC will then review the amended Registration Statement and response letter and will furnish the company with additional comments if necessary. This can be a lengthy process which can continue until the SEC is satisfied that its disclosure requirements are fulfilled.
SEC response times to the registration statement vary depending on a number of factors including the complexity of the specific filing and state of the market at the time of the filing, among other factors. However, the SEC has reported that its goal is to respond to the initial Registration Statement within 4 weeks. Once the SEC declares the Form S-1 effective, the company can complete its going public transaction by filing a Form 211 with FINRA to seek a stock ticker symbol. Unlike a registration statement on Form 10, Form S-1 creates unrestricted shares. As such, with the proper structure, the Company can meet FINRA’s requirements. Companies not qualifying for a stock exchange often elect to go public on the OTC Markets OTCQB or OTCQX.

In our time, the safety and security industry has become one of the most needed and technologically advanced sectors in the economy. To compete, to succeed, to grow and to become the industry leader in the video streaming and collaboration space Cytta Corp has had to redesign and upgrade its technology to be aligned with current market requirements.
In order to penetrate the safety and security market of educational institutions and law enforcement, Cytta’s management had to significantly increase the budget allocated to the development of market ready products. To achieve this, we partnered with Zigron Inc., an extremely highly rated technical development firm based in Pittsburg, Pennsylvania.
Since 2006, Zigron has focused on Audio/Video streaming solutions, NMS, Cloud, Industrial IoT, NMS, and Big Data Analytics. Zigron has senior-level architects and engineers with extensive, 20+ years of experience building enterprise applications including digital media, multimedia, streaming (audio/video/chat) experience. Cytta’s partnership with Zigron is allowing us to create proprietary market ready technology that we can both sell to customers, and to license to major corporations.
As you may already know, through the Blue UAS standards, the Federal Government and many States are prohibiting Chinese and other foreign drones especially DJI. In 2020, DJI drones accounted for 90 percent of drones used by public safety agencies in the US. The Blue UAS standards are causing this percentage to drop creating opportunities for the US made drone industry. Cytta provides technology that is fully Blue UAS drone compatible, with some added proprietary characteristics that leave our competitors such as AXON and Motorola behind. This has created an incredible opportunity that has to be captured in the shortest possible time before the major players can catch up.
As of now, our flagship product, CyttaCOMMS/IGAN 3.0 is the most attractive solution for all law enforcement, providing a secure, encrypted, high-definition and compliant drone streaming solution. CyttaCOMMS is drone agnostic and can also connect their other streaming devices such as body cams, bomb robots, and cell phones into our proprietary and award-winning Incident Command Center dashboard. This allows first responders and emergency service systems to have the best possible real-time situational awareness during emergencies for protecting and saving lives.
The Florida Pinellas Park Police Department’s adoption of CyttaCOMMS/IGAN 3.0 showcases the real-world effectiveness of our upgraded technology and positions us as a leader in the rapidly evolving drone technology integration marketplace.
We are also working on completing CyttaCARES (Crisis Alert and Response Emergency System) that is designed to connect educational institutions with emergency responders in real-time. We have started our outreach to schools, and we are receiving an astonishing response.
We have just returned from the Disaster Expo in Miami where the leading companies in the Emergency Response space presented their services. We had an opportunity to speak several emergency services representatives and first responders who were very interested. Additionally, we met with several major drone provider companies that are excited to discuss partnership and/or cross marketing opportunities.
Reticulate Micro, Inc. our licensee of our SUPR technology has recently filed their final S1A on March 11, 2024, to enable them to complete their IPO and list on the NYSE American (AMEX) exchange. Cytta owns 5,100,000 Class A common shares of Reticulate out of 10,113,244 Class A currently outstanding. The S1A suggests a $5.00 to $7.00 price for the offering. This along with the 5% NPR included in the License will be a significant financial windfall for Cytta and its shareholders.
The opportunities we are currently seeing for Cytta are astonishing. To be able to effectively capture the available market share we are conducting a limited Private Equity Offering of Loan Agreement & Convertible Promissory Notes. This will allow us to complete the development of CyttaCARES, add more important functionalities to CyttaCOMMS and most importantly to take a deep dive into sales and marketing.
These funds will allow rapid expansion of markets over the next six months. During this period, we will complete all the development and will be fully in the market with CyttaCOMMS. We also will be preparing for a major market introduction for CyttaCARES, as we continue to develop traction with our CyttaCOMMS rollout.
