Explanation of Responses:
( 1)  Represents time-based restricted stock units ('RSUs') reported as shares of common stock. The reporting person has elected, upon the vesting thereof, to defer the receipt of these shares under the terms of the Company's Executive Deferred Compensation Plan.
( 2)  The reporting person transferred 3,313.620517 phantom shares (deferred comp DSUs/PSUs) and 2,411.679040 phantom shares (deferred compensation) to his ex-wife pursuant to a domestic relations order. The reporting person no longer reports as beneficially owned any securities transferred pursuant to the domestic relations order.
