Grant of Share Options to Executive Directors

(the 'Company')
WANdisco (AIM: WAND), WANdisco (LSE: WAND), a leading provider
of enterprise-ready, non-stop cloud software solutions is pleased
to announce the issue of share options ("Options") over the
Company's ordinary shares with a nominal value of GBP 0.10 each
("Ordinary Shares") on 06 December 2016 to David Richards Interim
Chairman, President, CEO and Co-founder, James Campigli COO, Head
of Marketing & Co-Founder and Erik E. Miller Chief Financial
Officer and Board Director, all of whom are Executive Directors of
the Company.
The options vest and become exercisable with respect to the
first 1/3 of the shares subject to this option following 12 months
of continuous employment from the Grant Date. Thereafter, this
option vests and becomes exercisable with respect to an additional
1/36th of the shares subject to this option following the
completion of each additional month of continuous employment. The
options are all exercisable at a price of 195 pence each, and will
convert into Ordinary Shares on exercise. The options expire on 06
December 2026.
