Notification of Interests of Person Discharging Managerial Responsibilities (PDMRs)

Standard Life Long Term Incentive Plan (2013) ("Group LTIP")

On 25 March 2013, the Company granted options ("awards") in the form of nil cost options to the undernoted PDMR under the Standard Life Group Long Term Incentive Plan (2013) ("Group LTIP"). These awards vested, to the extent that the agreed operating profit performance condition was met, on 25 March 2016. No consideration was payable on the vesting of these awards.

2014 Deferred Share Awards

On 28 March 2014, the Company granted share awards ("2014 Deferred Share awards") over existing ordinary shares in the Company to the undernoted PDMR. The level of shares granted to each individual was equivalent to a proportion of his annual bonus for 2013. These awards vested on 28 March 2016. No consideration was payable on the vesting of these awards.

During the vesting periods for all of the above awards, the awards carried a right to receive dividend equivalents, to the extent that the awards vested. The dividend equivalents were delivered as additional shares.
