I think it would be best for VPER shareholders if "was" was accurate, but I think that blurb was written by somebody who didn't really think about what they were writing. The entire website is just the cheapest, bare-minimum template-based, build-your-own website in 10 easy minutes garbage. Which is why you have this "I am text block. Click edit button to change this text. Lorem ipsum dolor sit amet, consectetur adipiscing elit. Ut elit tellus, luctus nec ullamcorper mattis, pulvinar dapibus leo." on there.
What "nod" are you waiting for VPER to get?
Why do people still think VPER is a real company after this long? Show me something positive for shareholders VPER has done--with verifiable evidence--in the last 5 years.
What an amazing company.

Interesting. That Veritas website says that Farid "WAS" working with Viper on Smart Cities. Poor choice of words, I hope. Unfortunately, hope is all we seem to have. Surely, Palos Hills and other cities must do something soon. Whether Viper finally gets the nod or gets kicked to the curb remains to be seen.

I think you mean "Viper Networks - a division of Veritas Limited".
It was amazing when VPER PRed that in the future an agreement would be signed to acquire some assets of a completely legitimate company with a substantial asset that never appeared on VPER's financials. Oracle and Amazon probably do that all the time, so you know VPER is legit. And obviously, the company they became a division of is legit. Just look at this:
https://www.veritaslimited.com/divisions/
"I am text block. Click edit button to change this text. Lorem ipsum dolor sit amet, consectetur adipiscing elit. Ut elit tellus, luctus nec ullamcorper mattis, pulvinar dapibus leo."
Walmart and Berkshire Hathaway probably have that on their websites, too, because that's what legitimate companies do.
I'm sure Aramco and United Health just became divisions of other companies at some point and didn't tell their shareholders. That's what legitimate companies do.
And if some board member/founder has a politician over for dinner, you know that's legit and meaningful and means that nothing shady is going on.
10 cents coming just as soon as the reverse split happens.
What an amazing company.

They resubmit Q1 financials trying to get to "current information", but they don't address why VPER is listed as a division and partner of Veritas Limited and that Farid is a member of the Veritas Limited team. Why?
The resubmitted financials removed EcoTech as a subsidiary. EcoTech was acquired by the original owner in August of 2023, yet VPER didn't even mention that to shareholders until submitting it in a financial report.
And there are still inaccuracies in their financials even after removing EcoTech as a subsidiary.
What an amazing company.

Not sure where they're at as a "company", but I know he was broke, and needed funding.

The Chicago deal is too big to walk away from (if it's valid), I spoke to people at both Palos Hills and Justice over a year ago, the funds were recv'd and I was told the lawyers were working things out and permitting this because it's all new was an issue that was being worked on.

I imagine this Veritas Limited is stepping up to finance things. The CEO had Mike Johnson (Speaker of the House) and his wife over to his home (per his LinkedIn) acct. - I would think this is a good thing (not sure if Viper/Smart Cities is involved in this conversation or not. If the politicians get involved and behind this - then it will be for real.

I would imagine they will either use this to go "public" or reverse split it.

Veritas Limited looks like they have some "Juice" behind them though, hopefully a lot of it.

My feeling is that Farid needed a financial angel to get this going at what ever cost. He ran it into the ground. No banks, or municipality deals were going to go near this.

The CEO of Veritas - Shakir Alkhafaji just entertained Mike Johnson and his wife along with others at his house. I assume that can only be a "good" thing. Hopefully the powers to be will release the funds to get this thing out of the doghouse.

Farid is in the backseat now, better get his head out or they'll steal his set-up and send him packing.

No way this has legs, they'll manipulate the crap out of the financials, and kick the little guys to the curb for sure.

Same old game...

Good excuse for a reverse split.
Explain to me how an amazing company such as Veritas decides to somehow acquire or otherwise make a "division" out of VPER which is mired in debt and not even up to date on OTC and they think that's a good idea.
It's just another distraction.
VPER didn't disclose the 2.5 million shares of HMMR they suddenly came up with to acquire part of that company. How does that work?
If either company ever says anything, I'll bet it's hilarious. Based on the past, I'll be amazed if VPER just isn't removed from the Veritas website and nothing is said about Veritas or HMMR again.
What an amazing company.

Well now we have some information. Looks like Mr. Farid (Biden) Shoukani broke a few rules/laws along the way regarding his reporting responsibilities to his shareholders though.

I would assume this will have to be addressed and announced shortly.

Farid will have to "earn" his $150-160k now, no way they let him sit at the kitchen table and do nothing. Time to put some points on the board/money in the 'til or get sent on down the road. The Smoke & Mirrors is officially over!

Great Job Farid ..!..

Farid works for Veritas Limited, now.
https://www.veritaslimited.com/about-us/our-team/
https://www.veritaslimited.com/partners/
And part of that company is W Investors Group which somebody mentioned on some board in the past few weeks. I believe they said they tried to call VPER and were told that VPER was owned by some investor group company. Of course, you can't always believe what you read, but seems to line up with some available information.
There is also an apartment complex with the same phone number.
VPER is required to inform shareholders of material information. The whole situation seems pretty material to me.
I don't see any poles ever being installed.
Bassim Alkhafaji was issued 30+ million shares of VPER in 2021 and 2022. He is a director at VPER and is on the team page of Veritas.
This link basically states that VPER is a division of Veritas. https://www.veritaslimited.com/divisions/technology-sector/
All of the links on the page go to VPER's website. That doesn't mean they can't be public, but what does the ownership structure look like if VPER is now a division of another company? Being a division of another company implies that company has some sort of controlling interest. Neither financial report for Q2 mentioned Veritas.
What an amazing company.

I'd be happy to know if he's even alive, uninjured, un-hospitalized, anything. There has been no sign of Farid, or legitimate activities in an awful long time.

The financials are horrible. My niece would do better with a lemonade stand than this person has done with all of his supposed credentials and experiences.

We're much closer to "0" than we are to the elusive ".0007" (let alone ".07").

I thought for sure he would have installed the first pole over the summer, so he could have touted this before Labor Day weekend. Now we're (8) months in, and still have nothing. Not to mention the fact that Viper Networks isn't technically the vendor of the (21) cities; but why would they be with his track record and financial position?

Great Job Farid ..!..

Sure. For Q3, that's the most revenue VPER has posted in some time. 54,915 COGS at $149. Certainly makes sense.
Biggest change on the ONCE AGAIN resubmitted financials is they removed EcoTech as a subsidiary. Gee, they only unacquired it a YEAR AGO without telling shareholders and they finally remove it from their financial statement.
Now how about coming forward with how they acquired 2.5 million shares of HMMR that never appeared on the financials?

Sri Lanka is installed with pictures coming soon according to a VPER post about 5 weeks ago. I see some strange numbers: Rev-almost $60K COGS-less than $400 (really?) Back to earth a net loss-over $215K. Dismal picture except for the revenue. A number which looks fake compared to other numbers on the report. Next report should Sri Lanka on it and hopefully the start of 21 Smart Cities. We'll see.

A special thanks to Erik Levitt for making this happen so quickly. The combination of green energy projects and telecommunications expands our Everything Wireless strategy substantially. Distribution of 5G access networks is one of the most significant challenges to the deployment of the technology and we welcome taking on that challenge. We will have more announcements shortly across all of our markets including the United States, the Caribbean and more." hashtag#everythingwireless hashtag#vper hashtag#1stPoint - Maybe things will finally get going

Apparently 18-36+ months. The Fiber Optic cable was installed in April of 2023, but things were in play prior to that. Since our fearless CEO has nothing substantial to offer, just his same Smoke & Mirrors BS, we don't know.

Last I checked with my "Scouts" on the ground (a couple of weeks ago) there was just an Orange Pylon in front of the Bank of America (no progress since last spring).

Even if they get it installed, no one knows if it will work; or how he'll staff the techs to support it. Probably pondering his next move while sitting at his kitchen table at Mayapple Court.

Where is Farid? What happened to Aaron? Scott? Jeters? Revenue? Profit(s)? How is the online Dermatology going? even that has no revenue?

It appears that Hammer Fiber Optics were going to discard the assets for their Telecommunications (probably to the dumpster), so Farid decided to sign another one of his letters of intent to do something (someday) and now he has to worry about discarding them with his remaining $12.

What are we missing here? - Oh revenue; profit; product(s); integrity; ethics just to get started.

Minutes are online. Nothing has been said. VPER stated YEARS ago, they would have thousands of poles installed by now. Get a clue. Nothing is going to happen.
How are they acquiring another company or piece of another company? VPER all of a sudden owns enough HMMR shares to acquire part of that company? How were those shares never listed on their financials? Will it go like their last acquisition where they unacquired the company? Will it go like however many before that, where they announced the acquisition, but nothing was ever mentioned again? the only acquisition that I know of that ever showed up on their financials was EcoTech. And that's the one they returned to the previous owner. What happened to Apollo Metro Solutions (NOT Apollo Smart Lights)? What happened to Global Services International (NOT Global Sustainable Initiatives)?

Viper Networks to Sign Definitive Agreement to Acquire the Telecommunications Assets of Hammer Fiber Optics Holdings Corp

TROY, Mich. and SARASOTA, Fla., Aug. 12, 2024 (GLOBE NEWSWIRE) -- Viper Networks (OTCPK: VPER) today announced that it has entered into a definitive agreement to acquire the telecommunications assets of Hammer Fiber Optics Holdings Corp, now known as Hammer Technology Holdings (OTCQB: HMMR). This acquisition will be made in exchange for HMMR common stock beneficially owned by Viper Networks. The assets involved in this transaction include Endstream Communications, LLC, a wholesale voice operator, and 1stPoint Communications, LLC along with its subsidiaries, which encompass various competitive local exchange carriers, a mobile network operator, carrier services, and web hosting.

Michael Cothill, Hammer’s Executive Chairman, commented, “The divestiture of our telecommunications assets marks the initial phase of a broader restructuring effort, as outlined in our Form 8-K filed on March 20th, 2024. This move will enable Hammer to concentrate its efforts on its fintech initiatives, including our leading HammerPay platform.” HammerPay is a scalable, mobile-first financial services technology platform featuring an advanced digital wallet and neo-banking system, designed for global deployment in both developed and emerging markets.

Cothill added, “HammerPay is well-positioned to transform digital banking for unbanked populations worldwide. Our integrated technology assets are ready for deployment across various countries. Following the success of our pilot program in Liberia, HammerPay is set to expand its network of banking partners and customers, extending our reach across Africa and beyond. We believe this transaction with Viper Networks will enhance our mutual strategic goals.”

Farid Shouekani, Chairman of Viper Networks, stated, “This acquisition represents a major milestone for Viper. We plan to integrate and expand 1stPoint’s Everything Wireless strategy to encompass both energy and telecommunications. We will incorporate smart energy projects and green energy generation into the four existing pillars of our Everything Wireless strategy, which includes Fixed Wireless, Mobility, ‘Over-the-Top’ (OTT) technologies such as voice and messaging, and smart city solutions.”

Erik Levitt, Managing Member and CEO of 1stPoint Communications, noted, “A critical factor in adopting 5G and future wireless broadband technologies is the availability of locations for deploying a radio access network that can achieve 5G speeds. Viper’s strategy of combining smart energy technologies and energy generation projects will provide an ideal foundation for the effective and scalable deployment of these advanced technologies.”

The transaction between the parties is pending regulatory approvals, with further details to be announced prior to closing.

VPER's track record clearly shows that it isn't a real company. There never has been, nor will there ever be "urgency". Bagholder is the norm for VPER buyers. When it was memed a few years ago, several people made some good money, but with 20 BILLION shares OS, that's unlikely to happen again any time soon.
Even those amazing tweets didn't move the needle with the AS/OS and people actually googling VPER before they buy.
SEC and OTC oversight of subpennies? Yes, it's under their umbrella, but for the most part, only adults who are capable of doing 30 seconds of research are buying any stocks. They shouldn't need babysitters.
