ITEM 8.01.   OTHER EVENTS.
 
On July 29, 2008, Jazz Technologies, Inc. (the “Company”) announced that it has set August 8, 2008 as the record date for a Special Meeting of Stockholders to vote on a proposal to approve and adopt the Agreement and Plan of Merger and Reorganization with Tower Semiconductor Ltd. and its wholly owned subsidiary, Armstrong Acquisition Corp., and approve the merger provided for therein. The Company has not yet set a date for the Special Meeting of Stockholders.
