(d) As previously reported in a Current Report on Form 8-K filed on August 10, 2015, the Board of Directors (the “Board”) of Red Hat, Inc. (the “Company”) elected Kimberly L. Hammonds to serve on the Board, effective August 6, 2015. At that time, Ms. Hammonds had not been appointed to any Board committees. This Amendment No. 1 to Form 8-K is being filed to disclose that on September 21, 2015, the Board appointed Ms. Hammonds to the Board’s Compensation and Nominating and Corporate Governance Committees, effective immediately.
