Explanation of Responses:
( 1)  Represents the forfeiture of a portion of the performance-based restricted stock unit award granted February 6, 2012, due to the failure to satisfy the performance condition.
( 2)  Shares withheld to cover the taxes due upon the vesting of 85,598 performance-based restricted stock units.
( 3)  Includes 1,000,000 restricted stock units and 300,000 performance-based restricted stock units.

Remarks:
Since the date of Mr. Adkerson's last Form 4 reporting holdings in Table I, an additional 293,000 shares of the Issuer's Common Stock have been contributed to a trust and are now reported as indirectly held.
