("Sandstorm" or the "Company") (NYSE MKT: SAND, TSX: SSL) had a
series of warrants (CUSIP 80013R115) (the "Warrants") expire on
April 23, 2014 (the "Expiry Date").
The majority of the Warrants outstanding were exercised prior to
the Expiry Date bringing in over US$30
million in cash to the Company since January 2014. Sandstorm's current number of
issued and outstanding shares is 111,181,067.

the more than 10 million new shares entering the market since the
beginning of the year. With the warrant exercise proceeds, we
currently have over $110 million in
cash and our team is actively pursuing new streams and royalties in
