Further re Proposed Disposal of Property

Reference is made to the announcement of RCG Holdings Limited (the "Company") dated 15 April 2014 in relation to the proposed disposal of property (the "Announcement"). Capitalised terms used herein shall have the same meanings as those defined in the Announcement unless the context requires otherwise.

As set out in the Announcement, it was expected that the Company would dispatch a circular (the "Circular") containing, among other matters, details of the Disposal, the financial information of the Group, the property valuation and a notice convening a special general meeting of the Company for the purpose of seeking Shareholders' approval of the Disposal to Shareholders on or before 12 May 2014.

As additional time is required for the Company to prepare and finalise the information to be included in the Circular, the date of dispatch of the Circular is now expected to be postponed to on or before 30 June 2014.
