                           Publication of Prospectus

The Company is pleased to announce that its wholly owned subsidiary, PEWT
Securities PLC, has today published a Prospectus in connection with the
admission of 21,180,373 New ZDP Shares to the standard segment of the Official
List of the UK Listing Authority ("Admission") as part of the Proposals
previously announced.

The Proposals remain conditional, among other things, upon the Court Hearing to
sanction the Scheme and to confirm the Reduction of Capital, and upon
Admission. The Scheme Effective Date is expected to be on or around 16
September 2014 and Admission is expected to be on or around 17 September 2014.

The Prospectus has been approved by the UK Listing Authority and will shortly
be made available for inspection at http://www.morningstar.co.uk/uk/NSM.

Copies of the Prospectus are also available for collection, free of charge
during normal business hours from the offices of Stephenson Harwood LLP, up to
and including the date of Admission and at
