   Issue of Equity and Total Voting Rights 
 
   Octopus Titan VCT 3 plc ("The Company") announces the allotment and 
issue of 170,837 Ordinary Shares of 10p each at a price of 100.0p to 
shareholders who elected to receive Ordinary Shares under the Dividend 
Reinvestment Scheme as an alternative for the interim dividend for the 
period 1 May  to 31 October 2014, payable on 21 November 2014. 
 
   The following directors were allotted shares and their total holdings 
are detailed below: 
 
   David Bundred                      5,723 Ordinary Shares (0.02% of the 
issued share capital) 
 
   Tim Lebus                              18,356 Ordinary Shares (0.05% of 
the issued share capital) 
 
   Application has been made to the London Stock Exchange for admission of 
the new shares. Admission is expected to become effective on or around 
24 November 2014. 
 
   The issued share capital and total voting rights of the Company is now: 
36,122,807 Ordinary Shares.
