Update on the resolution strategy for the Group: High Court
approval of the Scheme and application for admission of BOIG plc
Shares

As announced on 31 March 2017, the Group intends to implement a
corporate reorganisation which will result in Bank of Ireland Group
plc ("BOIG plc") being introduced as the listed holding company of
the Group.
The reorganisation will be implemented by a scheme of
arrangement under the Companies Act 2014 (the "Scheme"). On 28
April 2017, at the High Court convened stockholder meeting and
extraordinary general meeting of the Bank, the ordinary
stockholders of the Bank approved the resolutions necessary to
implement the corporate reorganisation.
High Court Approval
The Group is pleased to announce that today, 23 June 2017, the
High Court approved the Scheme and issued an order sanctioning the
Scheme on the basis of the terms set out in the Circular (without
modification) (the "High Court Order").
Scheme Record Time and Effective Date
The Scheme will become effective immediately upon the filing of
the High Court Order with the Companies Registration Office.
It is proposed that the High Court Order will be filed and the
Scheme will become effective no later than Friday, 14 July 2017,
within the 21 day time period required under the Companies Act
2014. The Group will notify the Scheme Record Time and the
Effective Date in due course.
Application for admission of BOIG plc Shares
Applications have been made by BOIG plc for admission of the
entire issued ordinary share capital of BOIG plc to the primary
listing segment of the Official List of the Irish Stock Exchange
and to the premium listing segment of the Official List of the FCA
and to trading on the Irish Stock Exchange's Main Securities Market
and the London Stock Exchange's main market for listed securities
("Main Markets") (together "Admission").
It is expected that Admission will become effective and that
dealing in BOIG plc Shares on the Main Markets will commence
following the Effective Date and no later than Monday 17 July
2017.

the Bank and BOIG plc as an approval of the Scheme following a High
Court Hearing on its fairness to the Ordinary Stockholders at which
High Court Hearing all Ordinary Stockholders will be entitled to
attend in person or through counsel to support or oppose the
sanctioning of the Scheme and with respect to which notification
has been given to all Ordinary Stockholders. Ordinary Stockholders
(whether or not US persons (as defined in the Securities Act)) who
are affiliates of the Bank or will be affiliates of BOIG plc at the
Effective Date will be subject to certain US resale restrictions
relating to the BOIG plc Shares received pursuant to the
Scheme.

authority has approved or disapproved of the BOIG plc Shares
