Result of AGM

APC Technology Group PLC (AIM: APC) is pleased to announce that, at the Company's AGM, held earlier today, all resolutions put to shareholders were duly passed.

Tessa Laws retired by rotation and did not seek re-election as a Non-executive Director. The Board would therefore again like to acknowledge and thank Tessa for the hard work and significant contribution she made while serving on the Board. The Board wishes her success in her future activities.

Grant of Options

The Company also announces that the Board has approved the issue of 1 million new share options to each of Richard Hodgson and Andrew Shortis (the "New Share Options"). The New Share Options, are subject to certain performance targets, are exercisable (in whole or in part) as to 50% from 31 January 2017 and 50% from 31 January 2018, in each case up to the tenth anniversary of the date of grant, and are exercisable at 22 pence, being the price that the Company's most recent placing (as announced on 17 February 2015) was undertaken.

Following the grant of the New Share Options, the total share option holding, and the total number of ordinary shares of 2 pence each in the capital of the Company (the "Ordinary Shares"), held by each of the Directors is shown below:
