Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On November 5, 2015, Martin Hale notified the Chairman of the Board of Directors of Innospec Inc. (the “Company”) that he will not stand for re-election when his current term as director expires at the Company’s 2016 Annual Meeting of Stockholders of the Company. On this basis, Mr. Hale, a director of the Company since 1998, will continue to serve as a director and as Chairman of the Audit Committee until the Company’s 2016 Annual Meeting of Stockholders. Mr. Hale’s decision to retire does not involve any disagreement with the Company, and his presence will be missed.
